ThisLegalServicesAgreement(the"Agreement")isenteredintoasof[Date](the"EffectiveDate"),byandbetween[Client'sName](the"Client"),a[Client'sLegalStatus],withitsprincipalplaceofbusinessat[Client'sAddress],and[LawFirm'sName](the"Firm"),a[Firm'sLegalStatus],withitsprincipalplaceofbusinessat[Firm'sAddress](collectively,the"Parties").

RECITALS

WHEREAS,theClientisengagedin[briefdescriptionofClient'sbusinessoractivities],andrequiresthelegalservicesoftheFirminconnectionwith[briefdescriptionofthematterortransaction];and

WHEREAS,theFirmiswillingtoprovidethelegalservicestotheClientonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.ScopeofServices

1.1TheFirmagreestoprovidelegalservicestotheClientinconnectionwith[specificmatterortransaction],including,butnotlimitedto,thefollowing:

a.Preparationandreviewof[specificdocumentsoragreements];

b.Legaladviceandcounselingon[specificlegalissues];

c.Representationin[specificlegalproceedingsornegotiations];

d.AnyotherlegalservicesasreasonablyrequestedbytheClientandagreedtobytheFirm.

1.2TheFirmshalluseitsbesteffortstoperformtheservicesinacompetentanddiligentmanner,consistentwiththestandardsofprofessionalcompetenceanddiligencegenerallyprevailingamongmembersofthelegalprofession.

2.FeesandExpenses

2.1TheClientagreestopaytheFirmthefeesandexpensessetforthinthisAgreement.

2.2TheFirm'sfeesshallbechargedatthefollowingrates:

a.Forattorneytime,attherateof[hourlyrate]perhourfor[attorney'sname],[hourlyrate]perhourfor[attorney'sname],and[hourlyrate]perhourfor[attorney'sname];

b.Forparalegaltime,attherateof[hourlyrate]perhourfor[paralegal'sname];

c.Foradministrativeandothersupportservices,attherateof[hourlyrate]perhour.

2.3TheFirmshallprovidetheClientwithmonthlyinvoicesforallfeesandexpensesincurred,whichshallbepayablewithin[numberofdays]daysofreceipt.

2.4IftheFirmincursexpensesonbehalfoftheClient,suchasfilingfees,courtfees,orotherout-of-pocketexpenses,theClientagreestoreimbursetheFirmforsuchexpensesuponreceiptofaninvoice.

3.Retainer

3.1Asanadvanceagainstfuturefees,theClientagreestopaytheFirmanon-refundableretainerof[amount]uponexecutionofthisAgreement.

3.2TheFirmmaywithdrawfromtherepresentationoftheClientuponwrittennoticeiftheClientfailstomaketimelypaymentsoffeesandexpenses.

4.Communication

4.1TheClientagreestocommunicatewiththeFirmpromptlyandfullyregardingallmattersrelatedtotherepresentation.

4.2TheFirmagreestocommunicatewiththeClientpromptlyandfullyregardingallsignificantdevelopmentsanddecisionsinthematter.

5.Confidentiality

5.1ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedbyeitherPartyinconnectionwiththisAgreement,exceptasrequiredbylaworcourtorder.

5.2TheconfidentialityobligationsshallsurvivetheterminationofthisAgreement.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchterminationisnotinbreachofanyothertermofthisAgreement.

6.2UponterminationofthisAgreement,theClientshallpaytheFirmforallfeesandexpensesincurredbytheFirmuptothedateoftermination.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[State/Country].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

9.Amendments

ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothParties.

10.Signatures

1.ScopeofServices

1.1TheFirmagreestoprovidetheClientwithlegalservicesasdescribedinExhibitAattachedhereto(the"Services").TheServicesshallinclude,butnotbelimitedto,thefollowing:

a.Preparationandreviewof[specificlegaldocuments,suchascontracts,agreements,etc.];

b.Legaladviceandcounselon[specificlegalissues];

c.Representationin[specificlegalproceedingsornegotiations];

d.AnyotherlegalservicesreasonablyrequiredbytheClientinconnectionwiththesubjectmatterofthisAgreement.

1.2TheFirmshalluseitsbesteffortstoperformtheServicesinatimelyandprofessionalmanner.

2.DurationofAgreement

2.1ThisAgreementshallcommenceontheEffectiveDate(asdefinedbelow)andshallcontinueinfullforceandeffectforaperiodof[numberofmonths/years](the"Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.2UpontheexpirationoftheTerm,thisAgreementmayberenewedforadditionalperiodsof[numberofmonths/years]bymutualwrittenagreementoftheParties.

3.FeesandExpenses

3.1TheClientshallpaytheFirmfortheServicesrenderedhereunderattheratessetforthinExhibitBattachedhereto(the"Fees").

3.2TheFeesshallbeinvoicedmonthlyorasotherwiseagreeduponbytheParties.Allinvoicesshallbedueandpayablewithin[numberofdays]daysfromthedateoftheinvoice.

3.3InadditiontotheFees,theClientshallberesponsibleforallout-of-pocketexpensesincurredbytheFirminconnectionwiththeperformanceoftheServices,includingbutnotlimitedtotravelexpenses,filingfees,andthird-partyfees.

3.4AllFeesandexpensesshallbesubjecttoapplicablesalestax,value-addedtax,orothersimilartaxes,whichshallbepaidbytheClientinadditiontotheFeesandexpenses.

4.Confidentiality

4.1ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformation(asdefinedbelow)disclosedbyeitherPartytotheotherinconnectionwiththisAgreement.

4.2"ConfidentialInformation"shallmeananyandallnon-publicinformation,includingbutnotlimitedtotechnical,commercial,financial,operational,andlegalinformation,thatisdisclosedbyeitherPartytotheother.

4.3TheconfidentialityobligationsunderthisSectionshallsurvivetheterminationorexpirationofthisAgreement.

5.OwnershipofWorkProduct

5.1Allworkproduct(asdefinedbelow)preparedordevelopedbytheFirminconnectionwiththeperformanceoftheServicesshallbethesoleandexclusivepropertyoftheClient.

5.2"Workproduct"shallmeanallmaterials,documents,andotheritemspreparedordevelopedbytheFirminconnectionwiththeperformanceoftheServices,includingbutnotlimitedtodrafts,memoranda,reports,andlegalopinions.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheother,providedthatsuchnoticeshallbegivenatleast[numberofdays]dayspriortotheeffectivedateoftermination.

6.2Inadditiontotheabove,thisAgreementmaybeterminatedbyeitherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceiptofwrittennoticethereof.

6.3UponterminationofthisAgreement,theClientshallpaytheFirmforallServicesrenderedpriortotheeffectivedateoftermination,andtheFirmshallreturnallconfidentialinformationtotheClient.

7.Indemnification

7.1TheClientshallindemnify,defend,andholdharmlesstheFirmanditsofficers,directors,employees,andagentsfromandagainstanyandallclaims,actions,demands,liabilities,losses,damages,judgments,settlements,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeClient'suseoftheServicesoranybreachofthisAgreementbytheClient.

7.2TheFirmshallindemnify,defend,andholdharmlesstheClientanditsofficers,directors,employees,andagentsfromandagainstanyandallclaims,actions,demands,liabilities,losses,damages,judgments,settlements,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeFirm'sperformanceoftheServicesoranybreachofthisAgreementbytheFirm.

8.LimitationofLiability

8.1INNOEVENTSHALLTHEFIRMBELIABLETOTHECLIENTFORANYINDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,ORPUNITIVEDAMAGES,INCLUDINGBUTNOTLIMITEDTODAMAGESFORLOSSOFPROFITS,REVENUE,DATA,ORUSE,INCURREDBYTHECLIENTORANYTHIRDPARTYINCONNECTIONWITHTHISAGREEMENTORTHEPERFORMANCEOFTHESERVICES,EVENIFTHEFIRMHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

8.2THETOTALLIABILITYOFTHEFIRMTOTHECLIENTFORALLCLAIMSARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHEPERFORMANCEOFTHESERVICESSHALLNOTEXCEEDTHETOTALAMOUNTOFFEESPAIDBYTHECLIENTTOTHEFIRMUNDERTHISAGREEMENT.

9.GoverningLawandJurisdiction

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Jurisdiction],withoutregardtoitsconflictoflawsprinciples.

9.2AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof[Jurisdiction],andthePartiesherebyconsenttothepersonaljurisdictionofsuchcourts.

10.EntireAgreement

10.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.

10.2NoamendmentormodificationofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothParties.

11.Counterparts

ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

1.Recitals

3.TermandTermination

3.1ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilterminatedasprovidedherein(the"Term").

3.2EitherPartymayterminatethisAgreementupon[specifynoticeperiod]days'writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithinsuchnoticeperiod.

4.FeesandExpenses

5.Confidentiality

5.1ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformation(the"ConfidentialInformation")disclosedtothembytheotherPartyinconnectionwiththisAgreement.

5.2ConfidentialInformationshallinclude,butnotbelimitedto,[specifytypesofinformation,e.g.,financialinformation,businessplans,customerlists,technicaldata,andlegalstrategies].

6.LimitationofLiability

6.1TheFirmshallnotbeliabletotheClientforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeServicesprovidedunderthisAgreement.
