1、國際貨物買賣合同（范本）年月日為賣方和為買方。雙方同意買賣，其條款如下：合同貨物：產(chǎn) 地：數(shù) 量：合同價(jià)格：包 裝：付款條件：簽訂合同后買方于個(gè)銀行日內(nèi)開出以賣方為受益人的、經(jīng)確認(rèn)的、不可撤銷的、可分割、可轉(zhuǎn)讓的、不得分批裝運(yùn)的、無追索權(quán)的信用證。裝船：從賣方收到買方信用證日期算起，天內(nèi)予以裝船。若發(fā)生買方所訂船舶未按時(shí)到達(dá)裝貨，按本合同規(guī)定，賣方有權(quán)向買方索賠損毀耽擱費(fèi)，按總金額計(jì)算為限。因此，買方需向賣方提供銀行保證。保證金：賣方收到買方信用證的個(gè)銀行日內(nèi)，向買方寄出的保證金或銀行保函。若賣方不執(zhí)行合同，其保證金買方予以沒收。應(yīng)附的單據(jù)：賣方向買方提供：（）全套清潔提貨單；（）一式四份經(jīng)簽

2、字的商業(yè)發(fā)票；（）原產(chǎn)地證明書；（）裝箱單；（）為出口所需的其他主要單據(jù)。裝船通知：賣方在規(guī)定的裝貨時(shí)間，至少天前用電報(bào)方式將裝船條件告知買方。買方或其代理人將裝貨船估計(jì)到達(dá)裝貨港的時(shí)間告知賣方。其他條款：質(zhì)量、數(shù)量和重量的檢驗(yàn)可于裝貨港一次進(jìn)行。若要求提供所需的其它證件，其辦理手續(xù)費(fèi)、領(lǐng)事簽證費(fèi)應(yīng)買方負(fù)擔(dān)。裝船時(shí)間：當(dāng)日：或次日：裝船。裝貨效率：每一個(gè)晴天工作日，除星期日，節(jié)假日外，每艙口進(jìn)貨為立方噸。延期費(fèi)慢裝卸罰款：對(duì)于載重噸船來說，每天。不可抗力：簽約雙方的任何一方由于臺(tái)風(fēng)，地震和雙方同意的不可抗力事故而影響合同執(zhí)行時(shí)，則延遲合同的期限應(yīng)相當(dāng)于出事故所影響的時(shí)間。 買方： 證人：日期：

6、l Chartering Corporation (Address: Er LiGou Beijing Cable Address: ZHOUGZU PEKING).The Sellers shall undertake to load the contracted goods on board the vessel nominated by the Buyers on any date notified by the Buyers, within the time of shipment stipulated in the Clause (9) of this Contract.(B)貨物裝

7、運(yùn)前1015日，買方應(yīng)電告賣方合同號(hào)、船只名稱、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱，以便賣方可與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣方應(yīng)將聯(lián)系結(jié)果及時(shí)報(bào)告買方，如買方因故需要變更船只或有關(guān)船只提前或推遲到達(dá)情況發(fā)生，買方或船運(yùn)代理人應(yīng)及時(shí)通知賣方。賣方亦應(yīng)與中租代理保持密切聯(lián)系。1015 days prior to the date of shipment,the Buyers shall inform the Sellers by cable if the contract number, name of vessel, ETA of vessel, quantity to be

8、loaded and the name of shipping agent, so as to enable the latter to contact the shipping agent directly and arrange the shipment of the goods. The Sellers shall cable in time the Buyers of the result thereof. Should,for certain reasons,it become necessary for the Buyers to replace the named vessel

9、with another one, or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Sellers, the Buyers or their shipping agent shall advise the Sellers to this effect in due time. The Sellers shall also keep close contact with the agen

10、t of Zhougzu.(C)如買方所訂船只到達(dá)裝港后，賣方不能按買方所通知的時(shí)間如期裝船時(shí)，則空艙費(fèi)及滯期費(fèi)等一切費(fèi)用和后果均由賣方負(fù)擔(dān).但如船只臨時(shí)撤換、延期或退關(guān)等情況而未能及時(shí)通知賣方停止發(fā)貨者，在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算，應(yīng)以代理通知之裝船日期(如貨物晚于船代理通知之裝船日期抵達(dá)裝港，應(yīng)以貨物抵港日期)為準(zhǔn)，在 港口免費(fèi)堆存期滿后第16天起應(yīng)由買方負(fù)擔(dān)，人力不可抗拒的情況除外，但賣方仍負(fù)有載貨船只到達(dá)裝港后立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種有關(guān)費(fèi)用均憑原始單據(jù)核實(shí)支付。Should the Sellers fail to load the goods,withi

11、n the time as notified by the Buyers, on board the vessel booked by the Buyers after its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc.,and consequences thereof shall be borne by the Sellers. Should the vessel be withdraw or replaced or delayed eventually or the

12、cargo be shut out,etc.,and the Sellers be not informed in good time to stop delivery of the cargo, the calculation of the loss for storage expenses and insurance premium thus sustained at the loading port should be based on the loading date notified by the agent to the Sellers(or based on the date o

13、f the arrival of the cargo at the loading port in case port in case the cargo should arrive there later than the notified loading date).The above-mentioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the Buyers with the exception of Fo

14、rce Majeure. However, the Sellers still undertaked to load the cargo immediately upon the carrying vessel's arrivel at the loading port at their own risks and expenses. The payment of the afore-said expenses shall be effected against presentation of the original vouchers after being checked.2.裝船

15、通知：貨物裝運(yùn)完畢后，賣方立即以電報(bào)通知買方合同號(hào)、貨名、所裝數(shù)量或重量、發(fā)票金額、船名、起運(yùn)口岸、開船日期及目的口岸。由于賣方不給上述裝船通知電報(bào)而導(dǎo)致買方不能及時(shí)保險(xiǎn)時(shí)，則所發(fā)生之一切損失均由賣方負(fù)責(zé)賠償。Advice of Shipment: Immediately after completion of loading of goods on board the vessel the Sellers shall advise the Buyers by cable of the contract numver, name of goods, quantity or weight loa

16、ded, invoice value, name of vessel, port of shipment, sailing date and port of destination. Should the Buyers be made unable to arrange insurance in time owing to the Sellers' failure to give the above mentioned advice of shipment by cable, the Sellers shall be held responsible for any and alll

17、damage and/or loss attributable to such failrue.3.裝船單據(jù)：Shipping Documents:(A)賣方憑下列單據(jù)向付款銀行議付貨款：(a)填寫通知目的口岸中國對(duì)外貿(mào)易運(yùn)輸公司分公司的空白抬頭、空白背書的全套已裝船清潔海運(yùn)提單(如系成本加運(yùn)費(fèi)條款則注明運(yùn)費(fèi)已付，如系離岸價(jià)條款則注明運(yùn)費(fèi)待收)。(b)已簽署的發(fā)票5份，注明合同號(hào)及裝船碼頭。(c)注明尺碼的裝箱單/或重量單2份。(d)本交貨條款第5條規(guī)定的品質(zhì)檢驗(yàn)證明書及數(shù)量或重量證明書各1份。(e)本交貨條款第2條規(guī)定的裝船港通知電報(bào)副本1份。The Sellers shall presen

19、 Trade Transportation Corporation at the port of destination.(b) Five copies of signed invoice,indicating contract number and shipping marks.(c)Two copies of packing list and/or weight memo with indication of measurement.(d)One copy each of the certificates of quality and quantity or weight, as stip

20、ulated in the Clause 5 of the Terms of Delivery.(e) One duplicate copy of the cable advice of shipment, as stipulated in the Clause 2 of the Terms of Delivery.(B)賣方需將提單、發(fā)票及裝箱單副本各1份隨船帶交目的口岸買方收貨代理人中國對(duì)外貿(mào)易運(yùn)輸公司分公司。The Sellers shall despatch,in care of the carrying vessel, one copy each of the duplicates

22、l one set of the duplicate documents to the Buyers and two sets to the Branch of China National Foreign Trade Transportation Corporation at the port of destination.4.危險(xiǎn)品說明書：凡屬危險(xiǎn)品及/或有毒貨物，賣方必須提供其危險(xiǎn)或有毒性質(zhì)、運(yùn)輸、倉儲(chǔ)及裝卸注意事項(xiàng)和急救、防治、消防方法的說明書，將此項(xiàng)說明書隨同裝船單據(jù)航空郵寄給買方及目的口岸的中國對(duì)外貿(mào)易運(yùn)輸公司分公司各3份。Dangerous Cargo Instruction L

23、eaflets: For dangerous and/or poisonous cargo, the Sellers must provide instruction leaflets stating the hazardous or poisonous properties, transportation, storage and handling remarks, as well as precautionary and first-aid measures and measures against fire. The Sellers shall airmail, together wit

24、h other shipping documents, three copies each of the same to the Buyers and the Branch of China National Foreign TradeTransportation Corporation at the port of destination.5.商品檢驗(yàn)：雙方同意以制造廠出具之品質(zhì)及數(shù)量或重量檢驗(yàn)證明書作為賣方向付款銀行議付貨款單據(jù)之一。但貨物的品質(zhì)及數(shù)量或重量的檢驗(yàn)應(yīng)按下列規(guī)定辦理：Inspection: It is mutually agreed that the certificates

25、 of quality and quantity or weight issued by the Manufacturer shall be part of the documents to be presented to the paying bank for negotiation of payment. However,the inspection of quality and quantity or weight shall be made in accordance with the following:(A)一般貨物：貨到目的口岸60天內(nèi)經(jīng)中國商品檢驗(yàn)局復(fù)驗(yàn)，如發(fā)現(xiàn)品質(zhì)或數(shù)量或重量

26、與本合同規(guī)定不符時(shí)，除屬于保險(xiǎn)公司或船方負(fù)責(zé)者外，買方憑中國商品檢驗(yàn)局出具的檢驗(yàn)證明書向賣方提出退貨或索賠。因退貨或索賠引起的一切費(fèi)用(包括檢驗(yàn)費(fèi))及損失均由賣方負(fù)擔(dān)。在此情況下，凡貨物適于抽樣者，如賣方要求，買方可將樣品寄交賣方。For General Cargo: In case the quality,quantity or Weight of the goods be found not in conformity with those stipulated in this Contract after re-inspection by the china Commodity Insp

27、ection Bureau within 60 days after arrival of the goods at the port of destination, the Buyers shall return the goods to or lodge claims against the Sellers for compensation of losses upon the strength of Inspection Certificate issued by the said Bereau, with the exception of those claims for which

28、the insurers or owners of the carrying vessel are liable. All expenses (including inspection fees) and losses arising from the return of the goods or claims should be borne by the Sellers. In such case, the Buyers may, if so requested, send a sample of the goods in quetion to the Sellers, provided t

29、hat sampling is feasible.(B)醫(yī)藥商品：進(jìn)口的醫(yī)藥商品應(yīng)受中華人民共和國法律及規(guī)章的約束，凡不合格的醫(yī)藥商品不準(zhǔn)進(jìn)口。雙方同意本合同所訂立此類商品之品質(zhì)應(yīng)以貨物到達(dá)目的口岸后90后內(nèi)經(jīng)中國商品檢驗(yàn)局檢驗(yàn)并以該局所簽發(fā)之檢驗(yàn)證為最后依據(jù)，雙方均遵守之。不合格貨物賣方應(yīng)予收回，并賠償買方貨款及因退貨而遭受的運(yùn)輸、儲(chǔ)藏、利息、檢驗(yàn)等費(fèi)用損失。如中國商品檢驗(yàn)局檢驗(yàn)數(shù)量或重量與本合同規(guī)定不符時(shí)，買方有權(quán)在貨物運(yùn)抵目的地口岸60天內(nèi)憑中國商品檢驗(yàn)局的檢驗(yàn)證向賣方提出索賠。For pharmaceutical: Pharmaceutical imported into China

30、are subject to laws and regulations of the People's Republic of China. Disqualitied pharmaceutical are prohibited to be imported. It is mutually agreed that for the quality of the contracted goods in this category, the Inspection Certificate issued by the China Commodity Inspection Bureau after

31、inspection the goods within 90 days from the date of arrival at the port of destination shall be taken as final and binding upon both parties. The Sellers shall take back all the disqualified goods and compensate the Buyers for the value of the goods plus all losses sustained due to return of the ca

32、rgo, such freight, storage charges, insurance premium, interest, inspection charges, etc.Should the quantity/weight be found not in conformity with those stipulated in this Contract after inspection by the China Commodity with those stipulated in this Contract after inspection by the China Commodity

33、 Inspection Bureau, the Buyers shall have the right to claim against the Sellers for compensation of losses within 60 days after the arrival of the goods at the port of destinationon the basis of the Inspection Certificate issued by the said bureau6.人力不可抗拒：由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延，賣方不負(fù)責(zé)任。但賣方必須在事故發(fā)生

34、時(shí)立即電告買方并在事故發(fā)生后15天內(nèi)航空郵寄給買方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害存在。除因不可抗力致裝船遲延或不能交貨外，如賣方不能按合同規(guī)定期限內(nèi)裝船，則需要賠償買方直接由于遲期交貨或不能按合同條件交貨所遭受之一切損失及費(fèi)用。人力不可抗拒事故如繼續(xù)存在60天以上時(shí)，買方有權(quán)撤銷合同或合同中未裝運(yùn)部分。Force Majerue: The Sellers shallnot be held responsible for late delivery or non-delivery of the goods owing to generally recognized &quo

35、t;Force Majerue"causes. However,in such case,the Sellers shall immediately cable the Buyers the accident and airmail to the Buyers within 15 days after the accident, a certificate of the accident issued by the competent government authorities or the chamber of commerce which is located at the p

36、lace where the accident occurs as evidence thereof. With the exception of late delivery or non-delivery due to "Force Majeure"causes, in case the Sellers fail to make delivery within the time as stipuated in the contract,the Sellers should indemnifythe Buyers for all losses and expenses in

37、curred to the latter directly attributable to late delivery or failure to make delivery of the goods in accordance with the terms of this contract.If the "Force Majeuer"cause lasts over 60 days, the Buyers shall have the rigt to cancel the Contract or the undelivered part of the Contract.7

38、.仲裁：一切因執(zhí)行本合同所發(fā)生與本合同有關(guān)之爭執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭執(zhí)應(yīng)提交中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)， 按照該仲裁委員會(huì)仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國北京。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力，對(duì)仲裁費(fèi)用除非仲裁委員會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。Arbitration: All disputes in connection with this Contract or the execution there of shall be amicably settledthrough negotiation. The arbitration shall take place in Beijing,china and shall be executed in accordance with thePro

40、visional Rules of Procedure of the said Commission and the decision made by the Arbitration Commission shallbe accepted as final and binding upon both parties. 42、本合同交貨條款第18條A款所列單據(jù)在開證銀行議付貸款。上述信用證有效期將在裝船后15天截止。13.其它條件：除非經(jīng)買方同意和接受，本合同其它一切有關(guān)事項(xiàng)均按第二部分交貨條款之規(guī)定辦理，該交貨條款為本合同不可分的部分，本合同如有任何附加條款將自動(dòng)地優(yōu)先執(zhí)行附加條款，如附加條款與本合同條款有抵觸，則以附加條款為準(zhǔn)。章名 第二部分章名 14.FOBFAS條件14.1.本合同項(xiàng)下貨物的裝運(yùn)艙位由買方或買方的運(yùn)輸代理人租訂。14.2.在FOB條件下，賣方應(yīng)負(fù)責(zé)將所訂貨物在本合同第8條所規(guī)定的裝船期內(nèi)按買方所通知的任何日期裝上買方所指定的船只。14.3.在FAS條件下，賣方應(yīng)負(fù)責(zé)將所訂貨物在本合同第8條所

43、規(guī)定的裝船期內(nèi)按買方所通知的任何日期交到買方所指定船只的吊桿下。14.4.貨物裝運(yùn)日前1015天，買方應(yīng)以電報(bào)或電傳通知賣方合同號(hào)、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱。以便賣方經(jīng)與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣方應(yīng)將聯(lián)系結(jié)果通過電報(bào)或電傳及時(shí)報(bào)告買方。如買方因故需要變更船只或者船只比預(yù)先通知賣方的日期提前或推遲到達(dá)裝運(yùn)港口，買方或其船運(yùn)代理人應(yīng)及時(shí)通知賣方。賣方亦應(yīng)與買方的運(yùn)輸代理或買方保持密切聯(lián)系。14.5.如買方所訂船只到達(dá)裝運(yùn)港后，賣方不能在買方所通知的裝船時(shí)間內(nèi)將貨物裝上船只或?qū)⒇浳锝坏降鯒U之下，賣方應(yīng)負(fù)擔(dān)買方的一切費(fèi)用和損失，如空艙費(fèi)、滯期費(fèi)及由此而引起的及或遭受的買

44、方的一切損失。14.6.如船只撤換或延期或退關(guān)等而未及時(shí)通知賣方停止交貨，在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算，應(yīng)以代理通知之裝船日期（如貨物晚于代理通知之裝船日期抵達(dá)裝港，應(yīng)以貨物抵港日期）為準(zhǔn)，在港口免費(fèi)堆存期滿后第十六天起由買方負(fù)擔(dān)，人力不可抗拒的情況除外。上述費(fèi)用均憑原始單據(jù)經(jīng)買方核實(shí)后支付。但賣方仍應(yīng)在裝載貨船到達(dá)裝港后立即將貨物裝船，交負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。章名 15.CF條件15.1.賣方在本合同第8條規(guī)定的時(shí)間之內(nèi)應(yīng)將貨物裝上由裝運(yùn)港到中國口岸的直達(dá)船。未經(jīng)買方事先許可，不得轉(zhuǎn)船。貨物不得由懸掛中國港口當(dāng)局所不能接受的國家旗幟的船裝載。15.2.賣方所租船只應(yīng)適航和適貨。賣方租船時(shí)應(yīng)慎

45、重和認(rèn)真地選擇承運(yùn)人及船只。買方不接受非保賠協(xié)會(huì)成員的船只。15.3.賣方所租載貨船只應(yīng)在正常合理時(shí)間內(nèi)駛達(dá)目的港。不得無故繞行或遲延。15.4.賣方所租載貨船只船齡不得超過15年。對(duì)超過15年船齡的船只其超船齡額外保險(xiǎn)費(fèi)應(yīng)由賣方負(fù)擔(dān)。買方不接受船齡超過二十年的船只。15.5.一次裝運(yùn)數(shù)量超過一千噸的貨載或其它少于一千噸但買方指明的貨載，賣方應(yīng)在裝船日前至少10天用電傳或電報(bào)通知買方合同號(hào)、商品名稱、數(shù)量、船名、船齡、船籍、船只主要規(guī)范、預(yù)計(jì)裝貨日、預(yù)計(jì)到達(dá)目的港時(shí)間、船公司名稱、電傳和電報(bào)掛號(hào)。15.6.一次裝運(yùn)一千噸以上貨載或其它少于一千噸但買方指明的貨載，其船長應(yīng)在該船抵達(dá)目的港前7天和

46、24小時(shí)分別用電傳或電報(bào)通知買方預(yù)計(jì)抵港時(shí)間、合同號(hào)、商品名稱及數(shù)量。15.7.如果貨物由班輪裝運(yùn)，載貨船只必須是船級(jí)社最高船級(jí)或船級(jí)協(xié)會(huì)條款規(guī)定的相同級(jí)別的船級(jí)，船只狀況應(yīng)保持至提單有效期終了時(shí)止，以裝船日為準(zhǔn)船齡不得超過20年。超過20年船齡的船只，賣方應(yīng)負(fù)擔(dān)超船齡外保險(xiǎn)費(fèi)。買方絕不接受超過25年船齡的船只。15.8.對(duì)于散件貨，如果賣方未經(jīng)買方事前同意而裝入集裝箱，賣方應(yīng)負(fù)責(zé)向買方支付賠償金，由雙方在適當(dāng)時(shí)間商定具體金額。15.9.賣方應(yīng)和載運(yùn)貨物的船只保持密切聯(lián)系，并以最快的手段通知買方船只在途中發(fā)生的一切事故，如因賣方未及時(shí)通知買方而造成買方的一切損失賣方應(yīng)負(fù)責(zé)賠償。章名 16.CI

48、待收”）。18.A.2.由信用證受益人簽名出具的發(fā)票5份，注明合同號(hào)、信用證號(hào)、商品名稱、詳細(xì)規(guī)格及裝船嘜頭標(biāo)記。18.A.3.兩份由信用證受益人出具的裝箱單及或重量單，注明每件貨物的毛重和凈重及或尺碼。18.A.4.由制造商及或裝運(yùn)口岸的合格、獨(dú)立的公證行簽發(fā)的品質(zhì)檢驗(yàn)證書及數(shù)量或重量證書各兩份，必須注明貨物的全部規(guī)格與信用證規(guī)定相符。18.A.5.本交貨條件第17條規(guī)定的裝船通知電報(bào)或電傳副本一份。18.A.6.證明上述單據(jù)的副本已按合同要求寄出的書信一封。18.A.7.運(yùn)貨船只的國籍已經(jīng)買主批準(zhǔn)的書信一封。18.A.8.如系賣方保險(xiǎn)需提供投保不少于發(fā)票價(jià)值110的一切險(xiǎn)和戰(zhàn)爭險(xiǎn)的保險(xiǎn)單。

49、18.B.不接受影印、自動(dòng)或電腦處理、或復(fù)印的任何正本單據(jù)，除非這些單據(jù)印有清晰的“正本”字樣，并經(jīng)發(fā)證單位授權(quán)的領(lǐng)導(dǎo)人手簽證明。18.C.聯(lián)運(yùn)提單、遲期提單、簡式提單不能接受。18.D.受益人指定的第三者為裝船者不能接受，除非該第三者提單由裝船者背書轉(zhuǎn)受益人，再由受贈(zèng)人背書后方可接受。18.E.信用證開立日期之前出具的單據(jù)不能接受。18.F.對(duì)于CFCIF貨載，不接受租船提單，除非受益人提供租船合同、船長或大副收據(jù)、裝船命令、貨物配載圖及或買方在信用證內(nèi)所要求提供的其它單據(jù)副本各一份。18.G.賣方須將提單、發(fā)票及裝箱單各兩份副本隨船帶交目的口岸的買方收貨代理人。18.H.載運(yùn)貨船啟碇后，賣
