4.2TheManufacturershallprovidetheOEMPartnerwithanynecessarytechnicaldocumentationandsupportinaccordancewiththetermssetforthinExhibitFattachedhereto.

5.INTELLECTUALPROPERTYRIGHTS

5.1TheManufacturershallretainallright,title,andinterestinandtotheProducts,including,butnotlimitedto,anyandallpatents,copyrights,trademarks,andtradesecrets.

5.2TheOEMPartnershallnotacquireanyright,title,orinterestintheProducts,exceptasexpresslygrantedherein.

6.WARRANTIES

6.1TheManufacturerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.

6.2TheManufacturer'ssoleliabilityunderthiswarrantyshallbelimitedtotherepairorreplacementofanydefectiveProducts.

8.TERMANDTERMINATION
