2025涉外租賃合同格式(英文版)LEASEAGREEMENT(INTEFLOR)datedthisdayof,2025,enteredintobyandbetweenthefollowingparties:Landlord(Lessor):NAME:ADDRESS:CITY,STATE,ZIPCODE:CONTACTINFORMATION:Tenant(Lessee):NAME:ADDRESS:CITY,STATE,ZIPCODE:CONTACTINFORMATION:**leasedpremisepremise:describedas:locatedat,City,_,,ZipCode:.1.TermofLeaseThetermofthisleaseshallcommenceonandendon,unlessterminatedearlierinaccordancewiththetermshereof(the"Term").2.RentTheTenantshallpaytheLandlordamonthlyrentalfeeof人民幣(RMB)(the"Rent"),payablequarterlyinadvanceonthedayofeachmonth.Thefirstinstallmentshallbepaidon,andthefinalinstallmentshallcovertheperiodfromtoandshallbepaidon,regardlessofwhetherthetermisextendedorterminated.3.DepositTheTenantshalldeposit人民幣(RMB)(the"Deposit")withtheLandlordassecurityfortheperformanceoftheTenant'sobligationsunderthisAgreement.TheDepositshallbereturnedtotheTenant,withoutinterest,withindaysaftertheexpirationorearlierterminationofthisLease,providedthatnoclaimsarependingagainsttheDeposit.4.UseofPremisesTheTenantagreestousethePremisessolelyforthepurposeofandincompliancewithallapplicablelaws,regulations,andordinances.TheTenantshallnotusethePremisesforanyillegalorunauthorizedpurposeorconductanyactivitythatmaydisturbtheneighboringpropertiesorresidents.5.MaintenanceandRepair5.1TheTenantshallmaintainthePremisesingoodrepairandcondition,attheTenant'ssoleexpense,duringtheTerm.5.2TheLandlordshallberesponsibleforstructuralrepairstothePremises,includingtheroof,walls,andfoundation,providedthattheTenantpromptlynotifiestheLandlordofanydamageorrequiredmaintenance.5.3TheTenantshallberesponsibleforallinteriorrepairs,includingwalls,floors,andfixtures,aswellasallrepairstoappliancesandequipmentprovidedbytheLandlord.6.Insurance6.1TheTenantshallmaintainatitsownexpenseliabilityinsuranceandpropertydamageinsurancecoveringthePremisesandanypropertytherein,withcoveragelimitsofnotlessthan人民幣(RMB).6.2TheTenantshallpromptlyprovidetheLandlordwithacertificateofinsurancenamingtheLandlordasanadditionalinsuredparty,uponexecutionofthisAgreementandannuallythereafter.7.IndemnificationTheTenantagreestoindemnify,defend,andholdharmlesstheLandlord,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtotheTenant'suseofthePremises,excepttotheextentcausedbytheLandlord'snegligenceorwillfulmisconduct.8.AssignmentandSublettingTheTenantshallnotassign,transfer,orsubletthePremisesoranypartthereofwithoutthepriorwrittenconsentoftheLandlord,whichconsentshallnotbeunreasonablywithheld,conditioned,ordelayed.Anypurportedassignment,transfer,orsublettingwithoutsuchconsentshallbenullandvoidandshallconstituteamaterialbreachofthisAgreement.9.DefaultandRemedies9.1ForthepurposesofthisAgreement,thefollowingshallconstituteaneventofdefaultbytheTenant:(a)FailuretopaytheRentoranyotheramountrequiredunderthisAgreementwithindaysafterwrittennoticefromtheLandlord;(b)abandonmentofthePremisesorremovaloftheTenant'spropertytherefromindicatinganintentionnottoreturn;(c)anymaterialbreachofanyothertermorconditionofthisAgreement,ifnotcuredwithindaysafterwrittennoticefromtheLandlord.9.2Upontheoccurrenceofanyeventofdefault,theLandlordmay,atitsoption,terminatethisLeaseimmediatelyorpursueanyotherremedyavailableatlaworinequity,including,butnotlimitedto,recoveringdamages,repossessingthePremises,orseekingpossessionthereofthroughappropriatelegalproceedings.10.NoticeAllnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhen(a)deliveredpersonallytotheintendedrecipient,(b)sentbyregisteredorcertifiedmail,returnreceiptrequested,postageprepaid,or(c)sentbyemailwithconfirmationofreceipt,providedthatanyemailnoticemustbefollowedbywrittenconfirmationwithinbusinessdays.Noticesshallbeaddressedasfollows:TotheLandlord:TotheTenant:11.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbebroughtinthecourtsoftheCity,Province,China,andthepartiesheretoirrevocablyconsenttothejurisdictionofsuchcourts.12.ArbitrationThepartiesagreetosubmitanydisputesarisingoutoforrelatingtothisAgreementtoarbitrationinaccordancewiththeArbitrationRules,providedthatsucharbitrationshallbeconductedinandjudgmentmaybeenteredinanycourthavingjurisdiction.13.Miscellaneous13.1EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweentheLandlordandTenantregardingtheleaseofthePremises,andsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.13.2Amendments:NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothparties.13.3Waiver:NowaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritin
