2025年大中型施工總承包工程合同風(fēng)險(xiǎn)管理研究CONTRACTNO.:THISCONTRACTisenteredintoonthisdayof,2025,byandbetween:PARTYA(Employer):Hereinafterreferredtoas"PartyA".PARTYB(Contractor):Hereinafterreferredtoas"PartyB".BASISFORTHECONTRACT:InaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina,includingbutnotlimitedtothe"ConstructionLaw"andthe"ContractLaw",PartyAandPartyB,basedontheprincipleofequalityandmutualbenefitandthroughfriendlyconsultations,haveagreedtoenterintothiscontractforthepurposeofclearlydefiningtherightsandobligationsbetweenbothparties.1.ENGINEERINGPROJECTDESCRIPTION1.1ProjectName:1.2ProjectLocation:1.3ProjectScale:1.4ProjectContent:1.5承包范圍(ScopeofWork):2.CONTRACTAMOUNT2.1TotalContractAmount:ThetotalcontractamountforthisprojectisRMB(大寫(xiě):).2.2PaymentSchedule:PartyAshallpaytheprogresspaymentstoPartyBinaccordancewiththefollowingschedule::%ofthetotalcontractamount;:%ofthetotalcontractamount;:%ofthetotalcontractamount;Thefinalpaymentshallbemadewithindaysafterthecompletionandacceptanceoftheproject.3.CONTRACTTERM3.1StartDate:3.2CompletionDate:3.3TotalDuration:days.4.RIGHTSANDOBLIGATIONSOFPARTYA4.1RighttoSupervision:PartyAhastherighttosupervisetheprogressandqualityoftheproject.4.2PaymentObligation:PartyAshallmakepaymentsinaccordancewiththepaymentschedulespecifiedinthiscontract.4.3Cooperation:PartyAshallprovidethenecessaryconditionsandsupportfortheproject,includingbutnotlimitedtositeaccess,permits,andutilities.4.4Acceptance:PartyAshallorganizeandparticipateintheacceptanceoftheprojectinaccordancewiththetermsofthiscontract.5.RIGHTSANDOBLIGATIONSOFPARTYB5.1ConstructionObligation:PartyBshallstrictlycomplywiththeconstructiondrawings,specifications,andlocalregulations,andcompletetheprojectinaccordancewiththescheduledtimelineandqualitystandards.5.2QualityAssurance:PartyBshallensurethattheprojectiscompletedinaccordancewiththequalitystandardsandspecifications,andshallbeartheresponsibilityforanydefectsornon-conformities.5.3SafetyandCompliance:PartyBshallstrictlycomplywithallapplicablelaws,regulations,andsafetystandardsduringtheconstructionprocess.5.4Reporting:PartyBshallprovideregularprogressreportsandotherrequireddocumentationtoPartyA.6.QUALITYREQUIREMENTS6.1Theprojectshallbeconstructedinaccordancewiththefollowingstandards:6.2Thefinalacceptanceshallbeconductedinaccordancewiththefollowingprocedures:6.3Iftheprojectfailstomeetthequalitystandards,PartyBshallberesponsibleforrectifyingthedefectsatitsownexpense.7.PROGRESSANDDELAYS7.1PartyBshallstrictlyadheretothescheduledtimelinefortheproject.7.2Ifthereisadelayintheproject,PartyBshallpromptlyinformPartyAofthereasonsforthedelayandproposearevisedtimeline.7.3IfthedelayiscausedbyPartyA,PartyBmayclaimanextensionofthecontractterm.7.4IfthedelayiscausedbyPartyB,PartyBshallbesubjecttoliquidateddamagesasspecifiedinthiscontract.8.VARIATIONSANDCOMPENSATION8.1AnyvariationstotheprojectshallbeproposedinwritingbyeitherPartyAorPartyB.8.2Thecostandtimelineimplicationsofthevariationsshallbenegotiatedandapprovedbybothparties.8.3PartyBmayclaimcompensationforanyadditionalworkordelayscausedbyPartyA.9.WARRANTY9.1PartyBshallprovideawarrantyfortheprojectforaperiodofyearsfromthedateofcompletionandacceptance.9.2Duringthewarrantyperiod,PartyBshallrepairanydefectsordamagesatitsownexpense.9.3Thewarrantyperiodmaybeextendedundercertaincircumstancesasagreedbybothparties.10.TERMINATIONOFTHECONTRACT10.1Eitherpartymayterminatethiscontractintheeventofmaterialbreachbytheotherparty,upongivingwrittennoticeandfailingtocurethebreachwithindays.10.2Intheeventoftermination,PartyAshallpayPartyBfortheworkcompleteduptothedateoftermination.10.3Incaseofinsolvencyorliquidationofeitherparty,thiscontractshallbeterminatedautomatically.11.LIQUIDATEDDAMAGES11.1IfPartyBfailstocompletetheprojectontime,PartyBshallpayliquidateddamagesofRMBperdayforeachdayofdelay.11.2IfPartyAfailstomakepaymentsontime,PartyAshallpayliquidateddamagesofRMBperdayforeachdayofdelay.12.FORCEMAJEURE12.1Iftheperformanceofthiscontractisaffectedbyforcemajeureevents,suchasnaturaldisasters,wars,orgovernmentactions,bothpartiesshallnegotiateandadjustthecontractaccordingly.12.2Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaforcemajeureeventandprovideevidencethereof.13.DISPUTERESOLUTION13.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthrough友好協(xié)商(friendlynegotiation).13.2Ifthedisputescannotberesolvedthroughnegotiation,eitherpartymaysubmitthedisputetoarbitrationatt
