其次章設(shè)計詢問范圍及內(nèi)容Scopeofdesignconsultationandcontent乙方設(shè)計詢問范圍ScopeofdesignconsultationforPartyB

本次設(shè)計景觀總面積約為平方米。甲方同意托付乙方擔(dān)當(dāng)其景觀設(shè)計詢問工作。Thetotalareaofthelandscapedesignissquaremeters.PartyAagreestoentrustPartyBfortheconsultativeanddesignwork.

按甲方同意的方案進(jìn)行擴(kuò)初設(shè)計。DesignedaccordingtoPartyAagreedschemeforpreliminarydesign.

此階段的設(shè)計成果有Thisstageofdesignworkresultincludea景觀初設(shè)總平面圖；Preliminarylandscapesetgenerallayoutb局部放大平面圖、剖面圖；Localenlargementoftheplan,sectionplan；c園林小品平、立、剖面圖；Gardenssketchlayout,elevationandsectionpland種植圖(主要樹種及載植方式)；Theplantinglayout(Maintreespeciesandcultivatedmethods)e豎向圖；Verticalplan；f局部景觀立面圖及剖面圖；Partiallandscapeelevationsandsectionplang燈具及欄桿式樣；Lampsandrailingstyleh提交A3圖冊三份。DeliverthreeatlasofA3size此階段用時工作日。Thisstagetakesworkdays4.3第三階段：施工圖設(shè)計Thethirdphase：Constructiondrawingdesign

在擴(kuò)初設(shè)計經(jīng)甲方認(rèn)可后，乙方將進(jìn)行施工圖的設(shè)計工作。AfterthedesignofpreliminarydesignapprovedbyPartyA,PartyBwillstarttheconstructiondrawingdesign.此階段設(shè)計成果有：Thisstageofdesignworkresultinclude：a總平面圖；.Generallayoutb局部放大平面圖；Localenlargementofthefloorplan；c放線圖；Linefigured種植圖；.Plantfiguree鋪裝圖；Installfiguref豎向圖；Verticalplan；g環(huán)境配電圖；Surroundingpowerdistributionchart；h環(huán)境給、排水圖；Surroundingwatersupplyanddrainagei設(shè)計說明、各種詳圖、植物名錄；Designinstruction,thedetailedmap,plantslistj供應(yīng)8套施工圖紙。Delivereightsetsdesigndrawing此階段用時工作日。Thisstagetakesworkdays4.4現(xiàn)場服務(wù)階段Thesiteservicestage在項目進(jìn)入施工階段后，乙方供應(yīng)現(xiàn)場服務(wù)。Aftercommencingtheconstructionphaseoftheproject,PartyBprovideon-siteservice.此階段成果有：Thisstageofdesignworkresultinclude：a與施工方現(xiàn)場交底；communicatewithconstructioncontractorforthedesignintention.b現(xiàn)場效果限制；Jobsiteconstructioncontrolc材料封樣；Sealedsamplematerialsd植物主材選定。Plantsselected此階段用時工作日。Thisstagetakesworkdays

第五章設(shè)計費(fèi)及支付方式Designfeeandthepaymentmethod5.1本合同項目的設(shè)計費(fèi)，總額為人民幣，小寫元整。（按景觀面積平方米，單價元/平方米），Thetotalprojectdesignfeeofthiscontractis,RMB,￥.(squaremetersoftotallandscapearea,price:/squaremeter)

5.2 乙方基本服務(wù)費(fèi)用依據(jù)不同階段分列如下：PartyBbasicservicefeesaccordingtothedifferentstagesareasfollows:

方案設(shè)計階段：提交成果后個工作日內(nèi)，托付方應(yīng)支付設(shè)計費(fèi)人民幣：元整，小寫元（合同金額的%）。：Preliminarydesignphase:theclientshallpayRMBofdesignfee,￥:(%ofcontracttotalamount)withinbusinessdayaftersubmittingtheresults:

方案擴(kuò)初階段：提交成果后個工作日內(nèi)，托付方支付設(shè)計費(fèi)人民幣元整，小寫元（合同金額的%）。：Schemedesignphase:theclientshallpayRMBofdesignfee,￥:(%ofcontracttotalamount)withinbusinessdayaftersubmittingtheresults:

施工圖階段：提交成果后個工作日內(nèi)，托付方支付設(shè)計費(fèi)人民幣元整，小寫元（合同金額的%）。：Constructiondrawingphase:theclientshallpayRMBofdesignfee,￥:(%ofcontracttotalamount)withinbusinessdayaftersubmittingtheresults:

施工期間現(xiàn)場協(xié)作階段：景觀工程竣工驗收后個工作日，托付方支付費(fèi)用為人民幣元整，小寫元（合同金額的%）。Jobsitecooperatingphase:theclientshallpayRMBofdesignfee,￥:(%ofcontracttotalamount)withinbusinessdayafterthelandscapeconstructioncompletedandpasstheacceptanceexamine:

5.3其它：Others甲方需委派一位人員，就此工程設(shè)計方向的事宜上，負(fù)責(zé)批復(fù)乙方的設(shè)計。如甲方要求乙方對已同意的設(shè)計供應(yīng)重大修改，或進(jìn)行合同之外的設(shè)計工作，應(yīng)被視為額外服務(wù)項目，收費(fèi)應(yīng)由甲乙雙方共同協(xié)定。PartyAshallappointastafftoinchargeofPartyB’sengineeringdesignapproval.IfPartyArequestPartyBtobemakemajoradjustmentonthedesignapprovedbyPartyA,orworkonthedesignoutofthiscontractscope,shouldbeconsideredanadditionalservice,feesshouldbedesignbymutualagreementofbothparties.

第六章雙方責(zé)任Chapter6Responsibilitiesofparties6.1甲方責(zé)任ResponsibilitiesofPartyA

甲方按本合同協(xié)定提交的內(nèi)容，在協(xié)定的時間內(nèi)向乙方提交資料及文件，并對其完整性、正確性剛好限負(fù)責(zé)。另外，甲方還應(yīng)供應(yīng)關(guān)于場地條件的數(shù)據(jù)，包括公用事業(yè)、地理條件、道路運(yùn)用權(quán)、限制條件等。PartyAshallsubmitthedataanddocumentscontentinaccordingtothiscontractstipulated,inagreedtimelimit,andberesponsibleforitsintegrity,correctnessandtimelimit.Inaddition,PartyAshallalsoprovidethedataabouttheconditionsatthejobsite,includingutilities,geographicalconditions,roaduseright,constraints,etc.

甲方提交上述資料及文件超過規(guī)定期限15天以內(nèi)，乙方按合同規(guī)定交付設(shè)計文件時間順延；期限超過15天以上時，乙方有權(quán)重新確定提交設(shè)計文件時間。PartyAdelaytosubmittedthedataanddocumentsreferredaboveinexcessoftheprescribedperiodwithin15days,PartyBpostponedeliverthedesigndocumentsinaccordingtothecontractstipulationtime.Ifthedelaytimemorethan15days,PartyBhastherighttodetermineanewsubmittedtimeforthedesigndocuments

甲方變更托付設(shè)計項目、規(guī)模、條件或因提交的資料錯誤，或所提資料作較大修改，以致造成乙方設(shè)計需返工時，雙方除需另行協(xié)商簽訂補(bǔ)充合同（或另訂合同）、重新明確有關(guān)條款外，甲方應(yīng)按乙方所耗工作量向乙方支付返工費(fèi)。PartyBdesignreworkedcausesbyPartyAchangedesignprojects,scale,conditionsorbecauseofthepresentedmaterialmistakes,ormentionedmaterialmajorrevision.Bothpartiesshallsignasupplementaryagreement(orsignanewagreement)andredefinerelevantterms,PartyAshallpayassociatedreworkfeetoPartyBinaccordingtotheworkload.

在合同履行期間，甲方要求終止或解除合同，乙方未起先設(shè)計工作的，不退還甲方已付的定金；已起先設(shè)計工作的，甲方依據(jù)乙方已進(jìn)行的實(shí)際工作量，另行議定。Duringtheimplementofthecontract,PartyArequesttoterminateorrescindthecontract,PartyBhasnotstarteddesignwork,doesnotreturnprepaiddeposittoPartya;designworkhasbegun,PartyAcannegotiatewithPartyBforthefeeinaccordingtotheactualworkload.

甲方應(yīng)按本合同第五章規(guī)定的金額和時間向乙方支付設(shè)計費(fèi)用，每逾期一天，需擔(dān)當(dāng)應(yīng)支付金額千分之二的逾期違約金。逾期超過十四天以上時，乙方有權(quán)暫停履行下階段工作，并書面通知甲方。Partypaythedesignfeeinaccordingtotheclausefifthofthiscontract,Latepaymentshallpay0.2%ofthelatepaymentamountpenaltyperday,ifthelatepaymentisoverduemorethan14days,PartyBhastherighttosuspenditsworkfornextstage,andnoticeinwritingtoPartyA.

甲方要求乙方比合同規(guī)定時間提前提交設(shè)計文件時，甲方應(yīng)支付趕工費(fèi)。PartyArequestsPartyBtosubmitthedesigndocumentsbeforecontractstipulatedtime,PartyAshallpaytherushcost.

甲方應(yīng)為乙方派駐現(xiàn)場的工作人員供應(yīng)工作、生活交通等方面的便利條件，但費(fèi)用由乙方自行擔(dān)當(dāng)。PartyAshouldprovidePartyB'son-sitestaffswork,livingandtrafficconveniences,butthecostshallbebearbyPartyB.

甲方應(yīng)愛護(hù)乙方的設(shè)計版權(quán)，未經(jīng)乙方同意，甲方對乙方交付的設(shè)計文件不得向第三方轉(zhuǎn)讓，否則，乙方有權(quán)索賠。PartyAshallprotectPartyB’sdesigncopyright,PartyAshouldnottransferthedesigndocumentstothirdpartywithouttheagreementofPartyB,orelse,PartyBhastherighttoclaimforcompensation.

甲方有權(quán)在本項目對外宣揚(yáng)時運(yùn)用乙方標(biāo)識。PartyAhastherighttousethelogoofPartyBinadvertisingtheproject.

6.2乙方責(zé)任乙方按本合同協(xié)定提交的內(nèi)容、份數(shù)、在協(xié)定的時間內(nèi)向甲方提交成果，并對其完整性、正確性、剛好性負(fù)責(zé)。2.1Partybshallsubmittheresultcontent,numberofcopiesstipulatedintheagreementintime,andberesponsibilityofitscompleteness,correctnessandtimeliness.

乙方對設(shè)計文件出現(xiàn)的遺漏、錯誤或甲方不滿足之處負(fù)責(zé)修改或補(bǔ)充。由于乙方設(shè)計錯誤造成工程質(zhì)量事故損失，乙方除負(fù)責(zé)實(shí)行補(bǔ)救措施外，應(yīng)免收受損失部分的設(shè)計費(fèi)，并依據(jù)損失程度向甲方償付賠償金。經(jīng)甲方或上級主管部門審查后，在原定任務(wù)書設(shè)計范圍內(nèi)的必要修改，乙方負(fù)責(zé)擔(dān)當(dāng)。PartyBshallmodifyorresupplythedesigndocumentifthereappearedomissions,falseorunsatisfiedbyPartyA.DuetotheengineeringqualityaccidentslosscausedbyPartyB'sdesignerror,partyBshallreducetherelevantpartdesignfee,inadditiontotakeremedialmeasuresandbeliabilityforcompensationaccordingtothelosstoPartyA’sdamages.AfterexaminationbyPartyAorsuperiordepartmentsincharge,amendmentsrequestwithinthescopetheoriginalspecificationdesign,PartyBshallbeliable.

由于乙方自身緣由，延誤了設(shè)計文件交付時間，每延誤一天，應(yīng)減收該項目設(shè)計費(fèi)的千分之二。DuetoreasonofPartyB,ifdeliverytimebeingdelayed,PartyBshouldreducetheprojectdesignfeeof2/1000perdelayeddays.

乙方交付設(shè)計文件后，參與有關(guān)上級審查及依據(jù)審查結(jié)論負(fù)責(zé)不超出原定安排任務(wù)書范圍內(nèi)的必要調(diào)整補(bǔ)充。不再計取費(fèi)用。Afterdeliveringdesigndocuments,PartyBshallparticipateinrelevantsuperiorexamination,andaccordingtothereviewconclusiontoaddnecessaryadjustment.Supplementwithinthescopeoforiginalplantask,shallnotchargeforanyadditionalfee.

乙方不得向第三方擴(kuò)散、轉(zhuǎn)讓甲方提交的產(chǎn)品圖紙等技術(shù)經(jīng)濟(jì)資料。如發(fā)生以上狀況，甲方有權(quán)索賠。PartyBshallnotspreadortransferproductdrawings,othertechnicalandeconomicdatasubmittedbyPartyAtothirdparty.Ifabovecircumstancehappened,PartyAhastherighttoclaimforcompensation.

乙方同意協(xié)作甲方按工程進(jìn)度要求調(diào)整出圖依次，付款方式可另行協(xié)商。PartyBagreestocoordinatePartyAtoadjustdrawingdeliverorderaccordingtotheschedulerequire,paymentmethodcanbeseparatelynegotiatebybothparties.

乙方必需依據(jù)設(shè)計標(biāo)準(zhǔn)、技術(shù)規(guī)范、設(shè)計任務(wù)說明等相關(guān)景觀設(shè)計標(biāo)準(zhǔn)進(jìn)行設(shè)計，提交符合質(zhì)量的設(shè)計文件。PartyBmustsubmitthequalitydesigndocumentsinaccordancewithdesignstandards,technicalspecificationsanddesigntaskofrelevantlandscapedesignstandards.

乙方必需在滿足方案標(biāo)準(zhǔn)的前提下，選料用材時要留意到景觀效果和造價的關(guān)系，作到既滿足景觀效果的要求，又最大限度的降低造價。PartyBshallchoosematerialsqualityinaccordancewithlandscapeeffectandpriceunderthestandardsofscheme,insatisfiestherequirementseffectandmaximumreducecost.

第七章補(bǔ)充條款Supplementalcondition7.1合同終止Terminationofcontract甲方因自身緣由不能履行本合同，應(yīng)依據(jù)合同付清已完成階段設(shè)計任務(wù)對應(yīng)的設(shè)計費(fèi),并擔(dān)當(dāng)合同總額的10%給乙方作為違約金，合同終止。PartyAunabletoperformthecontractduetoitsownreason,shouldpaythedesignfeeofcompletedphaseinaccordancewiththecontract,andbearthe10%ofthetotalcontractamountasliquidatedpenalty,terminatethecontract.

乙方因自身緣由無法履行合同，應(yīng)退回全部設(shè)計費(fèi)用，并擔(dān)當(dāng)合同總額的10%給甲方作為違約金，合同終止。PartyBunabletoperformthecontractduetoitsownreason,shouldpay10%ofthetotalcontractamountasliquidatedpenalty,andterminatethecontract.

7.1.3由于不行抗力因素致使合同無法履行時，雙方應(yīng)剛好協(xié)商解決。Whenunabletofulfillthecontractduetoforcemajeurefactors,bothpartiesshouldberesolvedthroughconsultationinatimelymanner.
