6、responsibilities of the EMPLOYEE.若由于本公司管理編制的需要及/或由于該員工本人資格與能力的原因,本公司可在必要的情況下對(duì)該員工的職務(wù)和工作職責(zé)進(jìn)行適當(dāng)調(diào)整。ARTICLE 2: TRIAL PERIOD第二條:試用期第二條:試用期2.1The trial period will start on the date of signature of this CONTRACT. The duration of the trial period is three (3) months. During the trial period the EMPLOYEE wil

7、l be bound by all articles of this contract. 試用期自本合同簽署之日起開始,時(shí)間為三個(gè)月。在試用期間,該員工受本合同全部條款所約束。2.2After the specified trial period and if no notice of termination is given the EMPLOYEE automatically becomes employed under the terms and conditions of this CONTRACT.在約定的試用期內(nèi),若該員工沒有收到關(guān)于解除勞動(dòng)關(guān)系的通知,在試用期滿后,該員工自動(dòng)轉(zhuǎn)為

9、s been signed by both PARTIES.本合同經(jīng)合同雙方同意后可以續(xù)簽。只有在合同雙方簽署書面協(xié)議后,續(xù)簽的合同方能生效。ARTICLE 4: SALARY第四條:工資第四條:工資4.1 The COMPANY shall define its own salary policy in accordance with regulations stipulated by the state and municipal government. The COMPANY shall ensure that the monthly salary of the EMPLOYEE is

10、not less than the minimum pay standard set by the local government.本公司將依照中華人民共和國和北京市有關(guān)政策法規(guī)制定本公司的員工工資標(biāo)準(zhǔn)。本公司保證該員工的月工資將不低于當(dāng)?shù)卣?guī)定的最低工資。4.2 The EMPLOYEE will receive a gross monthly or 口 annual salary of 3,000.00 renminbi (RMB3,000.00) and increase thereafter the basis of the staff performance, the econo

11、mic development of the COMPANY and according to the salary policy of the COMPANY approved by the Board of Directors of the COMPANY, and etc.該員工稅前工資將為 每月 或 口每年叁仟元人民幣,今后將按照該員工的工作表現(xiàn)、本公司的經(jīng)濟(jì)效益以及由本公司制定并經(jīng)董事會(huì)批準(zhǔn)的工資標(biāo)準(zhǔn)每年遞增。4.3 Such salary shall be transferred to the bank account designated by the EMPLOYEE betw

12、een the third and fifth day of each month.上述工資將于每月 3 號(hào)至 5 號(hào)期間匯入該員工所指定的銀行賬戶。ARTICLE 5: PREMIUM & BONUS 第五條:獎(jiǎng)金及分紅第五條:獎(jiǎng)金及分紅精品文檔精心整理5.1At the full discretion of the Chairman and based upon his/her general attitude and the result of his/her work and fulfilment of his/her objectives detailed with his/her

13、manager and at the beginning of each calendar year the EMPLOYEE will be entitled to an annual bonus not exceeding one (1) month of salary and shall be paid to the EMPLOYEE for each full calendar year which the EMPLOYEE works for the COMPANY in two (2) instalments the following year.經(jīng)本公司董事長同意,并且根據(jù)該員工

The COMPANY shall withhol

15、d such amount and pay it to the competent tax bureau.該員工須 按照中華人民共和國相關(guān)法律法規(guī)繳納個(gè)人所得稅。本公司將為該員工代扣代徼個(gè)人所得稅,并將應(yīng)納稅款上交相應(yīng)稅務(wù)機(jī)關(guān)。ARTICLE 7: TRAINING第七條:培訓(xùn)第七條:培訓(xùn)7.1The COMPANY will establish an EMPLOYEE training system and provide necessary training to the EMPLOYEE in accordance with the relevant laws and regulatio

16、ns of the Peoples Republic of China and as the COMPANY needs.本公司將依照中華人民共和國有關(guān)法律法規(guī)及公司需求,為該員工設(shè)計(jì)一套培訓(xùn)體系,向該員工提供必要的培訓(xùn)。精品文檔精心整理ARTICLE 8: WORKING HOURS第八條:工作時(shí)間第八條:工作時(shí)間8.1The COMPANY will implement working hour system of forty minimum(40) hours per week in accordance with the relevant laws and regulations ex

17、clusive of lunch time.本公司依照相關(guān)法律法規(guī)實(shí)行每周 40 小時(shí)工作制(每周工作時(shí)間不得少于 40 小時(shí)),不包括午餐時(shí)間。The working hours are from Monday to Friday from 9:00AM to 6:00PM with a one (1) hour for lunch that may vary in time so as to have at least one staff member in the office during lunch time.工作時(shí)間從周一至周五,每天上午 9 點(diǎn)至下午 6 點(diǎn),午餐時(shí)間為一個(gè)小時(shí)。

18、午餐時(shí)間將根據(jù)具體情況進(jìn)行安排以確保屆時(shí)至少有一名員工留守辦公室。8.2Subject to the operation needs the COMPANY may adopt irregular working hour system or calculate the working hours on synthetic basis.根據(jù)實(shí)際工作需要,本公司可能采用不規(guī)則時(shí)間工作制或依照綜合標(biāo)準(zhǔn)計(jì)算工作時(shí)間。8.3The COMPANY may extend the working hours of the EMPLOYEE after consultation with the EMPLO

19、YEE according to the relevant laws and regulations.依照有關(guān)法律法規(guī),與該員工進(jìn)行協(xié)商后,本公司可以延長該員工的工作時(shí)間。The COMPANY pays the EMPLOYEE 300 percent of the salary, based on an hourly amount according to Article 4, hereto for working during official public holidays.若需要員工在法定節(jié)假日加班,公司將根據(jù)本合同第 4 條中所列工資標(biāo)準(zhǔn)計(jì)算出該員工的每小時(shí)工資,并按照每小時(shí)工資標(biāo)

20、準(zhǔn)的 3 倍支付加班工資。8.4Notwithstanding what provided hereof the COMPANY shall extend the working hours regardless of Article 8.1 and Article 8.3 in any of the following cases:精品文檔精心整理若出現(xiàn)下列情況,無論是否符合本合同第 8.1 條和第 8.3 條中的規(guī)定,本公司均可延長工作時(shí)間:a. Immediate action which must be carried out in case of natural disasters,

21、 accidents or other events that will endanger the EMPLOYEEs life, health, property, or safety;由于發(fā)生自然災(zāi)害、事故或其它危及該員工生命、健康、財(cái)產(chǎn)及安全的事件,必須采取緊急措施;b. Urgent repair which must be carried out in case of breaking down of operation equipment, communication, transportation and other facilities which will endanger

22、COMPANY business or public interest;由于運(yùn)營設(shè)備、通訊設(shè)備、運(yùn)輸設(shè)備及其它設(shè)備發(fā)生故障,危害到本公司的業(yè)務(wù)或公共利益,必須進(jìn)行緊急維修;c. Continuous of the operation or business of the COMPANY which shall not be interrupted on stipulated holidays and rest days.由于無法因?yàn)榉ǘㄐ菁俸碗p休日而中斷本公司持續(xù)開展的經(jīng)營運(yùn)作或業(yè)務(wù);d. Overhaul and maintenance of the equipment which shal

23、l only be made on stipulated holidays and rest days; and只能在法定休假和雙休日進(jìn)行的設(shè)備檢修與維護(hù);e. Emergency operation assignment concerning national defence.由于國防原因需要采取緊急措施。ARTICLE 9: DISCIPLINE第九條:勞動(dòng)紀(jì)律第九條:勞動(dòng)紀(jì)律9.1Apart from the provisions of this CONTRACT the EMPLOYEE must respect all relevant laws and regulations of

24、 the Peoples Republic of China rules and regulations of the COMPANY and provisions of any relevant collective labour contract.除本合同所規(guī)定之條款外,該員工還須遵守中華人民共和國相關(guān)法律法規(guī)、本公司制定的規(guī)章制度,以及其它勞動(dòng)合同方面的相關(guān)規(guī)定。精品文檔精心整理9.2The EMPLOYEE must respect and execute any and all formal instructions given to him/her regarding the du

25、ties and responsibilities of his/her tasks of work.該員工須遵守并執(zhí)行一切與其工作職責(zé)有關(guān)的正式指令。9.3In cases of an offence, gross misconduct, and or any violation of labour discipline the COMPANY will normally carry out the following procedure: 若該員工出現(xiàn)過錯(cuò)、嚴(yán)重過失及/或其它違反勞動(dòng)紀(jì)律的行為,本公司一般依照以下程序?qū)υ搯T工進(jìn)行處罰:1 Oral warning 口頭警告2 First w

26、ritten warning 第一次書面警告3 Final written warning 第二次書面警告4 Dismissal 開除9.4However the COMPANY reserves the right to omit any of these stages as the case may be.然而,本公司有權(quán)根據(jù)實(shí)際情況對(duì)上述某些步驟進(jìn)行調(diào)整。9.5The EMPLOYEE has the right to appeal against written warnings or dismissal to the Labour Dispute Committee if any.該

27、員工有權(quán)針對(duì)其受到的書面警告或開除決定向勞動(dòng)爭議委員會(huì)提出申訴(如需)。ARTICLE 10: SICKNESS & INJURY LEAVE第十條:第十條: 病假及傷假病假及傷假10.1The EMPLOYEE will be entitled to sickness and injury leaves in accordance with the relevant laws and regulations.該員工有權(quán)根據(jù)相關(guān)法律法規(guī)享受病假及傷假。10.2The EMPLOYEE applying for sickness or injury leave shall fill in a l

28、eave application form and get approval from his/her manager. Leave for more than two (2) days shall be approved by the Chief Executive Officer of the COMPANY 精品文檔精心整理and submitted to the Office Manager, Human Resources Manager or their Manager for verification and filing before going for leave. 申請(qǐng)病假

29、或傷假時(shí),該員工應(yīng)填寫“休假申請(qǐng)表”,并必須得到其上級(jí)主管的準(zhǔn)許。若該員工的休假超過兩(2)天,則需經(jīng)本公司首席執(zhí)行官允許,且應(yīng)在休假前將“休假申請(qǐng)表”提交至行政經(jīng)理、人力資源部經(jīng)理或直屬上級(jí)經(jīng)理以供審核及存檔。In case of any sudden sickness or injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmation shall be submitted to the Office Manager and Hum

30、an Resources Manager for verification and filing within two (2) days after he or she comes back to work.若該員工突發(fā)疾病或受傷,需在當(dāng)天結(jié)束前通知其上級(jí)經(jīng)理,并在返回崗位后的兩(2)個(gè)工作日內(nèi)將書面說明提交行政經(jīng)理及人力資源部經(jīng)理以供審核及存檔。10.3If the EMPLOYEE is absent for more than one (1) week he/she must ensure that the Chief Executive Officer are kept informe

31、d of the progress at weekly intervals.若該員工的病假超過一周,該員工必須每周向首席執(zhí)行官報(bào)告其病情狀況。10.4The EMPLOYEE taking sickness or injury leaves for more than one (1) day must provide a medical certificate issued by a qualified doctor. Failure or refusal to provide the certificate or providing false or inaccurate informati

32、on will be deemed as a gross misconduct.若該員工休病假或傷假超過一天,必須提供由專業(yè)醫(yī)師出具的病假條。若該員工無法或拒絕提供病假條或提供虛假信息,將被視為嚴(yán)重過失。ARTICLE 11: LABOUR SAFETY & HYGIENE第十一條:勞動(dòng)安全及勞動(dòng)衛(wèi)生保障第十一條:勞動(dòng)安全及勞動(dòng)衛(wèi)生保障11.1The COMPANY will establish a sound labour safety and hygiene facilities and shall strictly implement rules and standards of lab

33、our safety and hygiene of the Peoples 精品文檔精心整理Republic of China, conduct labour safety and hygiene education, prevent accidents and reduce occupational hazards.本公司將建立一套合理的勞動(dòng)安全衛(wèi)生保護(hù)措施,嚴(yán)格落實(shí)中華人民共和國勞動(dòng)安全衛(wèi)生制度和標(biāo)準(zhǔn),開展勞動(dòng)安全衛(wèi)生教育,防止事故發(fā)生,減少職業(yè)病危害。11.2The COMPANY shall provide the EMPLOYEE with labour safety and hyg

34、iene conditions and necessary articles in conformity with the relevant laws and regulations.本公司將依照有關(guān)法律法規(guī)為該員工提供勞動(dòng)安全衛(wèi)生條件以及必要的設(shè)備。11.3The EMPLOYEE shall have the right to refuse to carry out any dangerous operation forced upon him/her by management personnel in violation of the relevant regulations.若該員工

35、的上級(jí)主管違反相關(guān)法律法規(guī),要求其從事危險(xiǎn)性工作,該員工有權(quán)拒絕。ARTICLE 12: SOCIAL INSURANCES第十二條:社會(huì)保險(xiǎn)第十二條:社會(huì)保險(xiǎn)12.1The COMPANY must join social insurance schemes for the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China and shall pay on time social insurance premiums to the social insu

36、rance institutions according to the standards set by the local authorities.本公司嚴(yán)格遵守中華人民共和國有關(guān)法律法規(guī)為該員工繳納社會(huì)保險(xiǎn),并且依照當(dāng)?shù)卣块T制定的標(biāo)準(zhǔn)將保險(xiǎn)費(fèi)按時(shí)、全額支付給社會(huì)保險(xiǎn)機(jī)構(gòu)。ARTICLE 13: HOLIDAYS 第十三條:休假第十三條:休假精品文檔精心整理13.1The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, and funerals in line with the relev

37、ant laws and regulations of the Peoples Republic of China.該員工依照中華人民共和國有關(guān)法律法規(guī)享受法定休假,包括法定節(jié)假日、婚假、喪假、產(chǎn)假。13.2The EMPLOYEE is entitled yearly (for a full year worked) to a paid annual vacation of ten (10) working days exclusive of the statutory holidays.該員工在本公司工作滿一年后有權(quán)享受每年十個(gè)工作日的帶薪年假,不含法定節(jié)假日。The holidays r

38、eference period is from the first day of January to the thirty first day of December. Holidays accrued during one period have to be taken on the following holiday period. For the first year of employment, holidays will be accrued at pro rata temporis.每年 1 月 1 日至 12 月 31 日作為一個(gè)休假年度,當(dāng)年未休的假期只可累積到次年使用。在本

39、公司工作未滿一年的新員工可在次年享受年假,具體的年假天數(shù)按照其實(shí)際工作時(shí)間計(jì)算。 13.3After the EMPLOYEE completes five (5) years of continuous work for the COMPANY the EMPLOYEE is entitled yearly (for a full year worked) to one (1) further working day of paid annual vacation for each full year which the EMPLOYEE works for COMPANY, but the

40、 paid annual vacation shall not exceed twenty (20) working days in the aggregate.該員工在本公司任職滿五年后,在本公司每工作滿一年,每年可以增加一個(gè)工作日的帶薪年假,但每年帶薪年假累積最多不超過二十個(gè)工作日。13.4All leave must be taken at times agreed with the Chief Executive Officer of the COMPANY ten days in advance.所有休假必須提前 10 天向本公司申請(qǐng)并獲得首席執(zhí)行官的同意。ARTICLE 14: E

41、XCLUSIVITY & NON-COMPETITION第十四條:唯一性及非競爭協(xié)定第十四條:唯一性及非競爭協(xié)定精品文檔精心整理14.1The EMPLOYEE must devote in full all his/her working time to the COMPANY.該員工在本公司工作期間必須勤奮敬業(yè)。14.2It is strictly forbidden for the EMPLOYEE to have any other professional activity for himself/herself or and relatives or and third parti

42、es even free of charge.嚴(yán)格禁止該員工在本公司任職期間為其自身及/或親屬及/或第三方提供任何有償或無償專業(yè)勞動(dòng)。14.3The EMPLOYEE undertakes not to exercise directly or indirectly on behalf of any competitor to the COMPANY even as free of charge or for himself/herself any activity which may compete with the business of the COMPANY for one (1) y

43、ear after the termination of the present CONTRACT. This Article 14.3 is not applicable if termination of the CONTRACT is due to COMPANY for other reasons than the ones covered by Article 14 and Article 15. 該員工與本公司解除本合同后一年內(nèi)不得直接或間接地代表本公司的任何競爭對(duì)手從事任何可能傷及本公司利益的有償或無償活動(dòng)。若由于其它原因而非本合同第 14 條和第 15 條解除本合同的,不適用本

44、合同第 14.3 條。14.4The EMPLOYEE shall pay the COMPANY an amount of RMB10,000 to RMB100,000 as a penalty clause if he/she does not comply with Article 14.1., Article 14.2., and Article 14.3. hereto. This amount does not include the possible actual damages which may be claimed by the COMPANY.若該員工違反本合同第 14

45、.1 條、第 14.2 條及第 14.3 條的規(guī)定,其必須向本公司支付 1 萬-10 萬人民幣作為賠償。該筆賠償不包括本公司對(duì)可能造成的實(shí)際損害進(jìn)行索賠的金額。ARTICLE 15: CONFIDENTIALITY第十五條:保密協(xié)定第十五條:保密協(xié)定15.1The EMPLOYEE shall keep strictly secret and confidential and not to disclose to any third PARTY any and all technical, economic, financial, client or marketing 精品文檔精心整理inf

46、ormation acquired from the COMPANY and or obtained because of his/her activities in the COMPANY.該員工須嚴(yán)守公司機(jī)密,不得向任何第三方透露自本公司處獲得的及/或由于該員工在本公司任職而獲得的任何技術(shù)、經(jīng)濟(jì)、財(cái)務(wù)、客戶或市場信息。The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilities p

47、rovided in this CONTRACT.該員工亦不得將上述信息用于本合同規(guī)定之工作職責(zé)以外的一切活動(dòng)。15.2The EMPLOYEE agrees that any disclosure or non authorised use of such information shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.該員工認(rèn)同,

48、除非該員工已事先收到本公司管理部門發(fā)出的書面許可,否則,泄露上述信息或在未被授權(quán)的情況下使用上述信息將被視為嚴(yán)重過失行為。15.3The EMPLOYEE shall comply with his/her confidentiality obligations pursuant to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after the termination of the CONTRACT.該員工在本公司任職期間以及在本合同解除后五(5)年內(nèi)應(yīng)當(dāng)按照本合同第

49、15 條的規(guī)定遵守保密協(xié)議。15.4The EMPLOYEE shall pay the COMPANY an amount of RMB10,000 to RMB100,000 as a penalty if he/she does not comply with his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the COMPANY.若該員工違反本合

51、嚴(yán)格履行各自職責(zé)。16.2Either of the PARTIES should bear responsibilities for compensation if it violates this CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY. 若合同任何一方違反本合同以及損害本合同另一方的利益并給本合同另一方造成損害,該方承擔(dān)違約責(zé)任。ARTICLE 17: TERMINATION OF THE CONTRACT第十七條:合同終止第十七條:合同

52、終止17.1Either of the PARTIES shall be entitled to terminate this CONTRACT for reasons expressly provided by the relevant laws and regulations of the Peoples Republic of China. Such termination of this CONTRACT shall comply with the proceedings provided by the relevant laws and regulations.合同任何一方均有權(quán)依照

The EMPLOYEE has a conflict between personal interest and the interest of the COMPANY in dealing with supplier, customers, and individuals of

The EMPLOYEE has asked for or received any advantage or benefits either in monetary or non monetary term of any kind form persons or organisations having business activ

The EMPLOYEE fails to perform his/her responsibilities under Articles 14 and Article 15 of this CONTRACT.該員工違反本合同第 14 條和第 15 條的規(guī)定。d. The EMPLOYEE left from his/her work for more than five (5) working day

56、s without prior consent from the Chief Executive Officer except in the case of force majeure which prevent the EMPLOYEE from informing the Chief Executive Officer.該員工事先未經(jīng)首席執(zhí)行官準(zhǔn)許擅自離崗超過五個(gè)工作日,若因不可抗力導(dǎo)致該員工無法通知首席執(zhí)行官除外。17.3The EMPLOYEE may also hand over a written notice of his/her resignation for personal

If the EMPLOYEE does not provide the COMPANY with one months notice, he/she should pay to the COMPANY one calendar month of salary and allowance mentioned in Article 4 as the compensation.若由于其個(gè)人原因,該員工可提前三十天以書面形式提出辭職。若該員工沒有提前三十天向公司遞交辭呈,該員工將向公司支付依本合同第 4 條所規(guī)定的一個(gè)月的月工資及補(bǔ)助作為補(bǔ)償金。17.

58、4The COMPANY shall pay to the EMPLOYEE any compensation pursuant to relevant laws and regulations of the Peoples Republic of China in case of termination of this CONTRACT unless otherwise provided by the laws or resulting from the occurrence of the termination events agreed by PARTIES hereof or resi

59、gnation of the EMPLOYEE for personal reasons. The maximum amount of compensation by the COMPANY will not exceed one calendar month of salary and allowance mentioned in Article 4若本合同解除,本公司將遵照中華人民共和國有關(guān)法律法規(guī)向該員工支付補(bǔ)償金,該補(bǔ)償金總數(shù)不超過本合同第 4 條所規(guī)定的一個(gè)月精品文檔精心整理的月工資與補(bǔ)助總額。合同雙方依法另行約定解除本合同或者該員工出于個(gè)人原因提出辭職的除外。17.5In case of termination of this CONTRACT due to fault of the EMPLOYEE or resignation of the EMPLOYEE for personal reasons:若因該員工的過失或該員工出于個(gè)人原因解除本合同,則:a.
