1.1Definitions定義

IntheConditionsofContract("theseCondilions"),thefbllov/ingwordsand

expressionsshallhavethemeaningsstatedWordsindicatingpersonsorparties

includecorporationsandotherlegalentities,exceptwherethecontextrequires

otherwise.

在本合同條件(“這些條件”)中，以下詞語和表達(dá)應(yīng)具有所述的意思。表示人

或當(dāng)事人的詞語包括公司和其它法人實(shí)體，除非另行規(guī)定。

1.1.1TheContract合同

1.1.1.1"Contract“meanstheContractAgreement,theseConditions,theTechnical

RequirementsconsistingoftheProjectInformation,DrawingsandTechnical

Schedules,thePriceSchedules,theContractor'sProposal,theBidding

Documentsandthefurtherdocuments(ifany)whicharclistedin(heContract

Agreement.

“合同”指合同協(xié)議、這些條件、包括項(xiàng)目信息、、圖紙和技術(shù)方案的技術(shù)

要求、訂價(jià)標(biāo)準(zhǔn)、承包商建議書、投標(biāo)文件以及合同協(xié)議中所述的其它

文件(如果有的話)。

1.1.1.2"ContractAgreement"meansthecontractagreementreferredtoin

Sub-Clause1.6[ContraciAgreement],includinganyannexedmemoranda.

“合同協(xié)議''指第1.6款[合同協(xié)議J所述的合同協(xié)議，包括附件的備忘錄。

1.1.1.3"TechnicalRequirements”meansthedocumentcmitlcdtechnical

requirements(includingtheProjectInformation,GeneralTechnical

Requirements,TechnicalRequirements,TechnicalSchedulesandDrawings),

asincludedintheContract,andanyadditionsandmodifeationstosuch

documentinaccordancewiththeContract.Suchdocumentspecifiesthe

purpose,scope,and/ordesignand/orothertechnicalcriteria,for(heWorks.

“技術(shù)要求”指合同中包括的名為技術(shù)要求的文件(包括項(xiàng)目信息、一般

技術(shù)要求、技術(shù)要求、技術(shù)方案和圖紙)以及按照合同規(guī)定對(duì)這些文件

theseConditionsandtheTechnicalRequirements,ifsosubmined),asincluded

intheContract.

“承包商建議指承包商的工程報(bào)價(jià)以及與報(bào)價(jià)一起遞交的所有其它文

件(不包括所遞交的這些條件和技術(shù)要求)，如合同所述。

1.1.1.5''PerformanceGuarantees',meansthedocumentssonamed,asincludedin

thedefinedinTechnicalRequirements(TRY'PerformanceGuarantees''and

"TermsandProceduresforPaymenf'meanthedocumcrtssonamed,as

includedinAppendix1totheContract.

“履約擔(dān)保”是指名為履約擔(dān)保的文件，如技術(shù)要求(TR：“履約擔(dān)?！彼?/p>

1.1.1.6"Drawings"meanthediawingsfbnningpartoftheTechnicalRequirements.

1.1.1.7"PriceSchedules“meansthecompletedandpricedPriceSchedules,oranypart

orindividualschedulethereof,subminedagreedbetweenpartiesbasedonthe

1.1.2PartiesandPersons當(dāng)事人和個(gè)人

1.1.2.1"Party“meanstheEmployerortheContractor,asthecontextrequires.

“當(dāng)事人''是指業(yè)主或承包商，依上下文的規(guī)定。

1.1.2.2“Owner"meansVietnamNationalOilGasGroup(PVN),thelegalsuccessor

whoinveststheVungAng1ThermalPowerPlantProject.

“業(yè)主”是指越南政府國(guó)營(yíng)石油與天然氣公司(PVN),投資永昂一期熱

電站項(xiàng)目的法定繼承人。

1.1.2.3"Employer“meansthepersonnamedasEmployerintheContractAgreement

and(helegalsuccessorsintitleiothisperson.

“業(yè)主”是指合同協(xié)議中稱為業(yè)主的人以及該人的法定繼承人。

1.1.2.4"Contractor"meansiheperson(s)namedascontractorintheContract

Agreementandthelegalsuccessorsintitletothisperson(s).

“承包商”指在合同協(xié)議中稱為承包商的人以及該人的法定繼承人。

1.1.2.5"Employer'sRepresentative“meansthepersonnamedbytheEmployerin

theContractorappointedfromtimetotimebytheEmployerunderSub-Clause

3.1[TheEmployer'sRepresentative],whoactsonbehalfoftheEmployer.

labourandotheremployeesoftheContractorandofeachSubcontractor;and

anyotherpersonnelassistingtheContractoriniheexecutionof(heWorks.

1.1.2.10"NotUsed"meansthesamemeaningas“notapplicable''intheContract.

intcmulionalfctlerationofconsultingengineers.

“FIDIC''指FederationInternationaledesIngcnicurs-Conscils>國(guó)際諾詢工程

1.1.2.12^AssociatedWorksContractors''meansanyofthethirdpartycontractors,

consultantsorserviceprovidersengagedbyoronbehalfoftheEmployerora

PublicSectorEntitytocarryoutAssociatedWorks.

“相關(guān)工程承包商”指業(yè)主任命或代表業(yè)主或公共部門機(jī)枸任命的實(shí)施相

關(guān)工程的任何第三方承包商、顧問或眼務(wù)提供商。

l.l.2.l3uLenderMmeanscollectively,thelenderorsyndicateoflenders,bond,

underwritersorprovidersofpoliticalriskinsuranceorguarantees(including

exportcreditagencies,multilateralinstitutions,equityprovidersotherthanthe

Employeroritsaffiliates),providingconstructionand/orperanenifinancing

fortheProject,whichforpurposesofthisContractmayactthroughanagentor

trustee,anyperson,company,bankorotherfinancialinstitutionatanytime

providingfinanceinconnectionwiththeProject.

“借款人”指為項(xiàng)目提供施工和/或永久資金的借款人或借款人財(cái)團(tuán)、債券

報(bào)銷人或政治風(fēng)險(xiǎn)保險(xiǎn)或擔(dān)保的提供商(包括出口信貸機(jī)構(gòu)、多邊機(jī)構(gòu)、

股權(quán)提供商，不包括業(yè)主或其附屬公司）的總稱，在本合同中是指在任

何時(shí)候提供項(xiàng)目相關(guān)的資金的代理人或委托人、個(gè)人、公司、銀行或其

它金融機(jī)構(gòu)。

1.1.2.13“PublicSectorEntity”meansanynational,regional,stale,municipalorlocal

government,andanydivision,ministry,department,agencyorother

emanalionofanyofthesame,includinganycourt,coinmissicn,board,branch

orsimilarauthorityofsuchgovernmentandanybodyempoweredtogrant,

withdrawordeterminethetermsandconditionsofanylicence''.

部分、部門、科室、機(jī)構(gòu)或其它擴(kuò)展，包括這些政府的法庭、委員會(huì)、

證的條款和條件的機(jī)構(gòu)。

1.1.3Dates,Tests,Periods,CompletionandCertificates日期、試驗(yàn)、期限、竣工和

證明

1.1.3.1"EffectiveDate"meansthedatetheContractbecomeseffectiveasstatedin

ContractAgreement.

“生效日期”指合同協(xié)議規(guī)定的合同生效的日期。

1.1.3.2"CommencementDate”meansihcdatenotifiedunderSub-Clause8.1

［CommencementofunlessotherwisedefinedintheContract

Agreement.

“開工日期”指第81款［工程開工］所述的日期，除非合同協(xié)議另行規(guī)定。

1.1.3.3"TimeforCompletion'means,foraUnit,thedatewhichTakingOverofthe

Unitistobeattainedassetoutbelow(ineachcaseasmaybeadjustedunder

Sub-clause8.4):

“竣工日期”指對(duì)于一個(gè)機(jī)組來說實(shí)現(xiàn)機(jī)組交接的日期，如下所述(以下

情況均可按照第8.4款進(jìn)行調(diào)整)：

1.1.3.4"TestsonCompletion“meansthetestswhicharcspecifiedintheContractor
