NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.ScopeofWork
1.1PartyAshallprovide[ScopeofWorkDescription]toPartyBinaccordancewiththetermsandconditionssetforthinthisContract.
1.2PartyBshallusetheservicesprovidedbyPartyAinaccordancewiththespecificationsandrequirementssetforthinthisContract.
2.TermandTermination
2.1ThisContractshallbeeffectivefrom[StartDate]to[EndDate],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.
2.2EitherPartymayterminatethisContractuponwrittennoticetotheotherParty,providedthatsuchterminationisduetoamaterialbreachofthisContractbytheotherParty.
3.FeesandPayment
3.1PartyBshallpayPartyAatotalfeeof[Amount]fortheservicesprovidedunderthisContract,inaccordancewiththepaymentscheduleattachedheretoasExhibitA.
3.2Allpaymentsshallbemadein[Currency]andshallbedueandpayablewithin[NumberofDays]afterthereceiptofaninvoicefromPartyA.
4.IntellectualPropertyRights
4.1AllintellectualpropertyrightsarisingfromtheperformanceofthisContractshallbeownedbyPartyA,exceptasotherwiseagreeduponinwritingbytheparties.
4.2PartyBshallnotuse,copy,modify,ordistributeanyintellectualpropertyrightsofPartyAwithoutthepriorwrittenconsentofPartyA.
5.Confidentiality
5.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherParty,includingbutnotlimitedtotechnical,commercial,andfinancialinformation.
5.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.
6.LimitationofLiability
6.1InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.
6.2ThetotalliabilityofeitherPartytotheotherPartyforanyclaimarisingoutoforinconnectionwiththisContractshallnotexceedtheamountoffeespaidbyPartyBtoPartyAunderthisContract.
7.GoverningLawandJurisdiction
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesof[ArbitrationInstitution].
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

3.PartyB'sRightsandObligations
3.1PartyBshallhavetherighttosuperviseandinspecttheworkperformedbyPartyCtoensurecompliancewiththetermsofthisContract.
3.2PartyBshallhavetherighttoterminatethisContractintheeventofamaterialbreachbyPartyC,uponwrittennoticetoPartyAandPartyC.
4.PartyC'sRightsandObligations
4.1PartyCshallhavetherighttoreceivepaymentfortheServicesprovidedunderthisContractinaccordancewiththeagreed-uponschedule.
4.2PartyCshallhavetherighttorequestadditionalresourcesorinformationfromPartyAorPartyBifnecessaryforthesuccessfulcompletionoftheScopeofWork.
4.3PartyCshallcomplywithallapplicablelaws,regulations,andstandardsintheperformanceoftheServices.
5.FeesandPayment

PartyA'sroleasthedominantpartyinthisContractistoensurethesuccessfulexecutionoftheprojectwhileprotectingitsinterests.ByhavingtherighttorequestchangestotheScopeofWork,PartyAmaintainsflexibilityandtheabilitytoadapttoevolvingprojectneeds.TheinclusionofspecificrightsandobligationsforPartyA,suchastherighttosuperviseandinspecttheworkperformedbyPartyC,ensuresthatPartyA'sinterestsaresafeguardedthroughouttheproject'sduration.

4.PartyC'sRightsandObligations
4.1PartyCshallhavetherighttoreceivepaymentfortheServicesprovidedunderthisContractinaccordancewiththeagreed-uponschedule.
4.2PartyCshallhavetherighttorequestadditionalinformationorresourcesfromPartyAifnecessaryforthesuccessfulcompletionoftheServices.
4.3PartyCshallcomplywithallapplicablelaws,regulations,andstandardsintheperformanceoftheServices.
