ThisContractAgreement(the"Agreement")ismadeandenteredintoasofthedateabovebyandbetweenPartyAandPartyB(collectively,the"Parties").

1.Recitals

6.Indemnification

6.1.EachParty(the"IndemnifyingParty")shallindemnifyandholdharmlesstheotherParty(the"IndemnifiedParty")fromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(including,withoutlimitation,reasonableattorneys'feesandcosts)incurredbytheIndemnifiedPartyarisingoutoforinconnectionwithanybreachofthisAgreementbytheIndemnifyingParty.

7.GoverningLawandJurisdiction

7.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].
