17人力不行抗拒因素：

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)斗或協(xié)議一方無(wú)法預(yù)見(jiàn)、掌握、避開(kāi)和克制的其他大事導(dǎo)致不能或臨時(shí)不能全部或局部履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不行抗力大事影響的一方須盡快將發(fā)生的大事通知另一方，并在不行抗力大事發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不行抗力大事的證明寄交對(duì)方。

18仲裁：

在履行協(xié)議過(guò)程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過(guò)友好協(xié)商未能達(dá)成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，依據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)展仲裁。該委員會(huì)打算是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

Arbitration

（13）不行抗力：由于人力不行抗力的原由發(fā)生在制造，裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣(mài)方延期交貨或不能交貨者，賣(mài)方可免除責(zé)任，在不行抗力發(fā)生后，賣(mài)方須馬上電告買(mǎi)方及在14天內(nèi)以空郵方式向買(mǎi)方供應(yīng)事故發(fā)生的證明文件，在上述狀況下，賣(mài)方仍須負(fù)責(zé)實(shí)行措施盡快發(fā)貨。

ForceMajeure：

Thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.ThesellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedabovethewithinfourteendaysthereafter。

theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccident.UndersuchcircumstancestheSellers，however，arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.

（14）仲裁：凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)展仲裁，仲裁將是終局的，雙方均受其約束，仲裁費(fèi)用由敗訴方擔(dān)當(dāng)。
