The Buyer s shipping agent（ China Ocean Shipping Agency） shallsend to the Seller notice indicating the name of vessel， estimated date ofloading and contract number for the Seller to arrangeshipment 10（ten ） days before t

18、he estimated date of arrival of the vesselat the loading port. The Selleris requested to get inclose contract withtheshipping agent. When it becomes necessary to change the carrying vessel or toadvance or delay the arrival date， theBuyer or the shipping agent shall advise the Seller in time. Shouldt

Guarantee of quality 13、質(zhì)量保證The Seller guarantees that the commodity hereof is made of the best materialswith first class workmanship ， brand new ， unused ， and complies with the quality and spec

All theexpenses incurred（such as inspectioncharges ， freightcharges for returningand sending of replacement， insurance premium， storage，loading and unloading charges） shall be borne by the Seller.自貨物到達(dá)目的港起90 天內(nèi)，如發(fā)現(xiàn)貨

30、物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符，除那些應(yīng)由保險(xiǎn)公司或由船方承擔(dān)的部分外，買(mǎi)方可憑中國(guó)進(jìn)出口商品檢驗(yàn)總公司出具的商檢證書(shū)，有權(quán)要求更換或索賠。In regard to quality，the Sellershallguaranteethat if，within12（ twelve）from the date of arrival of the goods at destination，damages occur in the course of operation by reason of inferior quality ofmaterial or bad workmanship， the

31、Buyer shall immediatelynotify theSellerinwriting and putforward a certificateissuedby theCCIC.The certificate so issued shall be accepted as the base ofthe claim. The Seller， in accordance with the Buyer s claim， shall beresponsiblefor the immediate elimination of thedefects， complete or partialrepl

32、acement of the commodity， or devaluate thecommodity according to the state of defects. Where necessary， theBuyer may eliminate the defects themselves at the Seller's expenses.If the Seller fails to reply within on month after receipt of the aforesaidclaim， the claim shall be reckoned as having b

Force Majeure15、不可抗力The Sellershallnot be held responsiblefordelay in shipment or non-deliveryof the goods due to Force M

34、ajeure， which might occurduring the process of manufacturing or in the course of loading. The Sellershall advise the Buyer of the occurrence mentioned above within 15 (fifteen )days and send by airmail a certificate of the incident issued by the localgovernment to the Buyer. Even in such cases， the

35、Seller is still liable totake all possible measures to expedite the delivery of goods.在貨物制造和裝運(yùn)過(guò)程中，由于發(fā)生不可抗力事故致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方在不可抗力事件發(fā)生后，應(yīng)立即通知買(mǎi)方并在事發(fā)14 天 內(nèi)，將事故發(fā)生所在地當(dāng)局簽發(fā)的證書(shū)航空郵寄給買(mǎi)方以作證據(jù)。即使在此情 況下，賣方仍有責(zé)任采取必要的措施，盡快交貨。Should the Seller fails to perform the contracted obligations 10(ten) weeks after the a

Late delivery and penalty 16、合同延期和罰款Should the Sellerfailtomakedeliverywithinthecontractedperiod forreasonsother than Force Majeure specified in Clause 15 hereof，the Buye

37、r may accept the postponement on condition that the Seller agrees topay a penalty which shallbe deductedby thepaying bank from the agreed amountof payment. The penalty， however ， shall not exceed 5% (five percent ) ofthe total valueof thegoods involvedin thelatedelivery.The rate ofpenaltyis charged at 0.55(zeropoint five percent ) for every seven days， odd days less than sevendays should be counted as seven days. In case the Sellerfailsto makedeliveryten weeks later than the shipment stipulated in the contract ， the Buyer shall have the right to cancel the contract. The Seller ， in s
