REGISTRATION FOR THE ESTABLISHMENT OF REPRESENTATIVE AGENCIES OF OVERSEAS FOUNDATIONS1、境外基金會代表機(jī)構(gòu)的登記申請程序1.Procedures of Application for Registration of Representative agencies of Overseas Foundations（1）境外基金會按主要業(yè)務(wù)活動范圍，向國務(wù)院教育、科技、文化、衛(wèi)生、商務(wù)、體育、民政、環(huán)保等部門提出擔(dān)任其代表機(jī)構(gòu)業(yè)務(wù)主管單位的申請。(1) Overseas foundations shall, based on their scope of business activity, submit an application for establishment of their representative agencies to the competent authorities of education, technology, culture, public health, commerce, sports, civil administration and environment protection under the state council. （2）業(yè)務(wù)主管單位同意后，向登記管理機(jī)關(guān)提交登記申請材料。(2) Upon approval of the competent authorities, the overseas foundations shall submit the application and relevant materials to the competent registry for registration of the overseas foundations. （3）登記管理機(jī)關(guān)審核同意后，發(fā)給批準(zhǔn)文件和登記證書。(3) Upon ratification of the competent registry, the registry shall issue the approvals and registration certificates to the overseas foundations. （4）代表機(jī)構(gòu)憑登記證書刻制印章、申請組織機(jī)構(gòu)代碼、辦理稅務(wù)登記、開立銀行賬戶，并將印章樣式、組織機(jī)構(gòu)代碼證書復(fù)印件、銀行開戶證明和賬戶以及稅務(wù)登記書復(fù)印件報登記管理機(jī)關(guān)備案。(4) The representative agencies may, based on the registration certificates, prepare the stamp, submit an application for the certificate of organization code, go through the formalities for registration of taxation, open a bank account and submit the specimen of stamp, photocopy of the certificate of organization code, certificate of bank account and the certificate of taxation registration to the competent registry for recordation. 2、境外基金會代表機(jī)構(gòu)申請成立時應(yīng)提交的材料2. Materials Required in the Application for Establishment of Representative agencies of Overseas Foundations（1）申請設(shè)立代表機(jī)構(gòu)的報告，內(nèi)容應(yīng)當(dāng)包括：設(shè)立理由、基金會的宗旨和基本情況，如已在中國內(nèi)地活動，應(yīng)寫明活動情況；代表機(jī)構(gòu)的業(yè)務(wù)范圍（業(yè)務(wù)范圍應(yīng)符合中國公益事業(yè)的要求，并不得超出該基金會章程規(guī)定的范圍）；擬任負(fù)責(zé)人的基本情況；成立后四年內(nèi)的發(fā)展規(guī)則；申請代理人身份及詳細(xì)聯(lián)系方式等。(1) A report of application for the establishment of a representative agency, which shall include: reason for establishment, objectives and basic information of the foundation; if is has carried out any activity in Mainland China, the information of such activity; business scope of the representative agency (which shall comply with the requirements for public welfare undertakings in China and may not go beyond the scope of the constitution of the foundation); the basic information of the proposed principal; the development plan within four years upon establishment; the identity and detailed information of the agent for application. （2）境外基金會代表機(jī)構(gòu)設(shè)立申請書和境外基金會代表機(jī)構(gòu)登記事項表。(2) Application for the Establishment of Representative agencies of Overseas Foundations and the Registration Form for Representative agencies and Overseas Foundation. 3、境外基金會代表機(jī)構(gòu)需要公證、認(rèn)證的文件及辦理程序3. Documents Required for Notarization and Certification and the Procedures for Representative agencies of Overseas Foundations境外基金會依法登記成立的證明及其章程，以及擬擔(dān)任境外基金會代表機(jī)構(gòu)負(fù)責(zé)人的外國人以及香港、澳門、臺灣居民的身份證明，按照下列程序確認(rèn)：The incorporation certificate and constitution of an overseas foundation and the identity certificate of the proposed principal of the overseas foundation who is a foreign person or a resident from Hong Kong, Macau or Taiwan shall be certified according to the following procedures: （1）外國人身份證明、在外國依法登記成立的基金會的證明及其章程，應(yīng)當(dāng)經(jīng)其本國公證機(jī)構(gòu)或公證人公證和有關(guān)機(jī)構(gòu)認(rèn)證，并經(jīng)中國駐該國使（領(lǐng)）館認(rèn)證，但外國人在本國法律有特殊規(guī)定的除外；(1) The identity certificate of the foreign person and the incorporation certificate and constitution of the foundation duly registered in a foreign country shall be notarized by the public notary office or notary public in the country, and shall also be certified by the embassy or consulate of China stationed in the country, unless it is otherwise provided for in the laws of the country; （2）香港居民的身份證明、在香港依法登記成立的基金會的證明及其章程，應(yīng)當(dāng)經(jīng)內(nèi)地認(rèn)可的公證人公證；(2) The identity certificate of a resident of Hong Kong and the incorporation certificate and constitution of the foundation duly registered in Hong Kong shall be notarized by the notary public recognized by the government of China; （3）澳門居民的身份證明、在澳門依法登記成立的基金會的證明及其章程，應(yīng)當(dāng)經(jīng)澳門特別行政區(qū)政府公證部門或者內(nèi)地認(rèn)可的公證人公證；(3) The identity certificate of a resident of Macau and the incorporation certificate and constitution of the foundation duly registered in Macau shall be notarized by the notary office under the government of Macau SAR or the notary public recognized by the government of China; （4）臺灣居民應(yīng)當(dāng)提交臺灣居民來往大陸通行證證明其身份，在臺灣地區(qū)依法登記成立的基金會的證明和章程，應(yīng)當(dāng)經(jīng)當(dāng)?shù)毓C人公證。(4) A resident from Taiwan shall present the Mainland Travel Permit for Taiwan Residents to prove his/her identity, and the incorporation certificate and constitution of the foundation duly registered in Taiwan shall be notarized by the local notary public. 4、境外基金會代表機(jī)構(gòu)名稱的確定4. Name of A Representative agency of Overseas Foundation境外基金會代表機(jī)構(gòu)的名稱應(yīng)當(dāng)依次由“基金會名稱”、“駐在地名稱”、“代表處（或辦事處、聯(lián)絡(luò)處等）”組成。The name of a representative agency of overseas foundation shall be composed of the “name of foundation”, “name of post place” and “representative office (or office or liaison office)” in the sequence of order. “駐在地名稱”是指境外基金會代表機(jī)構(gòu)駐在地的縣級或縣級以上行政區(qū)劃名稱?！癗ame of the post place” shall mean the name of the administrative region at the county level or above where the representative agency of the overseas foundation locates. 境外基金會名稱中未表明其原始登記地（國家或地區(qū)）的，應(yīng)在其代表機(jī)構(gòu)名稱前冠以原始登記地（國家或地區(qū)）的名稱。If the original registration place (country or region) is not indicated in the name of an overseas foundation, the name of the original registration place (country or region) shall be added to the beginning of the name of the representative agency.具體為：基金會名稱、“以加括號的形式表明其原始登記地”、“駐在地名稱”、“代表處（或辦事處、聯(lián)絡(luò)處等）”。To put it in details: name of the foundation, name of the original registration place (indicated in a bracket), name of post place and representative office (or office or liaison office) in the sequence of order. 例如：100For example: 比爾及梅琳達(dá)蓋茨基金會（美國）北京代表處。Bill & Melinda Gates Foundation (USA) Beijing Representative Office5、境外基金會代表機(jī)構(gòu)的注銷程序及需要提交的材料。5. Procedures and Materials Required in the Deregistration of Representative Agencies of Overseas Foundations境外基金會代表機(jī)構(gòu)應(yīng)當(dāng)在終止業(yè)務(wù)活動的30日前，以書面形式告知業(yè)務(wù)主管單位，經(jīng)業(yè)務(wù)主管單位審查同意后，向登記管理機(jī)關(guān)報告，由登記管理機(jī)關(guān)公告其活動終止。The representative agency of an overseas foundation shall give a written notice to the competent authority at least thirty (30) days prior to termination of its business activities. Upon approval of the competent authority, the representative agency shall submit a report to the competent registry, which will make a public announcement of its termination of business activities. 境外基金會代表機(jī)構(gòu)在辦理注銷登記前，應(yīng)當(dāng)在登記管理機(jī)關(guān)、業(yè)務(wù)主管單位的指導(dǎo)下成立清算組織，完成清算工作。Prior to deregistration of the representative agency of the overseas foundation, it shall establish a liquidation group to complete the liquidation of the representative agency under the guidance of the competent registry or the competent authority. 境外基金會代表機(jī)構(gòu)應(yīng)當(dāng)自清算結(jié)束之日起15日內(nèi)向登記管理機(jī)關(guān)辦理注銷登記；在清算期間不得開展清算以外的活動。The representative agency of the overseas foundation shall go through the formalities of deregistration with the competent registry within fifteen (15) days upon completion of the liquidation, and the representative agency may not carry out any activity during the liquidation other than the activity for the purpose of the liquidation. 境外基金會代表機(jī)構(gòu)在向登記管理機(jī)關(guān)辦理注銷登記時，應(yīng)當(dāng)提交下列文件：When going through the formalities for deregistration, the representative agency of the overseas foundation shall provide the following documents: （1）境外基金會代表機(jī)構(gòu)注銷登記申請書；(1) Application for Deregistration of Representative Agencies of Overseas Foundations; （2）清算報告；(2) Liquidation report;（3）稅務(wù)機(jī)關(guān)出具的稅務(wù)登記注銷證明或者未曾辦理稅務(wù)登記的證明；(3) A certificate of taxation deregistration or a certificate proving no registration of taxation issued by the competent taxation authority; （4）海關(guān)、外匯部門出具的相關(guān)事宜已清理完結(jié)或未曾辦理相關(guān)登記手續(xù)的證明；(4) A certificate of settlement or a certificate proving no relevant registration issued by the competent customs authority and foreign exchange controlling authority; （5）銀行賬戶注銷證明；(5) Certificate of cancellation of the bank account; （6）印章收繳證明；(6) Certificate of surrender of stamp; （7）登記證書正、副本；(7) Original and backup copy of the certificate of registration; （8）登記管理機(jī)關(guān)要求提交的其他文件。(8) Other documents required by the competent registry. 二、境外基金會代表機(jī)構(gòu)變更登記程序II. PROCEDURES OF REGISTRATION OF CHANGE FOR REPRESENTATIVE AGENCIES OF OVERSEAS FOUNDATIONS境外基金會代表機(jī)構(gòu)名稱、負(fù)責(zé)人、業(yè)務(wù)主管單位、住所、業(yè)務(wù)范圍等事項發(fā)生變化，應(yīng)當(dāng)向登記管理機(jī)關(guān)申請變更登記。If there is any change to the name, principal, competent authority, registered address, business scope or any other information of the representative agency of an overseas foundation, the representative agency shall apply for registration of the change with the competent registry. 1、境外基金會代理機(jī)構(gòu)名稱變更應(yīng)當(dāng)提交的材料1. Materials Required for Change of the Name of Representative Agencies of Overseas Foundations（1）境外基金會代表機(jī)構(gòu)登記事項表；(1) Registration Form of Representative Agencies of Overseas Foundations; （2）境外基金會代表機(jī)構(gòu)變更登記申請書。(2) Application for Registration of Change to the Representative Agency of An Overseas Foundation. 2、境外基金會代理機(jī)構(gòu)負(fù)責(zé)人變更應(yīng)當(dāng)提交的材料2. Materials Required for Change of the Principal of Representative Agencies of Overseas Foundations（1）境外基金會代表機(jī)構(gòu)登記事項表；(1) Registration Form of Representative Agencies of Overseas Foundations; （2）境外基金會代表機(jī)構(gòu)變更登記申請書；(2) Application for Registration of Change to the Representative Agency of An Overseas Foundation; （3）由會計師事務(wù)所出具的離任負(fù)責(zé)人任職期間的財務(wù)審計報告；(3) An audit report for the period when the left principal was in office issued by an accountant firm; （4）境外基金會代表機(jī)構(gòu)擬任負(fù)責(zé)人由外國人以及香港、澳門、臺灣居民擔(dān)任的，應(yīng)當(dāng)提交經(jīng)過公證、認(rèn)證的身份證明。(4) If the proposed principal of the representative agency of an overseas foundation is a foreign person or a resident from Hong Kong, Macau or Taiwan, the notarized or certified identity certificate of the principal shall be submitted. 3、境外基金會代理機(jī)構(gòu)業(yè)務(wù)主管單位變更應(yīng)當(dāng)提交的材料3. Materials Required for Change of the Competent Authority of Representative Agencies of Overseas Foundations（1）境外基金會代表機(jī)構(gòu)登記事項表；(1) Registration Form of Representative Agencies of Overseas Foundations; （2）境外基金會代表機(jī)構(gòu)變更登記申請書（由原業(yè)務(wù)主管單位審查同意后加蓋國徽章）；(2) Application for Registration of Change to the Representative Agency of An Overseas Foundation (which shall be subject to the approval of the original competent authority and affixed with a national emblem stamp); （3）新業(yè)務(wù)主管單位同意作為該境外基金會代表機(jī)構(gòu)業(yè)務(wù)主管單位的文件。(3) Approval issued by the new competent authority stating that it agrees to act as the competent authority of the representative agency of the overseas foundation. 4、境外基金會代表機(jī)構(gòu)辦理住所變更應(yīng)當(dāng)提交的材料4. Materials Required for Change of the Registered Address of Representative Agencies of Overseas Foundations（1）境外基金會代表機(jī)構(gòu)登記事項表；(1) Registration Form of Representative Agencies of Overseas Foundations; （2）境外基金會代表機(jī)構(gòu)變更登記申請書。(2) Application for Registration of Change to the Representative Agency of An Overseas Foundation. 5、境外基金會代表機(jī)構(gòu)業(yè)務(wù)范圍變更應(yīng)當(dāng)提交的材料5. Materials Required for Change of the Business Scope of Representative Agencies of Overseas Foundations（1）境外基金會代表機(jī)構(gòu)登記事項表；(1) Registration Form of Representative Agencies of Overseas Foundations; （2）境外基金會代表機(jī)構(gòu)變更登記申請書（由業(yè)務(wù)主管單位審查同意后加蓋國徽章）；(2) Application for Registration of Change to the Representative Agency of An Overseas Foundation (which shall be subject to the approval of the competent authority and affixed with a national emblem stamp);（3）境外基金會章程中有相應(yīng)業(yè)務(wù)規(guī)定的證明。(3) Certificate proving that there are some provisions in the constitution of the overseas foundation relating to such business. 三、境外基金會代表機(jī)構(gòu)備案的內(nèi)容及程序III. CONTENTS AND PROCEDURES OF RECORDATION FOR REPRESENTATIVE AGENCIES OF OVERSEAS FOUNDATIONS境外基金會代表機(jī)構(gòu)組織機(jī)構(gòu)代碼證書，稅務(wù)登記證書，印章式樣，銀行開戶證明及賬號，副代表和工作人員應(yīng)當(dāng)備案。The certificate of organization code, certificate of taxation registration, specimen of stamp, certificate of the bank account and account number, name of the deputy representative and the staff of the representative agency of the overseas foundation shall be put on records. 基金會章程如有變動，也應(yīng)當(dāng)備案。Change to the constitution of the foundation, if any, shall also be put on records. 1、提交境外基金會代表機(jī)構(gòu)備案表，對境外基金會代表機(jī)構(gòu)組織機(jī)構(gòu)代碼證書、稅務(wù)登記證書、印章式樣、銀行開戶證明和賬號進(jìn)行備案；1. To submit the Recordation Form of Representative Agencies of Overseas Foundation for the recordation of the certificate of organization code, certificate of taxation registration, specimen of stamp, certificate of the bank account and account number of the representative agency of the overseas foundation; 2、提交境外基金會代表機(jī)構(gòu)副代表備案書、境外基金會代表機(jī)構(gòu)工作人員備案書，對副代表和工作人員進(jìn)行備案；2.
