2025年全球創(chuàng)新項目英文專利布局與專業(yè)輔導(dǎo)服務(wù)合同INNOVATIVEPROJECTENGLISHPATENTLAYOUTANDPROFESSIONALADVISORYSERVICECONTRACTThisContract("theContract")isenteredintoasof[DateofExecution],betweenthefollowingparties:PartyA:[FullLegalNameofPartyA][RegisteredAddressofPartyA][City,Province,PostalCode]PartyB:[FullLegalNameofPartyB][RegisteredAddressofPartyB][City,Province,PostalCode]WHEREAS,PartyAisengagedinthefieldof[Industry/Sector]andseekstoprotectitsintellectualpropertyrightsthroughpatentfilings;andWHEREAS,PartyBspecializesinprovidingEnglishpatentlayoutandprofessionaladvisoryservicestoclients;andWHEREAS,thepartieswishtoenterintothisContractforthepurposeof[BriefPurpose];NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:1.ScopeofServicesPartyBagreestoprovidethefollowingservicestoPartyA:PrepareandfileanEnglishpatentapplicationfortheInnovationwiththerelevantpatentauthorities.Provideongoingadvisoryservicesregardingthepatentapplicationprocess,includingrespondingtoinquiriesfromthepatentofficeandassistingwithanynecessarymodificationstotheapplication.Providestrategicadviceonpatentportfoliomanagementandenforcement.2.FeesandPaymentTermsThetotalfeefortheservicesprovidedunderthisContractis[AmountinCurrency].Paymentshallbemadeininstallmentsasfollows:[AmountinCurrency]uponexecutionofthisContract.[AmountinCurrency]uponsubmissionofthepatentapplication.[AmountinCurrency]uponsuccessfulregistrationofthepatent.[AmountinCurrency]forongoingadvisoryservices,tobepaidannuallyorasagreedupon.3.TermandTerminationEitherpartymayterminatethisContractupon[ReasonforTermination],upon[NoticePeriod]priorwrittennoticetotheotherparty.4.ConfidentialityThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyduringthetermofthisContractandforaperiodof[NumberofYears]thereafter.Theconfidentialityobligationshallnotapplytoinformationthatis:(i)publiclyavailable;(ii)knowntothereceivingpartypriortoitsdisclosure;(iii)independentlydevelopedthereceivingparty;or(iv)disclosedathirdpartywithoutbreachofconfidentialityobligations.5.OwnershipofIntellectualPropertyPartyAretainsallrights,,andinterestinandtotheInnovation.PartyBshallobtainandretainallrights,,andinterestinandtothepatentapplicationfortheInnovation,includinganypatentsresultingfromtheapplication.6.LimitationofLiabilityPartyB'sliabilityunderthisContractshallbelimitedtothefeespaidPartyAunderthisContract.PartyBshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeservicesprovidedunderthisContract.7.GoverningLawandJurisdictionThisContractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism],includingarbitrationorlitigation.8.MiscellaneousThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.AnyamendmentormodificationofthisContractmustbeinwritingandexecutedbothparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatesfirstabovewritten.PartyA:_________________________[NameofAuthorizedRepresentative]_________________________[TitleofAuthorizedRepresentative]___________
