其中中方委派______名，外方委派______名。董事任期為______年，可連選連任。TheBoardofDirectorsshallconsistof[Number]directors,amongwhom[Number]shallbeappointedbytheChinesePartyand[Number]bytheForeignParty.Thetermofofficeofadirectorshallbe[Number]years,andadirectormaybere-electeduponexpirationoftheterm.4.1.2職權(quán)（Powers）董事會(huì)是合營企業(yè)的最高權(quán)力機(jī)構(gòu)，行使下列職權(quán)：TheBoardofDirectorsisthesupremeauthorityoftheJointVentureandshallexercisethefollowingpowers:（1）決定合營企業(yè)的發(fā)展規(guī)劃、年度經(jīng)營計(jì)劃和投資方案；(1)Decideonthedevelopmentplan,annualbusinessplanandinvestmentplanoftheJointVenture;（2）審議批準(zhǔn)合營企業(yè)的年度財(cái)務(wù)預(yù)算、決算和利潤分配方案；(2)Reviewandapprovetheannualfinancialbudget,finalaccountsandprofitdistributionplanoftheJointVenture;（3）決定合營企業(yè)的重大合同、重大資產(chǎn)處置和重大融資事項(xiàng)；(3)Decideonmajorcontracts,majorassetdisposalsandmajorfinancingmattersoftheJointVenture;（4）任命或解聘總經(jīng)理、副總經(jīng)理及其他高級(jí)管理人員，并決定其薪酬；(4)AppointordismisstheGeneralManager,DeputyGeneralManagerandotherseniormanagementpersonnel,anddeterminetheirremuneration;（5）修改合營企業(yè)的章程；(5)AmendthearticlesofassociationoftheJointVenture;（6）決定合營企業(yè)的解散和清算事宜。(6)DecideonthedissolutionandliquidationoftheJointVenture.4.1.3會(huì)議程序（MeetingProcedures）董事會(huì)會(huì)議每年至少召開______次，由董事長召集并主持。董事長不能履行職務(wù)時(shí)，由副董事長主持；副董事長不能履行職務(wù)時(shí)，由半數(shù)以上董事共同推舉一名董事主持。TheBoardofDirectorsshallholdatleast[Number]meetingseachyear,whichshallbeconvenedandpresidedoverbytheChairman.IftheChairmanisunabletoperformhis/herduties,theViceChairmanshallpresideoverthemeeting;iftheViceChairmanisunabletoperformhis/herduties,adirectorelectedbymorethanhalfofthedirectorsshallpresideoverthemeeting.董事會(huì)會(huì)議需有______以上董事出席方可舉行。決議需經(jīng)全體董事的______以上通過方為有效，但修改章程、解散合營企業(yè)等重大事項(xiàng)需經(jīng)全體董事一致通過。ABoardmeetingshallbevalidonlyifmorethan[Percentage]ofthedirectorsarepresent.Aresolutionshallbevalidonlyifapprovedbymorethan[Percentage]ofalldirectors,providedthatmajormatterssuchasamendingthearticlesofassociationordissolvingtheJointVentureshallrequireunanimousapprovalofalldirectors.4.2經(jīng)營管理機(jī)構(gòu)（ManagementOrganization）4.2.1總經(jīng)理（GeneralManager）合營企業(yè)設(shè)總經(jīng)理一名，由______（中方/外方）推薦，董事會(huì)任命，任期______年?？偨?jīng)理負(fù)責(zé)合營企業(yè)的日常經(jīng)營管理，行使下列職權(quán)：（1）執(zhí)行董事會(huì)的決議；(1)ImplementtheresolutionsoftheBoardofDirectors;（2）制定合營企業(yè)的內(nèi)部管理制度；(2)FormulateinternalmanagementsystemsoftheJointVenture;（3）任免中層管理人員；(3)Appointordismissmiddle-levelmanagementpersonnel;（4）向董事會(huì)報(bào)告工作。(4)ReporttotheBoardofDirectorsonworkprogress.4.2.2副總經(jīng)理（DeputyGeneralManager）合營企業(yè)設(shè)副總經(jīng)理______名，由______（中方/外方）推薦，董事會(huì)任命。副總經(jīng)理協(xié)助總經(jīng)理工作。4.3保險(xiǎn)（Insurance）合營企業(yè)的各項(xiàng)保險(xiǎn)應(yīng)向中國境內(nèi)的保險(xiǎn)公司投保，保險(xiǎn)險(xiǎn)種、保額及期限由董事會(huì)決定。5.利潤分配與虧損承擔(dān)（ProfitDistributionandLossBearing）5.1利潤分配（ProfitDistribution）合營企業(yè)的稅后利潤按下列順序分配：Theafter-taxprofitsoftheJointVentureshallbedistributedinthefollowingorder:（1）彌補(bǔ)以前年度虧損；(1)Makeupforlossesofpreviousyears;（2）提取法定公積金（提取比例為稅后利潤的______%，累計(jì)提取額達(dá)到注冊(cè)資本的______%時(shí)可不再提取）；(2)Allocatestatutoryreservefund(atarateof[Percentage]%ofafter-taxprofits,andnolongerallocatewhentheaccumulatedamountreaches[Percentage]%oftheregisteredcapital);（3）提取任意公積金（提取比例由董事會(huì)決定）；(3)Allocatediscretionaryreservefund(therateshallbedeterminedbytheBoardofDirectors);（4）剩余利潤按雙方的股權(quán)比例分配。(4)DistributetheremainingprofitstothePartiesinproportiontotheirequityinterests.5.2虧損承擔(dān)（LossBearing）合營企業(yè)的虧損由雙方按股權(quán)比例承擔(dān)，但不得超過其認(rèn)繳的出資額。LossesoftheJointVentureshallbebornebythePartiesinproportiontotheirequityinterests,butshallnotexceedtheirsubscribedcapitalcontributions.6.解散與清算（DissolutionandLiquidation）6.1解散情形（GroundsforDissolution）合營企業(yè)有下列情形之一的，應(yīng)當(dāng)解散：TheJointVentureshallbedissolvedinanyofthefollowingcircumstances:（1）合營期限屆滿，雙方未達(dá)成延長協(xié)議；(1)ThetermoftheJointVentureexpiresandthePartiesfailtoreachanextensionagreement;（2）一方嚴(yán)重違反本合同，致使合營企業(yè)無法繼續(xù)經(jīng)營；(2)APartymateriallybreachesthisContract,resultingintheJointVenturebeingunabletocontinueitsoperations;（3）合營企業(yè)發(fā)生嚴(yán)重虧損，無法繼續(xù)經(jīng)營；(3)TheJointVenturesuffersseriouslossesandisunabletocontinueitsoperations;（4）因不可抗力致使合營企業(yè)無法繼續(xù)經(jīng)營；(4)ForceMajeurecausestheJointVenturetobeunabletocontinueitsoperations;（5）法律規(guī)定的其他情形。(5)Othercircumstancesasprovidedbylaw.6.2清算（Liquidation）合營企業(yè)解散時(shí)，應(yīng)成立清算組，清算組由董事會(huì)成員組成。清算組的職權(quán)包括：（1）清理合營企業(yè)財(cái)產(chǎn)，編制資產(chǎn)負(fù)債表和財(cái)產(chǎn)清單；(1)LiquidatetheassetsoftheJointVentureandpreparebalancesheetsandassetlists;（2）通知和公告?zhèn)鶛?quán)人；(2)Notifyandannouncetocreditors;（3）處理合營企業(yè)未了結(jié)的業(yè)務(wù)；(3)SettletheoutstandingbusinessoftheJointVenture;（4）分配合營企業(yè)的剩余財(cái)產(chǎn)。(4)DistributetheremainingassetsoftheJointVenture.清算結(jié)束后，清算組應(yīng)向工商行政管理部門辦理注銷登記手續(xù)。6.3剩余財(cái)產(chǎn)分配（DistributionofRemainingAssets）合營企業(yè)的剩余財(cái)產(chǎn)按雙方的股權(quán)比例分配，但法律另有規(guī)定的除外。TheremainingassetsoftheJointVentureshallbedistributedtothePartiesinproportiontotheirequityinterests,unlessotherwiseprovidedbylaw.7.爭議解決（DisputeResolution）7.1本合同項(xiàng)下的爭議，雙方應(yīng)首先通過友好協(xié)商解決。協(xié)商不成的，提交______（仲裁機(jī)構(gòu)名稱，如中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)），按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。7.2仲裁語言為______（中文/英文）。7.2Thelanguageofarbitrationshallbe[Chinese/English].7.3本合同的解釋和執(zhí)行適用中國法律。7.3ThisContractshallbeinterpretedandenforcedinaccordancewiththelawsofthePRC.8.通用條款（GeneralTerms）8.1保密（Confidentiality）雙方應(yīng)對(duì)本合同及履行本合同過程中知悉的對(duì)方的商業(yè)秘密、技術(shù)秘密和其他保密信息承擔(dān)保密義務(wù)，未經(jīng)對(duì)方書面同意，不得向任何第三方披露。本條款在本合同終止后______年內(nèi)仍然有效。8.2不可抗力（ForceMajeure）8.2.1因不可抗力不能履行本合同的一方，應(yīng)在不可抗力發(fā)生后______日內(nèi)書面通知對(duì)方，并在不可抗力結(jié)束后______日內(nèi)提供有關(guān)證明文件。8.2.1IfaPartyisunabletoperformthisContractduetoForceMajeure,itshallnotifytheotherPartyinwritingwithin[Number]daysfromtheoccurrenceoftheForceMajeureandproviderelevantsupportingdocumentswithin[Number]daysfromtheendoftheForceMajeure.8.2.2不可抗力持續(xù)超過______個(gè)月的，雙方可協(xié)商解除本合同或變更合同條款。8.2.2IftheForceMajeurelastsformorethan[Number]months,thePartiesmaynegotiatetoterminatethisContractoramenditsterms.8.3合同修改（Amendment）本合同的修改需經(jīng)雙方書面同意，并報(bào)原審批機(jī)關(guān)批準(zhǔn)。AnyamendmenttothisContractshallrequirethewrittenconsentofbothPartiesandapprovalbytheoriginalexaminationandapprovalauthority.8.4通知（Notices）本合同項(xiàng)下的通知應(yīng)以書面形式發(fā)出，通過______（郵寄/傳真/電子郵件）送達(dá)。通知地址為雙方在本合同中載明的注冊(cè)地址。NoticesunderthisContractshallbeinwritinganddeliveredby[mail/fax/email].ThenoticeaddressshallbetheregisteredaddressofeachPartyasspecifiedinthisContract.8.5合同終止（Termination）本合同終止后，雙方應(yīng)履行下列義務(wù)：AftertheterminationofthisContract,thePartiesshall
