2025家具定制購(gòu)銷合同2025furniturecustompurchaseandsalecontractcontractnumber:signedat:signedon:thiscontract(hereinafterreferredtoasthe"contract")isenteredintoon[date]byandbetween:甲方（以下簡(jiǎn)稱“甲方”）:name:registrationnumber:address:contactperson:contactinformation:乙方（以下簡(jiǎn)稱“乙方”）:name:registrationnumber:address:contactperson:contactinformation:article1:scopeofsupply甲方agreestopurchaseand乙方agreestosupplythefollowingcustomfurniture(hereinafterreferredtoasthe"furniture"):1.1furnituredetails:variety:specifications:quantity:unitprice:totalamount:1.2allfurnitureshallbeproducedinaccordancewiththedesigndrawingsandtechnicalrequirementsagreeduponbybothparties.乙方shallensurethatthefurnituremeetsthequalitystandardsandfunctionalrequirementsstipulatedinthiscontract.article2:paymentterms甲方shallpaythefollowingamountsto乙方asconsiderationforthefurniture:2.1甲方shallpayadepositof%ofthetotalamount,i.e.,人民幣（大寫），uponsigningthiscontract.2.2thesecondpaymentof%ofthetotalamount,i.e.,人民幣（大寫），shallbepaidby甲方withindaysafterthecompletionofthefurnitureproductionandbeforedelivery.2.3thefinalpaymentoftheremaining%ofthetotalamount,i.e.,人民幣（大寫），shallbepaidby甲方withindaysafterthecompletionofdeliveryandinstallationanduponsatisfactoryacceptanceby甲方.2.4allpaymentsshallbemadebybanktransfertothefollowingaccount:accountname:accountnumber:bank:2.5乙方shallissueavalidinvoiceto甲方uponcompletionofthedeliveryofthefurniture.article3:deliveryandinstallation3.1乙方shalldeliverthefurnituretotheagreedlocation(hereinafterreferredtoasthe"deliverylocation")onorbefore[deliverydate].deliveryshallbedeemedcompleteduponarrivalatthedeliverylocation.3.2乙方shallberesponsibleforthetransportationandinstallationofthefurniture,includinganynecessarytoolsandequipment.allcostsassociatedwithdeliveryandinstallationshallbeborneby乙方.3.3甲方shallprovidenecessaryassistanceto乙方duringtheinstallationprocess,includingbutnotlimitedtoaccesstothedeliverylocationandrequiredutilities.article4:acceptanceandqualityrequirements4.1甲方shallinspectthefurniturewithindaysafterdeliveryandinstallation(hereinafterreferredtoasthe"acceptanceperiod").甲方shallnotify乙方inwritingofanydefectsornon-conformitieswithintheacceptanceperiod.failuretonotify乙方inwritingwithintheacceptanceperiodshallbedeemedasacceptanceofthefurniture.4.2allfurnitureshallcomplywiththefollowingqualitystandards:materials:craftsmanship:environmentalstandards:functionalrequirements:4.3乙方shallberesponsibleforanydefectsordamagesarisingfrommaterialsorcraftsmanshipwithinyearsfromthedateofacceptance(hereinafterreferredtoasthe"warrantyperiod").乙方shallrespondto甲方'sclaimswithinbusinessdaysandproviderepairsorreplacementsat乙方'sdiscretion,withallcostsborneby乙方.article5:rightsandobligationsof雙方5.1甲方'sobligations:topaytheamountsasspecifiedinarticle2.toprovidenecessaryassistanceto乙方duringdeliveryandinstallation.toinspectandacceptthefurnitureinaccordancewiththetermsofthiscontract.5.2乙方'sobligations:toproduceanddeliverthefurnitureinaccordancewiththedesigndrawings,specifications,andqualityrequirements.toinstallthefurnitureinaprofessionalandworkmanlikemanner.toprovideafter-salesserviceinaccordancewitharticle4.article6:違約責(zé)任6.1if甲方failstomakethepaymentsontime,乙方hastherighttochargealatefeeof%permonthontheoverdueamount.甲方shallpayalloutstandingamounts,includingthelatefee,withindaysoftheduedate.failuretodososhallbedeemedasabreachofcontract.6.2if乙方failstodeliverthefurnitureontimeorthefurniturefailstomeetthequalityrequirements,甲方hastherighttorequestaextensionofthedeliverydateorareductioninthecontractprice.if乙方failstodeliverthefurniturewithindaysaftertheduedateorfailstorectifythequalityissueswithindaysafternotification,甲方hastherighttoterminatethiscontractandclaimdamages.article7:爭(zhēng)議解決7.1anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughfriendlynegotiationsbetweenthe雙方.7.2ifthenegotiationsfail,thedisputesshallbesubmittedtothearbitrationcommissionforarbitrationinaccordancewithitsrules.thearbitrationawardshallbefinalandbindingonbothparties.7.3duringthearbitrationprocess,bothpartiesshallcontinuetoperformtheirobligationsunderthiscontract,exceptfortheobligationsindispute.article8:其他條款8.1thiscontractconstitutestheentireagreementbetweenthe雙方regardingthepurchaseandsaleofthefurniture.anypreviousorcontemporaneousunderstandings,representations,oragreementsnotexpressedinwritingareherebyexcluded.8.2anyamendmentsor補(bǔ)充協(xié)議tothiscontract
