設備維修合同協(xié)議英文版?ThisEquipmentMaintenanceContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[CompanyNameofPartyA]Address:[BusinessAddressofPartyA]ContactPerson:[ContactNameofPartyA]ContactNumber:[PhoneNumberofPartyA]Email:[EmailAddressofPartyA]PartyB:Name:[CompanyNameofPartyB]Address:[BusinessAddressofPartyB]ContactPerson:[ContactNameofPartyB]ContactNumber:[PhoneNumberofPartyB]Email:[EmailAddressofPartyB]I.DescriptionoftheSubjectMatterorServices1.EquipmenttobeMaintainedPartyAherebyengagesPartyBtoperformmaintenanceservicesonthefollowingequipment(the"Equipment"):[Listdetailedinformationabouteachpieceofequipment,includingmodelnumber,serialnumber,andabriefdescriptionofitsfunctionandusage].2.ScopeofMaintenanceServicesPartyBshallberesponsibleforprovidingprehensivemaintenanceservicesfortheEquipment,whichshallincludebutnotbelimitedto:Regularinspectionandlubricationofmechanicalponents.Checkingandreplacementofwornoutpartsasnecessary.Calibrationandadjustmentofelectricalandelectronicsystemstoensureproperoperation.CleaningandpreventivemaintenancetoextendthelifespanoftheEquipment.Diagnosisandtroubleshootingofanymalfunctionsorbreakdownsthatoccurduringthemaintenanceperiod.II.RightsandObligationsofthePartiesA.RightsofPartyA1.PartyAhastherighttoreceiveregularreportsfromPartyBregardingthemaintenanceprogressandtheconditionoftheEquipment.2.PartyAhastherighttoinspectthemaintenanceworkperformedbyPartyBatanyreasonabletimetoensurepliancewiththetermsofthisAgreement.3.PartyAreservestherighttorequestPartyBtocorrectanydeficienciesornonconformitiesinthemaintenanceserviceswithinaspecifiedtimelimit.B.ObligationsofPartyA1.PartyAshallprovidePartyBwithaccesstotheEquipmentattheagreedupontimeandlocationforthepurposeofperformingmaintenanceservices.2.PartyAshallprovidePartyBwithaccurateandpleteinformationabouttheEquipment,includingitsoperatinghistory,anypreviousmalfunctions,andrelevanttechnicaldocumentationifavailable.3.PartyAshallpaythemaintenancefeestoPartyBinaccordancewiththepaymenttermsspecifiedinthisAgreement.C.RightsofPartyB1.PartyBhastherighttoreceivepaymentfromPartyAforthemaintenanceservicesprovidedinaccordancewiththetermsofthisAgreement.2.PartyBhastherighttorequestPartyAtoprovidenecessarycooperationandassistanceduringtheperformanceofthemaintenanceservices,suchasprovidingaccesstorelevantfacilitiesorpersonnel.D.ObligationsofPartyB1.PartyBshalldispatchqualifiedandexperiencedtechnicianstoperformthemaintenanceservicesinaccordancewithindustrystandardsandbestpractices.2.PartyBshalluseonlyhighqualitygenuineorequivalentreplacementpartsfortheEquipment,unlessotherwiseagreedbyPartyAinwriting.3.PartyBshallensurethatallmaintenanceworkiscarriedoutinasafeandpropermanner,andshallberesponsibleforanydamagecausedtotheEquipmentorthirdpartiesduringtheperformanceofthemaintenanceservices,exceptwheresuchdamageiscausedbythenegligenceorwillfulactofPartyA.4.PartyBshallkeepconfidentialallinformationobtainedfromPartyAduringtheperformanceofthemaintenanceservices,includingbutnotlimitedtotechnicaldata,businesssecrets,andcustomerinformation.5.PartyBshallnotifyPartyAimmediatelyinwritingifitdiscoversanypotentialproblemsormalfunctionswiththeEquipmentduringthemaintenanceprocessthatmayaffectitsnormaloperation.6.PartyBshallpletethemaintenanceserviceswithintheagreedupontimeframe.Incaseofanydelay,PartyBshallnotifyPartyAinadvanceandprovideareasonableexplanationforthedelay.III.MaintenanceFeesandPaymentTerms1.MaintenanceFeesThetotalmaintenancefeesfortheservicesprovidedunderthisAgreementshallbe[amountincurrency].Thisamountisinclusiveofalllaborcosts,partscosts,andanyotherexpensesrelatedtothemaintenanceservices,exceptasotherwisespecified.2.PaymentTermsPartyAshallpayPartyBthemaintenancefeesinthefollowinginstallments:[Firstinstallmentamount]shallbepaidwithin[numberofdays]daysaftertheexecutionofthisAgreementasanadvancepayment.Theremainingbalanceof[remainingamount]shallbepaidwithin[numberofdays]daysafterPartyBhaspletedallmaintenanceservicesandprovidedPartyAwithasatisfactorymaintenancereport.3.PaymentMethodPaymentshallbemadeby[paymentmethod,e.g.,banktransfer,check,etc.].PartyBshallprovidePartyAwithavalidinvoiceforeachpayment.IV.WarrantyandLiabilityA.Warranty1.PartyBwarrantsthatthemaintenanceservicesprovidedshallbeofhighqualityandshallconformtoindustrystandards.2.PartyBwarrantsthatanyreplacementpartsusedshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]monthsfromthedateofinstallation.3.IncaseofanymalfunctionorbreakdownoftheEquipmentthatisdirectlyattributabletothemaintenanceservicesprovidedbyPartyBwithinthewarrantyperiod,PartyBshall,atitsownexpense,repairorreplacethedefectivepartsorponentsandperformanynecessaryadjustmentsorcalibrationstorestoretheEquipmenttoitsproperoperatingcondition.B.Liability1.LimitationofLiabilityInnoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,incidental,orconsequentialdamages,includingbutnotlimitedtolossofprofits,lossofbusiness,orlossofdata,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.ThetotalliabilityofPartyBtoPartyAunderthisAgreementshallnotexceedthetotalamountofmaintenancefeespaidorpayablebyPartyAtoPartyBunderthisAgreement.2.IndemnificationPartyBshallindemnifyandholdharmlessPartyAfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththemaintenanceservicesprovidedbyPartyB,includingbutnotlimitedtoanyclaimsforpersonalinjury,propertydamage,orinfringementofthirdpartyrights.PartyAshallindemnifyandholdharmlessPartyBfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyA'suseoftheEquipmentinviolationofanylaws,regulations,orthirdpartyrights,orPartyA'sfailuretoprovidePartyBwithaccurateinformationasrequiredbythisAgreement.V.DurationandTermination1.DurationThisAgreementshallmenceon[startdate]andshallremaininforceforaperiodof[durationinmonths/years].2.TerminationEitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherparty.IncaseofamaterialbreachofthisAgreementbyeitherparty,thenonbreachingpartymayterminatethisAgreementimmediatelyuponwrittennoticetothebreachingparty,withoutprejudicetoitsrighttoclaimdamagesforthebreach.UponterminationofthisAgreement,PartyAshallpayPartyBforallmaintenanceservicesthathavebeenpletedandacceptedbyPartyAuptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.VI.Confidentiality1.EachpartyacknowledgesthatduringthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty,includingbutnotlimitedtotechnicalspecifications,businessplans,customerlists,andfinancialinformation.2.Eachpartyshallkeepconfidentialandshallnotdisclosetoanythirdpartyanysuchconfidentialinformationwithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[confidentialityperiod]years.VII.GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinacco
