三、基本條款

1.本合同雙方均確認對于投資項目的目標、風險以及預期收益具有充分了解，自愿并為了共同的經(jīng)濟利益而簽訂本合同。

五、收益分配

（1）投資項目的收益將按照每個季度結(jié)算一次，結(jié)算日為每年的[結(jié)算日]。

六、風險提示

RiskWarning

1.雙方同意投資項目存在投資風險，并將自行承擔投資所帶來的一切風險及損失。

2.雙方同意合作期間保持良好的溝通，共同解決項目運營中的問題，并采取合理的風控措施。

2.Bothpartiesagreetomaintaingoodcommunicationduringthecooperationperiod,jointlyresolveissuesinprojectoperation,andtakereasonableriskcontrolmeasures.

七、違約責任

LiabilityforBreach

1.如果一方違反本合同的任何規(guī)定，應當賠償對方因此遭受的直接經(jīng)濟損失。

1.Ifeitherpartybreachesanyprovisionofthiscontract,itshallcompensatetheotherpartyforthedirecteconomiclosssufferedasaresult.

2.如果一方發(fā)生違約行為，另一方有權解除本合同，并要求違約方承擔相應的違約責任。

2.Ifonepartycommitsabreach,theotherpartyhastherighttoterminatethiscontractanddemandthebreachingpartytobearthecorrespondingliabilityforbreach.

八、爭議解決

DisputeResolution

雙方對于本合同的解釋、履行或者違約引起的爭議，應首先友好協(xié)商解決，協(xié)商不成的，可向所在地法院提起訴訟。

Anydisputesarisingfromtheinterpretation,performance,orbreachofthiscontractshallberesolvedthroughfriendlynegotiation.Ifnegotiationfails,eitherpartymayfilealawsuitwiththelocalcourt.

九、合同生效

ContractEffectiveness

本合同經(jīng)雙方簽字蓋章后生效，有效期為簽署之日起。

Thiscontractshallbecomeeffectiveuponthesignaturesandsealsofbothpartiesandshallremainvalidfromthedateofsigning.

十、附則

Miscellaneous

1.本合同一式兩份，出資方一份，出資方二份，共同具有同等法律效力。

1.Thiscontractismadeinduplicate,withonecopyforPartyAandonecopyforPartyB,bothhavingequallegaleffect.

2.本合同的修改、補充或者終止應當采取書面形式，并由雙方代表簽字確認。

ConfidentialityClause

1.雙方應對在投資合作過程中獲得的對方商業(yè)秘密嚴守保密，不得向任何第三方透露或披露。

1.Bothpartiesshallkeepconfidentialanytradesecretsobtainedfromtheotherpartyduringtheinvestmentcooperationprocessandshallnotdiscloseorrevealthemtoanythirdparty.

2.在本合同生效期間以及合同終止后，無論因何種原因，雙方均應妥善保管和管理相關文件、資料、技術信息等。

2.Duringthetermofthiscontractandafteritsterminationforanyreason,bothpartiesshallproperlysafeguardandmanagerelevantdocuments,materials,technicalinformation,etc.

3.對于違反保密條款的一方，應承擔違約責任，并賠償對方因此遭受的損失。

十二、知識產(chǎn)權

IntellectualPropertyRights

1.在投資過程中，如涉及到知識產(chǎn)權的使用、保護以及相關權益，雙方應共同遵守國家法律法規(guī)和雙方達成的協(xié)議。

1.Duringtheinvestmentprocess,ifitinvolvestheuse,protection,andrelatedrightsofintellectualproperty,bothpartiesshalljointlycomplywithnationallawsandregulationsandagreementsreachedbybothparties.

2.出資方一和出資方二應共同協(xié)商并簽署知識產(chǎn)權相關文件，明確雙方的權益和義務。

2.PartyAandPartyBshalljointlynegotiateandsignintellectualproperty-relateddocumentstoclarifytherightsandobligationsofbothparties.

3.如果一方在知識產(chǎn)權方面的侵權行為導致對方受到損害，應承擔相應的法律責任并賠償損失。

3.Ifoneparty'sinfringementofintellectualpropertyrightscausesharmtotheotherparty,itshallbearcorrespondinglegalliabilitiesandcompensatefortheloss.

十三、合作解除

TerminationofCooperation

1.如果出現(xiàn)以下情況之一，本合同將被解除：

（1）經(jīng)雙方協(xié)商一致解除合同；

（2）雙方投資金額達到預定的目標；

（3）根據(jù)合同約定的投資期限到期。
