LoanAgreement

ThisLoanAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[lender'sname],a[lender'sentitytype]organizedandexistingunderthelawsof[lender'sjurisdiction](the“Lender”),and[borrower'sname],a[borrower'sentitytype]organizedandexistingunderthelawsof[borrower'sjurisdiction](the“Borrower”).

I.LoanAmount

TheLenderherebyagreestolendtotheBorrower,andtheBorrowerherebyagreestoborrowfromtheLender,theprincipalsumof[loanamountinfigures]([loanamountinwords])(the“Loan”).

II.Interest

1.InterestshallaccrueontheoutstandingprincipalamountoftheLoanatarateof[interestrate]%perannum(the“InterestRate”).

2.Interestshallbecalculatedonthebasisofa[day-countconvention,e.g.,360-dayyear]andshallbepayable[frequencyofpayment,e.g.,monthly,quarterly]inarrears.

III.Repayment

1.TheBorrowershallrepaytheprincipalamountoftheLoan,togetherwithallaccruedandunpaidinterest,in[numberofinstallments]equalinstallmentsof[installmentamount]each,commencingon[firstpaymentdate]andcontinuingon[subsequentpaymentdates].

2.IntheeventofanyprepaymentoftheLoan,theBorrowershallgivetheLender[numberofdays]days'priorwrittennotice.Prepaymentshallbemadewithoutpenalty.

IV.UseofProceeds

TheBorrowershallusetheproceedsoftheLoansolelyfor[purposeofloan,e.g.,businessexpansion,workingcapital].TheBorrowershallnotusetheLoanproceedsforanyillegalorunauthorizedpurposes.

V.RepresentationsandWarranties

1.TheBorrowerrepresentsandwarrantstotheLenderthat:

-Itisdulyorganizedandvalidlyexistingunderthelawsofitsjurisdictionoforganization.

-IthasthelegalrightandauthoritytoenterintothisAgreementandtoborrowtheLoan.

-Allnecessarycorporateorotherorganizationalactionshavebeentakentoauthorizetheexecution,delivery,andperformanceofthisAgreement.

-Theexecution,delivery,andperformanceofthisAgreementdonotviolateanylaw,regulation,oragreementtowhichtheBorrowerisaparty.

2.TheLenderrepresentsandwarrantstotheBorrowerthat:

-Itisdulyorganizedandvalidlyexistingunderthelawsofitsjurisdictionoforganization.

-IthasthelegalrightandauthoritytoenterintothisAgreementandtomaketheLoan.

-Allnecessarycorporateorotherorganizationalactionshavebeentakentoauthorizetheexecution,delivery,andperformanceofthisAgreement.

VI.Covenants

1.AffirmativeCovenants

-TheBorrowershallkeepaccuratebooksandrecordsofitsfinancialtransactionsrelatedtotheLoan.

-TheBorrowershallprovidetheLenderwith[financialstatements,e.g.,annualauditedfinancialstatements,quarterlyunauditedfinancialstatements]within[numberofdays]daysaftertheendofeach[reportingperiod].

2.NegativeCovenants

-WithoutthepriorwrittenconsentoftheLender,theBorrowershallnot:

-Incuranyadditionalindebtedness,exceptfornormaltradepayablesandindebtednesspermittedbytheLender.

-Disposeofanymaterialassets,exceptintheordinarycourseofbusiness.

-ChangeitsbusinessoperationsinamannerthatwouldmateriallyaffectitsabilitytorepaytheLoan.

VII.DefaultandRemedies

1.EventsofDefaultshallinclude,butnotbelimitedto:

-FailurebytheBorrowertomakeanypaymentofprincipalorinterestwhendue.

-BreachbytheBorrowerofanyrepresentation,warranty,orcovenantcontainedinthisAgreement.

-TheoccurrenceofanyeventthatresultsinamaterialadversechangeinthefinancialconditionoftheBorrower.

2.IntheeventofanEventofDefault,theLendermay,atitsoption:

-DeclaretheentireunpaidprincipalamountoftheLoan,togetherwithallaccruedandunpaidinterest,immediatelydueandpayable.

-ExerciseanyotherrightsandremediesavailabletoitunderthisAgreement,atlaw,orinequity.

VIII.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

IX.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.
