2025外貿(mào)函電之-合同與執(zhí)行ContractandImplementationContractandImplementationThisContract(hereafterreferredtoasthe"Contract")isenteredintoonthisdayof,2025,byandbetween（hereafterreferredtoasthe"Seller"）and（hereafterreferredtoasthe"Buyer"），withthemutualintenttoestablishthetermsandconditionsforthesupplyofgoodsandservicesasdescribedbelow.1.ScopeoftheContract1.1TheSelleragreestosupplythegoodsand/orservicesspecifiedinthisContracttotheBuyer,andtheBuyeragreestopurchasethesameunderthetermsandconditionsoutlinedherein.1.2Thegoodsand/orservicestobesuppliedaredetailedinScheduleA,whichformsanintegralpartofthisContract.2.GoodsandServicesDescription2.1Thegoodsand/orservicestobesuppliedbytheSellerareasfollows:[Detaileddescriptionofgoodsand/orservices,includingbutnotlimitedtotheirnames,specifications,quantities,unitprices,andtotalamounts].2.2TheSellershallensurethatthegoodsand/orservicesmeetthequalityandtechnicalstandardsagreeduponbybothparties.AnydeviationfromtheagreedtermsshallbepromptlycommunicatedtotheBuyerinwriting.3.PriceandPaymentTerms3.1Thetotalamountforthegoodsand/orservicesis,asdetailedinScheduleA.3.2Thepaymenttermsareasfollows:a.%ofthetotalamountasadownpaymentshallbepaidbytheBuyeruponthesigningofthisContract.b.Theremaining%shallbepaidbytheBuyeruponsuccessfulinspectionandacceptanceofthegoodsand/orservices.3.3AllpaymentsshallbemadeinaccordancewiththecurrencyandpaymentmethodsspecifiedinScheduleA.3.4TheSellershallprovidetheBuyerwithinvoicesand/orreceiptsinduplicate,onecopyofwhichshallberetainedbyeachparty.4.DeliveryandShipment4.1Thegoodsand/orservicesshallbedeliveredbytheSellertotheBuyerattheaddressspecifiedinScheduleA.4.2ThedeliverydateshallbeaspertheagreedscheduleinScheduleA.AnydelayindeliveryshallbepromptlycommunicatedtotheBuyer,alongwiththereasonsforthedelay.4.3TheSellershallberesponsibleforarrangingtransportationandbearingthecostsassociatedwithdelivery,unlessotherwisespecifiedinScheduleA.4.4TheriskoflossordamagetothegoodsshallpasstotheBuyerupondelivery,aspertheagreedterms.5.QualityandInspection5.1TheSellershallensurethatthegoodsand/orservicesmeetthequalitystandardsagreeduponinthisContract.5.2TheBuyershallhavetherighttoinspectthegoodsand/orservicesuponreceipt.Intheeventofanydiscrepancy,theBuyershallnotifytheSellerinwritingwithindaysafterdelivery.5.3TheSellershallberesponsibleforanydefectsinthegoodsand/orservicesarisingfrommanufacturingormaterialdefectswithinthewarrantyperiodasspecifiedinScheduleA.6.ForceMajeure6.1NeitherpartyshallbeliableforanyfailureordelayinperformanceoftheirobligationsunderthisContractifsuchfailureordelayisduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,orgovernmentactions.6.2Intheeventofaforcemajeure,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandprovidereasonableevidencethereof.Theaffectedpartyshalluseitsbesteffortstomitigatetheeffectsoftheforcemajeureandresumeperformanceassoonaspossible.7.IntellectualPropertyRights7.1Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,anddesigns,shallremainthepropertyoftherespectiveownerunlessotherwiseagreeduponinwriting.7.2TheBuyershallnotuseanyintellectualpropertyrightsoftheSellerforanypurposebeyondthescopeofthisContractwithoutpriorwrittenconsent.8.Confidentiality8.1BothpartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthecourseofthisContract.Neitherpartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.8.2TheobligationofconfidentialityshallcontinuebeyondtheterminationofthisContract.9.Terminationand違約責(zé)任9.1EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyintheeventofamaterialbreachoftheContract,providedthatthebreachingpartyfailstoremedythebreachwithindaysofreceivingwrittennotification.9.2IntheeventofabreachofthisContractbyeitherparty,thebreachingpartyshallbeliableforanylossesordamagessustainedbytheotherpartyasadirectresultofthebreach,subjecttothelimitationsofliabilityspecifiedinScheduleA.10.GoverningLawandDisputeResolution10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof（thechosenjurisdiction）.10.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好協(xié)商.Ifsuch協(xié)商fails,themattershallbesubmittedtothe（chosenarbitrationbodyorcourt）forarbitrationorlitigation.11.Miscellaneous11.1Anyamendmentsor補(bǔ)充協(xié)議tothisContractshallbeinwritingandsignedbybothparties.11.2ThisContractconstitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereof,andsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten,relatingtothesamesubjectmatter.11.3IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.Inwitnesswhereof,thepartiesheretohaveexecutedthisContractthroughtheirrespectiveauthorizedrepresentativesas
