2025年關(guān)于合同的商務(wù)英語表達(dá)CONTRACTFORBUSINESSSERVICES2025ThisContractforBusinessServices("Contract")isenteredintoonthisdayof2025,byandbetween:PARTIESPartyAName:Address:ContactInformation:BusinessRegistrationNumber:PartyBName:Address:ContactInformation:BusinessRegistrationNumber:RECITALSWHEREAS,PartyAisengagedinthebusinessof("Services"),andwishestoprovidesuchServicestoPartyB;ANDWHEREAS,PartyBdesirestoavailoftheServicesprovidedbyPartyAonthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.SCOPEOFSERVICES1.1PartyAshallprovidethefollowingServicestoPartyB:("Services").1.2TheServicesshallbeperformedinaccordancewiththetermsandconditionsstipulatedherein,andincompliancewithapplicablelaws,regulations,andindustrystandards.1.3PartyAshalluseitsbesteffortstoensurethequalityandtimelydeliveryoftheServices,takingintoaccounttherequirementsandinstructionsprovidedbyPartyB.1.4PartyBshallprovideallnecessarycooperation,support,andresourcestoenablePartyAtoperformtheServiceseffectively.2.RIGHTSANDOBLIGATIONS2.1ObligationsofPartyA:a.ProvidetheServicesinaprofessional,efficient,andethicalmanner.b.MaintaintheconfidentialityofallinformationprovidedbyPartyBinthecourseofperformingtheServices.c.Complywithallapplicablelaws,regulations,andcontractualobligations.2.2ObligationsofPartyB:a.Provideaccurateandcompleteinformation,instructions,andmaterialsrequiredfortheperformanceoftheServices.b.EnsurethatPartyAhasaccesstoallnecessaryresources,personnel,andfacilitiesduringthetermofthisContract.c.PaythefeesfortheServicesasagreeduponinthisContract.3.FEESANDPAYMENT3.1ThetotalfeefortheServices("Fee")shallbeasfollows:.3.2TheFeeshallbepaidbyPartyBinaccordancewiththepaymenttermsspecifiedherein:.3.3PartyBshallberesponsibleforalltaxes,duties,andotherchargesapplicabletotheServices,includingbutnotlimitedtovalue-addedtax(VAT)andincometax.3.4IfPartyBfailstomakeanypaymentwhendue,PartyAshallhavetherighttochargeaninterestof%perannumontheoverdueamount,calculatedfromthedateofdefaultuntilpaymentismadeinfull.4.INTELLECTUALPROPERTYRIGHTS4.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,anddesigns,createdordevelopedinthecourseofperformingtheServicesshallbethesolepropertyofPartyA,unlessotherwiseagreedinwriting.4.2PartyBshallhavetherighttousetheintellectualpropertyrightscreatedordevelopedinthecourseofperformingtheServicessolelyforthepurposeofthisContract,subjecttopaymentoftheagreedfees.4.3PartyAshallensurethatallmaterials,designs,andworkscreatedinthecourseofperformingtheServicesdonotinfringeupontheintellectualpropertyrightsofanythirdparty.5.CONFIDENTIALITY5.1PartyAandPartyBagreetomaintaintheconfidentialityofallnon-public,proprietary,andconfidentialinformation("ConfidentialInformation")exchangedduringthetermofthisContract.5.2TheobligationsunderthisSectionshallcontinueindefinitely,unlessotherwiseagreedinwriting.5.3PartyAandPartyBshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.6.WARRANTIESANDLIABILITY6.1PartyAwarrantsthatithasthenecessaryqualifications,licenses,andpermissionstoprovidetheServices.6.2PartyAshallnotbeliableforanylosses,damages,orclaimsarisingfromtheuseoftheServicesbyPartyB,unlesssuchlosses,damages,orclaimsaredirectlyattributabletothegrossnegligenceorwilfulmisconductofPartyA.6.3PartyBacknowledgesthattheServicesareprovided"asis"and"asavailable,"andexpresslydisclaimsanywarrantyorguarantee,expressorimplied,regardingtheperformance,merchantability,orfitnessforaparticularpurposeoftheServices.7.INDEMNIFICATION7.1PartyBagreestoindemnify,defend,andholdharmlessPartyA,itsdirectors,officers,employees,andagents,fromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwiththeuseoftheServicesbyPartyBoranythirdparty.7.2PartyAagreestoindemnify,defend,andholdharmlessPartyB,itsdirectors,officers,employees,andagents,fromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanybreachofthisContractbyPartyA.8.TERMANDTERMINATION8.1ThisContractshallcommenceonthedateofexecutionandcontinueuntil("Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.8.2EitherPartymayterminatethisContractwithimmediateeffectiftheotherPartycommitsamaterialbreachofthisContractandfailstocuresuchbreachwithindaysafterreceiptofwrittennoticethereof.8.3EitherPartymayterminatethisContractimmediatelywithoutcauseupondays'writtennoticetotheotherParty.8.4Upontermination,allrightsandobligationsunderthisContractshallcease,exceptforthoseprovisionswhichbytheirnatureareintendedtosurvivetermination,includingbutnotlimitedtotheconfidentiality,indemnification,andintellectualpropertyrightsprovisions.9.FORCEMAJEURE9.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayisduetoeventsbeyonditscontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics("ForceMajeure").9.2IfaForceMajeureeventpreventseitherPartyfromperformingitsobligationsforacontinuousperiodofdays,eitherPartymayterminatethisContractbywrittennoticetotheotherParty.10.GOVERNINGLAWANDDISPUTERESOLUTION10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthrough友好協(xié)商.Ifsuch協(xié)商fails,thedisputesshallbesubmittedtothearbitrationinstitutionlocatedininaccordancewiththearbitrationrulesthereof.ThearbitrationawardshallbefinalandbindingonbothParties.11.MISCELLANEOUS11.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.11.2Amendments:AnyamendmentstothisContractmustbemadeinwritingandsignedbybothParties.11.3Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritinganddeliveredtotheresp
