2025商務(wù)英語(yǔ)合同范本下載ContractAgreementNo.:DateofSigning:PlaceofSigning:ThisContractAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof,2025,byandbetweenthefollowingtwoparties:PartyA:Name:TypeofEntity:Address:ContactInformation:PartyB:Name:TypeofEntity:Address:ContactInformation:1.Recitals1.1ThePartiesagreetoestablishacooperativerelationshipforthepurposeof(hereinafterreferredtoasthe"Project").1.2PartyAagreestoprovide(hereinafterreferredtoasthe"Goods/Services")toPartyB,andPartyBagreestopaytheamountasspecifiedinthisAgreement.1.3ThePartiesacknowledgethatthisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof(hereinafterreferredtoasthe"ApplicableLaw").2.ScopeofGoods/Services2.1PartyAshallprovidethefollowingGoods/Services:Description:Quantity:Specifications:QualityStandards:2.2PartyBshallusetheGoods/ServicesinaccordancewiththeagreedpurposeandshallnotaltertheoriginalintendedusewithoutpriorwrittenconsentfromPartyA.3.TermandDelivery3.1ThetermofthisAgreementshallcommenceonandshallcontinueuntilunlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.3.2DeliveryoftheGoods/Servicesshallbemadeinaccordancewiththefollowingterms:DeliveryMethod:DeliveryLocation:DeliveryDate:3.3PartyAshallensurethattheGoods/Servicesaredeliveredinatimelymannerandincompliancewiththeagreedspecificationsandstandards.4.PaymentTerms4.1ThetotalamounttobepaidbyPartyBtoPartyAfortheGoods/Servicesis(hereinafterreferredtoasthe"TotalAmount").4.2Paymentshallbemadeinaccordancewiththefollowingschedule:Milestone1:Milestone2:FinalPayment:4.3Allpaymentsshallbemadeinandshallbepaidtothefollowingaccount:AccountHolder:BankName:BankAccountNumber:4.4PartyAshallissueinvoicesorreceiptsinaccordancewiththeApplicableLaw,andPartyBshallverifytheinvoices/receiptswithindaysofreceipt.5.PriceAdjustments5.1TheTotalAmountisbasedonthecurrentpricesandtermsasof.AnychangesinpricesduetomarketfluctuationsorotherfactorsshallbesubjecttomutualagreementbetweentheParties.5.2PartyAmayadjustthepricesuponwrittennoticetoPartyB,providedthatsuchadjustmentisinaccordancewiththeApplicableLawandthetermsofthisAgreement.6.WarrantiesandResponsibilities6.1PartyAwarrantsthattheGoods/ServicesprovidedunderthisAgreementarefreefromdefectsinmaterialandworkmanshipandshallconformtotheagreedstandards.6.2PartyBagreestoprovideallnecessaryassistanceandcooperationtoPartyAinordertofulfilltheobligationsunderthisAgreement.6.3NeitherPartyshallbeliableforanyfailureordelayinperformancecausedbyeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions.7.IntellectualPropertyRights7.1Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,patents,anddesigns,shallremainwiththerespectiveowner.7.2PartyAgrantsPartyBanon-exclusive,royalty-freelicensetouseanyintellectualpropertyrightsrelatedtotheGoods/ServicesforthepurposeofthisAgreement.7.3PartyBshallnotassign,transfer,orsublicenseanyintellectualpropertyrightsgrantedunderthisAgreementwithoutpriorwrittenconsentfromPartyA.8.Confidentiality8.1BothPartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthecourseofthisAgreement,includingbutnotlimitedtobusinessplans,technicaldata,andcustomerinformation.8.2TheobligationsunderthisSectionshallsurvivetheterminationofthisAgreement.9.Indemnification9.1PartyBagreestoindemnifyandholdharmlessPartyAagainstanyclaims,demands,damages,losses,orexpenses,includingbutnotlimitedtolegalfees,arisingfromtheuseoftheGoods/Servicesinviolationofapplicablelawsorregulations.9.2PartyAagreestoindemnifyandholdharmlessPartyBagainstanyclaims,demands,damages,losses,orexpenses,includingbutnotlimitedtolegalfees,arisingfromanydefectintheGoods/ServicesprovidedbyPartyA.10.GoverningLawandDisputeResolution10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththeApplicableLaw.10.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiations.Ifnegotiationsfail,thedisputesshallbesubmittedtotheexclusivejurisdictionofthecourtsof.11.AmendmentsandTermination11.1AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.11.2EitherPartymayterminatethisAgreementwithorwithoutcausebygivingwrittennoticetotheotherParty.11.3UponterminationofthisAgreement,bothPartiesshallsettlealloutstandingmatterswithindaysoftheterminationdate.12.OtherProvisions12.1ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereof.Anyprioragreements,understandings,orarrangementsaresupersededbythisAgreement.12.2IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovi
