HotelCooperationContractAgreementThisHotelCooperationContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[Company/IndividualName]Address:[FullAddress]ContactPerson:[Name]ContactNumber:[PhoneNumber]Email:[EmailAddress]PartyB:Name:[Company/IndividualName]Address:[FullAddress]ContactPerson:[Name]ContactNumber:[PhoneNumber]Email:[EmailAddress]I.RecitalsWHEREAS,PartyAisengagedin[describePartyA'srelevantbusinessorcapabilitiesinthehotelindustryorrelatedfields];WHEREAS,PartyBisengagedin[describePartyB'srelevantbusinessorcapabilitiesinthehotelindustryorrelatedfields];WHEREAS,thePartiesdesiretoenterintoacooperativerelationshiptojointlydevelopandoperatehotel-relatedbusinessandachievemutualbenefits.II.ScopeofCooperation1.HotelProject:ThePartiesshallcooperateonthe[nameofthehotelproject]locatedat[addressofthehotel].Thecooperationshallcovervariousaspectsincludingbutnotlimitedtohotelconstruction,renovation,operation,marketing,andmanagement.2.BusinessAreas:Thecooperationshallextendtoalllegalbusinessareaswithinthehotel,suchasguestaccommodation,foodandbeverageservices,conferencefacilities,andotherancillaryservices.III.RightsandObligationsofthePartiesPartyA'sRightsandObligations1.Rights-PartyAshallhavetherighttoparticipateinmajordecision-makingprocessesregardingthehotelproject,includingbutnotlimitedtoinvestmentplans,businessstrategies,andmanagementpolicies.-PartyAshallhavetherighttoreceivefinancialreportsandoperationalinformationofthehotelonaregularbasistoensuretransparencyofthecooperation.2.Obligations-PartyAshallcontribute[amount/resource]asagreeduponforthehotelproject.Thecontributionshallbemadeintheformof[describetheformofcontribution,e.g.,cash,equipment,landuserights]within[timelimit].-PartyAshalluseitsbesteffortstoprovidenecessarysupportandresourcesintermsof[listrelevantaspects,e.g.,industryconnections,technicalexpertise]topromotethesmoothprogressofthehotelproject.PartyB'sRightsandObligations1.Rights-PartyBshallhavetherighttoparticipateinmajordecision-makingprocessesregardingthehotelproject,onanequalfootingwithPartyA.-PartyBshallhavetherighttoreviewandcommentonthefinancialandoperationalmanagementofthehotel.2.Obligations-PartyBshallcontribute[amount/resource]asagreeduponforthehotelproject.Thecontributionshallbemadeintheformof[describetheformofcontribution]within[timelimit].-PartyBshallberesponsiblefor[listspecificresponsibilities,e.g.,dailyoperationmanagement,staffrecruitmentandtraining]ofthehotelinaccordancewiththeagreed-uponmanagementplan.IV.ManagementandOperation1.ManagementStructure:ThePartiesshalljointlyestablishamanagementcommittee(the"Committee")tooverseetheoveralloperationofthehotel.TheCommitteeshallconsistof[number]representativesfromeachParty.TheCommitteeshallberesponsibleformakingmajordecisions,formulatingbusinessplans,andsupervisingtheperformanceofthehotelmanagementteam.2.OperationPlan:Themanagementteamofthehotelshallprepareadetailedoperationplan,includingbutnotlimitedtomarketingstrategies,costcontrolmeasures,andservicequalityimprovementplans.TheoperationplanshallbesubjecttotheapprovaloftheCommittee.V.ProfitDistributionandLossSharing1.ProfitDistribution:ThenetprofitsofthehotelshallbedistributedamongthePartiesinproportiontotheirrespectivecontributions.Theprofitdistributionshallbecarriedoutonanannualbasis,afterdeductingallrelevanttaxes,operatingcosts,andreservefundsasdeterminedbytheCommittee.2.LossSharing:Intheeventoflossesincurredbythehotel,thePartiesshallsharethelossesinproportiontotheirrespectivecontributions.EachPartyshallbearitsshareofthelosseswithin[timelimit]afterthedeterminationofthelosses.VI.IntellectualPropertyRights1.BrandandTrademark:Anybrandnames,trademarks,andlogosdevelopedorusedinconnectionwiththehotelprojectshallbejointlyownedbytheParties,unlessotherwiseagreedinwriting.2.Copyright:Copyrightsforanypromotionalmaterials,brochures,andsoftwaredevelopedforthehotelprojectshallbejointlyownedbytheParties,andnoPartyshalluse,reproduce,ortransfersuchintellectualpropertyrightswithoutthepriorwrittenconsentoftheotherParty.VII.Confidentiality1.ConfidentialInformation:EachPartyacknowledgesthatduringthecourseofthecooperation,itmayhaveaccesstoconfidentialinformationoftheotherParty,includingbutnotlimitedtobusinessplans,customerlists,financialinformation,andtechnicalknow-how.2.Non-disclosure:EachPartyshallkeeptheconfidentialinformationoftheotherPartystrictlyconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaw.VIII.DurationandTermination1.Duration:ThisAgreementshallcomeintoeffectasofthedateofexecutionandshallremaininforceforaperiodof[numberofyears].TheAgreementmaybereneweduponthemutualwrittenconsentofthePartiesatleast[numberofmonths]priortotheexpirationoftheterm.2.Termination:ThisAgreementmaybeterminatedunderthefollowingcircumstances:-BymutualwrittenagreementoftheParties;-IntheeventofamaterialbreachofthisAgreementbyeitherParty,andthebreachingPartyfailstocurethebreachwithin[numberofdays]afterreceivingwrittennoticefromthenon-breachingParty;-IntheeventofforcemajeureorotherunforeseeableandirresistiblecircumstancesthatmaketheperformanceofthisAgreementimpossible.IX.LiabilityforBreachofContract1.Compensation:IfeitherPartyfailstoperformitsobligationsunderthisAgreement,itshallbeliableforcompensatingtheotherPartyforalldirectandindirectlossessufferedasaresultofsuchbreach.2.Remedies:Thenon-breachingPartyshallhavetherighttotakealllegalandequitableremediesavailabletoit,includingbutnotlimitedtoseekingdamages,specificperformance,orinjunctiverelief.X.DisputeResolution1.Negotiation:IntheeventofanydisputesarisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationswi
