AgreementtoCancelContract

ThisAgreementtoCancelContract(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas“PartyA”),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas“PartyB”).

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the“OriginalContract”)on[originalcontractdate];

WHEREAS,forcertainreasons,bothpartiesnowdesiretocanceltheOriginalContractandterminateallrightsandobligationsthereunder.

AgreementtoCancel

1.CancellationoftheOriginalContract

-PartyAandPartyBherebymutuallyagreetocanceltheOriginalContractwithimmediateeffect.AllrightsandobligationsofbothpartiesundertheOriginalContractshallbeterminatedasofthedateofthisAgreement,exceptasotherwiseprovidedherein.

2.ReturnofConsiderationandAssets

-Ifeitherpartyhasreceivedanyconsideration,goods,property,orotherassetsfromtheotherpartypursuanttotheOriginalContract,suchpartyshallreturnthesametotheotherpartywithin[numberofdays]daysoftheexecutionofthisAgreement.

-PartyAshallreturntoPartyB[listspecificitemsoramounts,ifapplicable],andPartyBshallreturntoPartyA[listspecificitemsoramounts,ifapplicable].

3.Confidentiality

-TheconfidentialityprovisionsoftheOriginalContract,ifany,shallremaininfullforceandeffectafterthecancellationoftheOriginalContract.BothpartiesshallcontinuetobeboundbytheirobligationstokeepconfidentialanyconfidentialinformationobtainedfromtheotherpartyduringthetermoftheOriginalContract.

4.Indemnification

-Eachpartyherebyreleasesanddischargestheotherpartyfromanyandallclaims,liabilities,damages,losses,andexpenses(includingbutnotlimitedtoattorneys'fees)arisingoutoforinconnectionwiththeOriginalContractoritscancellation,exceptforanyclaimsthatmayarisefromaparty'sbreachofthisAgreement.

-Notwithstandingtheabove,ifeitherpartydiscoversanyclaim,liability,orobligationthatshouldhavebeenaddressedinthisAgreementafteritsexecution,suchpartyshallpromptlynotifytheotherparty,andbothpartiesshallcooperatetoresolvethematteringoodfaith.

5.EntireAgreement

-ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothecancellationoftheOriginalContract.

6.AmendmentsandWaivers

-Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

7.GoverningLaw

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

8.Severability

-IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementtoCancelContractasofthedatefirstabovewritten.
