1.ScopeofServices

TheConsultingCompanyagreestoprovidetheServicestotheClient,asdescribedinExhibitAattachedhereto(hereinafterreferredtoas"theScopeofServices").TheServicesshallbeperformedinaccordancewiththespecifications,standards,andproceduressetforthintheScopeofServices.

2.TermandTermination

5.Confidentiality

ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherpartyduringthetermofthisContractandforaperiodof[NumberofYears]yearsfollowingtheterminationorexpirationofthisContract.

6.LimitationofLiability

TheConsultingCompanyshallnotbeliableforanydirect,indirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceoftheServicesunderthisContract,exceptfordamagescausedbytheConsultingCompany'sgrossnegligenceorwillfulmisconduct.

7.GoverningLawandDisputeResolution

6.ThirdParty'sObligationsandRights

TheThirdPartyshallhavethefollowingobligationsandrights:
