LABOURBeijingBeijingCoINDEXPOSITION&TASKSOFWORKTRIALPERIODDURATIONOFTHECONTRACTSALARYPREMIUM&BONUS獎(jiǎng)金及分紅PERSONALINCOMETAX個(gè)人所得稅TRAINING培訓(xùn)WORKINGHOURSDISCIPLINESICKNESS&INJURYLEAVELABOURSAFETY&HYGIENESOCIALINSURANCEHOLIDAYSEXCLUSIVITY&NON-COMPETITIONCONFIDENTIALITY保密協(xié)定RESPONSIBILITIESOFTHEPARTIES雙方職責(zé)TERMINATIONOFTHECONTRACT合同終止AMENDMENTOFTHECONTRACT合同修訂APPLICABLELAW適用法律SETTLEMENTOFDISPUTESMISCELLANEOUS,awhollyownedforeignenterpriseincorporatedunderthelawsofthePeople’sRepublicofChinawithitsregisteredofficebeingatHereinafterreferredtoasthe以下簡(jiǎn)稱(chēng)“本公司OntheoneXX,PersonalIdentificationNumber:XX,DateofBirth:XXXHereinafterreferredtoasthe以下簡(jiǎn)稱(chēng)“該員工OntheotherHereinaftercollectivelyreferredtoasthe甲方、乙方以下統(tǒng)稱(chēng)“合同雙方”InaccordancewiththeLabourLawtheProvisionsontheLabourAdministrationRegulationsforForeignInvestmentEnterprisesandotherrelevantlawsandregulationsofthePeople’sRepublicofChinathePARTIEShaveconcludedthefollowinglabourcontract(hereinafterreferredtoasthe“CONTRACT”)ARTICLEARTICLE1:POSITION&TASKSOFTheEMPLOYEEwillhavethefollowingThedutiesandresponsibilitiesoftheEMPLOYEEwillbe,butnotlimitedIfnecessaryduetothemanagementorganisationoftheCOMPANYandorthecompetenceandabilitiesoftheEMPLOYEEtheCOMPANYmayadjusttheposition,dutiesandresponsibilitiesoftheEMPLOYEE.ARTICLEARTICLE2:TRIALThetrialperiodwillstartonthedateofsignatureofthisCONTRACT.Thedurationofthetrialperiodisthree(3)months.DuringthetrialperiodtheEMPLOYEEwillbeboundbyallarticlesofthiscontract.AfterthespecifiedtrialperiodandifnonoticeofterminationisgiventheEMPLOYEEautomaticallybecomesemployedunderthetermsandconditionsofthisCONTRACT.ARTICLEARTICLE3:DURATIONOFTHEThedurationofthisCONTRACTistwenty-sixth(26)ThisCONTRACTmaybeextendeduponagreementofbothPARTIES.AnextensiontothisCONTRACTshallcomeintoforceonlyafterawrittenagreementhasbeensignedbybothARTICLEARTICLE4:TheCOMPANYshalldefineitsownsalarypolicyinaccordancewithregulationsstipulatedbythestateandmunicipalgovernment.TheCOMPANYshallensurethatthemonthlysalaryoftheEMPLOYEEisnotlessthantheminimumpaystandardsetbythelocalgovernment.TheEMPLOYEEwillreceiveagross口monthlyor口annualsalaryofXXXrenminbi(RMBXXXandandaccordingtothesalarypolicyoftheCOMPANYapprovedbytheBoardofDirectorsoftheCOMPANY,andetc.XXX元人民幣,今后將按照該員工的工作表現(xiàn)、本公司的經(jīng)濟(jì)效益以及SuchsalaryshallbetransferredtothebankaccountdesignatedbytheEMPLOYEEbetweenthethirdandfifthdayofeachmonth.35ARTICLEARTICLE5:PREMIUM&AtthefulldiscretionoftheChiefExecutiveOfficerandbaseduponhis/hergeneralattitudeandtheresultofhis/herworkandfulfilmentofhis/herobjectivesdetailedwithhis/hermanagerandatthebeginningofeachcalendaryeartheEMPLOYEEwillbeentitledtoanannualbonusnotexceedingone(1)monthofsalaryandshallbepaidtotheEMPLOYEEforeachfullcalendaryearwhichtheEMPLOYEEworksfortheCOMPANYintwo(2)instalmentsthefollowingyear.ARTICLEARTICLE6:PERSONALINCOMETheEMPLOYEEshallpayindividualincometaxinaccordancewiththerelevantlawsandregulationsofthePeople’sRepublicofChina.TheCOMPANYshallwithholdsuchamountandpayittothecompetenttaxbureau.ARTICLEARTICLE7:TheCOMPANYwillestablishanEMPLOYEEtrainingsystemandprovidenecessarytrainingtotheEMPLOYEEinaccordancewiththerelevantlawsandregulationsofthePeople’sRepublicofChinaandastheCOMPANYneeds.ARTICLEARTICLE8:WORKINGTheCOMPANYwillimplementworkinghoursystemoffortyminimum(40)hoursperweekinaccordancewiththerelevantlawsandregulationsexclusiveoflunchtime.40小時(shí)工作制(40小時(shí)),不包括午餐時(shí)間。TheworkinghoursarefromMondaytoFridayfrom9:00AMto6:00PMwithaone(1hourforlunchthatmayvaryintimesoastohaveatleastonestaffmemberintheofficeduringlunchSubjecttotheoperationneedstheCOMPANYmayadoptirregularworkinghoursystemorcalculatetheworkinghoursonsyntheticbasis.TheCOMPANYmayextendtheworkinghoursoftheEMPLOYEEafterconsultationwiththeEMPLOYEEaccordingtotherelevantlawsandregulations.TheCOMPANYpaystheEMPLOYEE300percentofthesalary,basedonanhourlyamountaccordingtoArticle4,heretoforworkingduringofficialpublicholidays.43ofArticle8.1andArticle8.3inanyofthefollowingcases:Immediateactionwhichmustbecarriedoutincaseofnaturaldisasters,accidentsorothereventsthatwillendangertheEMPLOYEE’slife,health,property,orsafety;Urgentrepairwhichmustbecarriedoutincaseofbreakingdownofoperationequipment,communication,transportationandotherfacilitieswhichwillendangerCOMPANYbusinessorpublicinterest;ContinuousoftheoperationorbusinessoftheCOMPANYwhichshallnotbeinterruptedonstipulatedholidaysandrestdays.Overhaulandmaintenanceoftheequipmentwhichshallonlybemadeonstipulatedholidaysandrestdays;andEmergencyoperationassignmentconcerningnationalARTICLEARTICLE9:ApartfromtheprovisionsofthisCONTRACTtheEMPLOYEEmustrespectallrelevantlawsandregulationsofthePeople’sRepublicofChinarulesandregulationsoftheCOMPANYandprovisionsofanyrelevantcollectivelabourcontract.TheEMPLOYEEmustrespectandexecuteanyandallformalinstructionsgiventohim/herregardingthedutiesandresponsibilitiesofhis/hertasksofwork.willnormallycarryoutthefollowingprocedure:OralwarningFirstwrittenwarningFinalwrittenwarningDismissalHowevertheCOMPANYreservestherighttoomitanyofthesestagesasthecasemayTheEMPLOYEEhastherighttoappealagainstwrittenwarningsordismissaltotheLabourDisputeCommitteeifany.ARTICLEARTICLE10:SICKNESS&INJURYTheEMPLOYEEwillbeentitledtosicknessandinjuryleavesinaccordancewiththerelevantlawsandregulations.approvalfromhis/hermanager.Leaveformorethantwo(2)daysshallbeapprovedbytheChiefExecutiveOfficeroftheCOMPANYandsubmittedtotheOfficeManager,HumanResourcesManagerortheirManagerforverificationandfilingbeforegoingforleave.IncaseofanysuddensicknessorinjurytheEMPLOYEEshallinformhis/hermanagernolaterthantheendofthefirstday.AwrittenconfirmationshallbesubmittedtotheOfficeManagerandHumanResourcesManagerforverificationandfilingwithintwo(2)daysafterheorshecomesbacktowork.若該員工突發(fā)疾病或受傷,需在當(dāng)天結(jié)束前通知其上級(jí)經(jīng)理,并在返回崗位后的兩(2)IftheEMPLOYEEisabsentformorethanone(1)weekhe/shemustensurethattheChiefExecutiveOfficerarekeptinformedoftheprogressatweeklyintervals.TheEMPLOYEEtakingsicknessorinjuryleavesformorethanone(1)daymustprovideamedicalcertificateissuedbyaqualifieddoctor.Failureorrefusaltoprovidethecertificateorprovidingfalseorinaccurateinformationwillbedeemedasagrossmisconduct.ARTICLEARTICLE11:LABOURSAFETY&TheCOMPANYwillestablishasoundlaboursafetyandhygienefacilitiesandshallstrictlyimplementrulesandstandardsoflaboursafetyandhygieneofthePeople’sRepublicofChina,conductlaboursafetyandhygieneeducation,preventaccidentsandreduceoccupationalTheCOMPANYshallprovidetheEMPLOYEEwithlaboursafetyandhygieneconditionsandnecessaryarticlesinconformitywiththerelevantlawsandregulations.TheEMPLOYEEshallhavetherighttorefusetocarryoutanydangerousoperationforceduponhim/herbymanagementpersonnelinviolationoftherelevantregulations.ARTICLEARTICLE12:SOCIALTheCOMPANYmustjoinsocialinsuranceschemesfortheEMPLOYEEinaccordancewiththerelevantlawsandregulationsofthePeople’sRepublicofChinaandshallpayontimesocialinsurancepremiumstothesocialinsuranceinstitutionsaccordingtothestandardssetbythelocalauthorities.ARTICLEARTICLE13:TheEMPLOYEEenjoysstatutoryholidaysforofficialpublicholidays,wedding,andfuneralsinlinewiththerelevantlawsandregulationsofthePeople’sRepublicofChina.TheEMPLOYEEisentitledyearly(forafullyearworked)toapaidannualvacationoften(10)workingdaysexclusiveofthestatutoryholidays.Holidaysaccruedduringoneperiodhavetobetakenonthefollowingholidayperiod.Forthefirstyearofemployment,holidayswillbeaccruedatproratatemporis.111231日作為一個(gè)休假年度,當(dāng)年未休的假期只可累積到次年使用。在本公司工作未滿(mǎn)AftertheEMPLOYEEcompletesfive(5)yearsofcontinuousworkfortheCOMPANYtheEMPLOYEEisentitledyearly(forafullyearworked)toone(1)furtherworkingdayofpaidvacationshallnotexceedtwenty(20)workingdaysintheaggregate.AllleavemustbetakenattimesagreedwiththeChiefExecutiveOfficeroftheCOMPANYtendaysinadvance.10ARTICLEARTICLE14:EXCLUSIVITY&NON-TheEMPLOYEEmustdevoteinfullallhis/herworkingtimetotheItisstrictlyforbiddenfortheEMPLOYEEtohaveanyotherprofessionalactivityforhimself/herselforandrelativesorandthirdpartiesevenfreeofcharge.TheEMPLOYEEundertakesnottoexercisedirectlyorindirectlyonbehalfofanycompetitortothebusinessoftheCOMPANYforone(1)yearaftertheterminationofthepresentCONTRACT.ThisArticle14.3isnotapplicableifterminationoftheCONTRACTisduetoCOMPANYforotherreasonsthantheonescoveredbyArticle14andArticle15.1415TheEMPLOYEEshallpaytheCOMPANYanamountofRMB10,000toRMB100,000asapenaltyclauseifhe/shedoesnotcomplywithArticle14.1Article14.2andArticle14.3hereto.ThisamountdoesnotincludethepossibleactualdamageswhichmaybeclaimedbytheCOMPANY.ARTICLEARTICLE15:TheEMPLOYEEshallkeepstrictlysecretandconfidentialandnottodisclosetoanythirdPARTYanyandalltechnical,economic,financial,clientormarketinginformationacquiredfromtheCOMPANYandorobtainedbecauseofhis/heractivitiesintheCOMPANY.TheEMPLOYEEshallnotuseanysuchinformationforanypurposewhatsoeverexceptwithinandforthetasks,duties,andresponsibilitiesprovidedinthisCONTRACT.TheEMPLOYEEagreesthatanydisclosureornonauthoriseduseofsuchinformationshallbeconsideredasaseriousmisconductexceptinthecasewherebytheEMPLOYEEhasreceivedapriorwrittenpermissionfromtheCOMPANYmanagement.TheEMPLOYEEshallcomplywithhis/herconfidentialityobligationspursuanttothisArticle15forthewholetermofthisCONTRACTanddurationoffive(5)yearsaftertheterminationoftheTheEMPLOYEEshallpaytheCOMPANYanamountofRMB10,000toRMB100,000asapenaltyifhe/shedoesnotcomplywithhis/herconfidentialityobligationspursuanttothisArticle15.Thisamountdoesnotincludethepossibleactualdamageswhichmaybeclaimedbythe151萬(wàn)-10ARTICLEARTICLE16:RESPONSIBILITIESOFTHEEitherofthePARTIESshallperformitsresponsibilitiesunderthisCONTRACTstrictlyinaccordancewiththeprovisionhereof.infringesupontheinterestsoftheotherPARTYandcausesdamagestotheotherPARTY.ARTICLEARTICLE17:TERMINATIONOFTHEEitherofthePARTIESshallbeentitledtoterminatethisCONTRACTforreasonsexpresslyprovidedbytherelevantlawsandregulationsofthePeople’sRepublicofChina.SuchterminationofthisCONTRACTshallcomplywiththeproceedingsprovidedbytherelevantlawsandregulations.DuringthecourseoftheemploymentwiththeCOMPANYtheEMPLOYEEisemployedinanyothertradeorbusinessorganisationwithoutthewrittenconsentoftheCOMPANY.TheEMPLOYEEhasaconflictbetweenpersonalinterestandtheinterestoftheCOMPANYindealingwithsupplier,customers,andindividualsofotherorganisationsdoingorseekingtodobusinesswiththeCOMPANY.TheEMPLOYEEhasaskedfororreceivedanyadvantageorbenefitseitherinmonetaryornonmonetarytermofanykindformpersonsororganisationshavingbusinessactivitiesdirectlyorindirectlywiththeCOMPANY.該員工向與本公司有直接或間接業(yè)務(wù)往來(lái)的任何個(gè)人或機(jī)構(gòu)索取或收受任何貨幣或非貨幣形式的財(cái)物或好處。TheEMPLOYEEfailstoperformhis/herresponsibilitiesunderArticles14andArticle15ofthisCONTRACT.1415TheEMPLOYEEleftfromhis/herworkformorethanfive(5)workingdayswithoutpriorconsentfromtheChiefExecutiveOfficerexceptinthecaseofforcemajeurewhichpreventtheEMPLOYEEfrominformingtheChiefExecutiveOfficer.TheEMPLOYEEmayalsouponpriorthirty(30)dayswrittennoticesenttotheChiefExecutiveOfficeroftheCOMPANYhandoverhis/herresignationforpersonalreasons.IftheEMPLOYEEdoesnotprovidetheCOMPANYwithonemonth’snotice,he/sheshouldpaytotheCOMPANYonecalendarmonthofsalaryandallowancementionedinArticle4asthecompensation.4TheCOMPANYshallpaytotheEMPLOYEEanycompensationpursuanttorelevantlawsandregulationsofthePeople’sRepublicofChinaincaseofterminationofthisCONTRACTunlessotherwiseprovidedbythelawsorresultingfromtheoccurrenceoftheterminationeventsagreedbyPARTIEShereoforresignationoftheEMPLOYEEforpersonalreasons.ThemaximumamountofcompensationbytheCOMPANYwillnotexceedonecalendarmonthofsalaryandallowancementionedinArticle4IncaseofterminationofthisCONTRACTduetofaultoftheEMPLOYEEorresignationoftheEMPLOYEEforpersonalreasons:5條規(guī)定的年終獎(jiǎng)金TheEMPLOYEEshallrefundtotheCOMPANYalltheexpensesa
