Recitals

WHEREAS,PartyAandPartyBenteredintoacontract(the"OriginalContract")on[dateoforiginalcontract],withthecontractnumber[contractnumber],forthe[purposeoftheoriginalcontract];

WHEREAS,bothpartiesnowdesiretomutuallycanceltheOriginalContractandterminateallrightsandobligationsthereunder.

Agreement

1.CancellationoftheOriginalContract

-PartyAandPartyBherebymutuallyagreetocanceltheOriginalContract,effectiveasofthedateofthisAgreement.AllrightsandobligationsofbothpartiesundertheOriginalContractshallbeterminatedimmediately,exceptasotherwiseprovidedinthisAgreement.

2.ReturnofConsiderationandProperty

-Eachpartyshallreturntotheotherpartyanyconsideration,property,documents,ormaterialsreceivedundertheOriginalContractwithin[numberofdays]daysfromthedateofthisAgreement.Ifanysuchconsideration,property,documents,ormaterialscannotbereturnedinkind,thepartyinpossessionshallpaytheotherpartyanamountequivalenttothefairmarketvaluethereofasofthedateoftheOriginalContract.

3.ReleaseofLiability

-Eachpartyherebyreleasesandforeverdischargestheotherparty,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromallclaims,liabilities,damages,losses,andexpenses(includingbutnotlimitedtoattorneys'feesandcourtcosts)arisingoutoforinanywayrelatedtotheOriginalContract,whetherknownorunknown,arisingbeforethedateofthisAgreement.

4.Confidentiality

-ThepartiesshallcontinuetobeboundbyanyconfidentialityobligationsimposedbytheOriginalContractorapplicablelawwithrespecttoanyconfidentialinformationexchangedorobtainedduringthetermoftheOriginalContract.ThisconfidentialityobligationshallsurvivethecancellationoftheOriginalContract.

5.Non-disparagement

-Eachpartycovenantsandagreesthatitwillnotmakeanydisparagingstatements,orallyorinwriting,abouttheotherparty,itsbusiness,products,services,oremployeesthatcouldharmtheotherparty'sreputationorbusinessinterests.

6.EntireAgreement

-ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

7.AmendmentsandWaivers

-Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

8.GoverningLaw

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

9.Severability

-IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.
