意向書LETTEROFINTENT本意向書于二零零七年___月日由下列雙方簽訂:(1)煙臺福山天府房地產開發(fā)有限公司,一家根據(jù)中華人民共和國(“中國”)法律正式成立并有效存續(xù)的有限責任公司,其法定地址在中國省市(“業(yè)主”);及(2)沃爾瑪深國投百貨有限公司,一家依據(jù)中國法律正式成立并有效存續(xù)的有限責任公司,其法定地址在中國廣東省深圳市羅湖區(qū)洪湖路湖景花園一至三層(“沃爾瑪”)(業(yè)主與沃爾瑪合稱時為“雙方”)鑒于:(a)沃爾瑪欲承租業(yè)主位于中國山東省煙臺市福山區(qū)天府街北電新路東的富豪青年國際廣場(“大廈”)地下一層及地上一層的部分面積的房屋(“房屋”);(b)業(yè)主亦欲將房屋出租給沃爾瑪;(c)沃爾瑪和業(yè)主愿按照本意向書列明的條款和條件,尋求雙方達成有關房屋的租賃協(xié)議的可能性?,F(xiàn)雙方達成下列意向條款和條件并在此基礎THISLETTEROFINTENTismadeon,2007byandbetween:1)Co.,Ltd.,alimitedliabilitycompanyestablishedandexistingunderthelawsofthePeople'sRepublicofChina(“China”),withitslegaladdressatCity,Province,China(hereinafterreferredtoasthe“LANDLORD”);and2)Wal-MartSZITICStoresCo.,Ltd.,alimitedliabilitycompanyestablishedandexistingunderthelawsofChina,withitslegaladdressatF/1~3LakeviewGarden,HonghuRoad,LuohuDistrictShenzhenMunicipality,GuangdongProvince,China(hereinafterreferredtoas“WAL-MART”)(LANDLORDandWAL-MARTshallbecollectivelyreferredtoas“Parties”).WHEREASWAL-MARTwishestoleasefromLANDLORDaportionoftheareaon(the“Premises")oftheBuilding[Lot.No._](the“Building”)locatedat__City,__ProvinceChina;LANDLORDseekstoleasetoWALMARTthePremises;WAL-MARTandLANDLORDseektoexplorethepossibilityofenteringintoaleaseagreementforthePremisespursuanttothetermsandconditionsspecifiedherein.BothPartiesherebyreachtheintentasbelowand,basedonsuchintent,shallfurthernegotiateanddiscusswithregardtotheleaseofthePremiseswithaviewtoconcludingaformalPremisesLeaseAgreement.上就有關房屋租賃事宜作進一步協(xié)商和談判以期達成正式的房屋租賃協(xié)議。除本意向書另有約定外,本意向書僅列明雙方對意向中的房屋租賃協(xié)議條款和條件的初步意見,并無法律約束力。本意向書和任何確定文件中敘述的條款和條件均須經沃爾瑪百貨有限公司(沃爾瑪總部)房產委員會審閱并得到其批準。⑴《租賃協(xié)議》雙方欲在下列條款和條件的基礎上,進行有關房屋租賃協(xié)議的談判(“租賃協(xié)議”)。(a)租用面積房屋內沃爾瑪?shù)淖庥妹娣e約為—平方米(』)(“租用面積”),其中,___層的租用面積為—平方米(_m2),___層的租用面積為平方米(_m2),—層的租用面積為—平方米(__m2)。房屋的租金應根據(jù)租用面積計算。租用面積平面圖參見附件一房屋總平面圖和各層平面圖。(b)免租施工期業(yè)主同意,自進場日(如本意向書第(1)條(e)款所定義)起至房屋內沃爾瑪購物廣場開業(yè)之日的前一日止的期間,為業(yè)主授予沃爾瑪?shù)拿庾馐┕て冢ā懊庾馐┕て凇保?。免租施工期內,包括沃爾瑪、沃爾瑪?shù)淖庸?、供UnlessotherwiseprovidedinthisLetterofIntent,thisLetterofIntentsetsforthonlythepreliminaryviewsofbothPartiestowardsthetermsandconditionsoftheproposedPremisesLeaseAgreementandislegallynon-binding.ThetermsandconditionsoutlinedinthisLetterofIntentandanydefinitivedocumentsshallbesubjecttothereviewandfinalapprovaloftheRealEstateCommitteeofWal-MartStoresIncorporation(homeofficeofWAL-MART).仃)LeaseAgreementThePartiesproposetoproceedwithnegotiationofaLeaseAgreementforthePremisesbasedonthefollowingtermsandconditions(the“LeaseAgreement”).LeasedAreaTheoverallarealeasedbyWAL-MARTwithinthePremisesisabout__squaremeters(_m2)(“LeasedArea”),with__squaremeters(m2)onthe__,_squaremeters(__m2)onthe__,squaremeters(m2)onthe_.TheLeasedAreashallbethebasisforcomputingtheRentforthePremises.TheplanoftheLeasedAreaisreferredtoExhibitISitePlanandFloorPlan.Rent-freeConstructionPeriodLANDLORDagreestograntWAL-MARTaRent-freeConstructionPeriodfromtheStartingDateofConstruction(definedinSection(1)Subsection(e)ofthisLetterofIntent)tothedatebeforetheGrandOpeningDayofWalMART'ssupercenterwithinthePremises(the“Rent-freeConstructionPeriod”).DuringtheRent-FreeConstructionPeriod,WALMARTincludingWAL-MART'ssubsidiaries,suppliers,contractors,orsubcontractors,willnotbeobligatedtopayanyRentand/oranymanagementfeeand/oranytaxationand/orfeeowedto貨商、工程總包和分包公司無須支付租金和/或任何管理費以及其它根據(jù)中國法律法規(guī)中所規(guī)定的業(yè)主作為租賃標的物所有人應承擔的任何稅費。租期初始租期為十五(15)年,自免租施工期屆滿后的次日開始計算。沃爾瑪可單方面酌情行使續(xù)約權五(5)次,每次續(xù)約期的最長期限為五(5)年。租金房屋的租金已包括租金、管理費(備注:管理費為租用面積每月每平方米人民幣_元[RMB__/月/m2])、空調系統(tǒng)及其它設施使用費以及依照中國法律應由業(yè)主承擔的房屋所涉及的任何其它費用和支出。沃爾瑪租用面積內的水費(包括空調用水)、電費(包括空調用電)、燃氣費、暖氣費,按沃爾瑪實際用量,單獨計量,由沃爾瑪自行向相關公用設施服務部門繳納。一個租約年系指連續(xù)十二(12)個月的租賃期間。免租施工期屆滿后的次日為第一(1)個租約年和租期的開始日。初始租期內房屋的租金按如下標準計算:LANDLORDastheowneroftheLeaseholdPropertyinaccordancewiththerelevantPRClaws,regulations.TermTheInitialLeaseTermshallbeFifteen(15)yearsbeginningonnextdayfollowingendofRent-freeConstructionPeriod.WAL-MARTshallbegrantedtheoption,exercisableatitssolediscretion,torenewtheleasetermforFive(5)consecutiveperiodsofuptoFive(5)yearseach.RentTheRentforthePremisesincludesrental,managementfees(Note:managementfeefortheLeasedAreashallbeRMB__Yuanpersquaremeterpermonth[RMB_/month/m2]),chargesforuseofair-conditioningsystemandotherutilities,andanyothercostsandexpensesrelatedtothePremisesthatshallbebornebytheLANDLORDunderthelawsofChina.Chargesforwater(includingwaterforA/C),electricity(includingelectricityforA/C),gasandheatconsumedbyWAL-MARTwithintheLeasedAreashallbeseparatelycalculatedanddirectlypaidtorelevantutilityservicesuppliersbyWAL-MARTuponitsactualconsumption.ALeaseYearshallmeanaconsecutiveTwelve(12)-monthleaseperiod.ThedayfollowingtheendofRent-freeConstructionPeriodshallbethedateofcommencementforLeaseYearOneandtheLeaseTerm.TheRentforthePremisesduringtheInitialLeaseTermshallbecalculatedasfollows:LeaseYear__throughLeaseYear_:RMB_Yuanpersquaremeterpermonth(RMB_/m2/month);LeaseYear_throughLeaseYear_:RMBYuanpersquaremeterpermonth(RMB_/m2/month);第_()個租約年至第_()個租約年的租金為每月每平方米人民幣__(RMB_/m2/month);第__()個租約年至第_()個租約年的租金為每月每平方米人民幣__(RMB_/m2/month);第_()個租約年至第_()個租約年的租金為每月每平方米人民幣__(RMB_/m2/month).自第_()個租約年起,初始租期內的租金在上一個租約年的基礎上每__()年遞增百分之_(_%)。初始租期屆滿后,若沃爾瑪決定續(xù)約,則自第()個租約年起,續(xù)約期內的租金在上一個租約年的基礎上每()年遞增百分之(%)。進場日在符合下列條件的前提下且沃爾瑪可以進場施工的日期為“進場日”(“進場日”):(i)市城市商業(yè)規(guī)劃已獲得中國商務部的批準;(ii)沃爾瑪在房屋內開設沃爾瑪購物廣場符合前述中國商務部批準的市城市商業(yè)規(guī)劃;(iii)市商務主管部門舉行的有關沃爾瑪在房屋內開設沃爾瑪購物廣場的聽證已完成,且聽證結果是同意沃爾瑪在房屋內開設沃爾瑪購物廣場(若適用);(iv)業(yè)主已完成租賃協(xié)議附件中所約定的沃爾瑪進場施工條件;和,(v)沃爾瑪根據(jù)租賃協(xié)議附件對沃LeaseYearthroughLeaseYear:RMB__Yuanpersquaremeterpermonth(RMB_/m2/month);FromLeaseYear,theRentintheInitialLeaseTermshallincrease_percent(%)every()yearonthebasisoftheRentfortheprecedingLeaseYear.IntheeventthatWAL-MARTdecidestorenewtheLeaseAgreementuponexpirationoftheInitialLeaseTerm,fromLeaseYear(),theRentintheExtensionPeriodshallincreasepercent(%)every_()yearonthebasisoftheRentfortheprecedingLeaseYear.(e)StartingDateofConstructionThe“StartingDateofConstruction”isthedateonwhichthefollowingconditionsaresatisfiedandWAL-MARTmayenterthePremisesforconstruction(the“StartingDateofConstruction.”):(i)thecitycommercialplanningofCityhasbeenapprovedbytheMinistryofCommerceofChina(the“MOC”);(ii)WAL-MART'sopeningofSupercenterwithinthePremisesisinconformitywiththeaforesaidcitycommercialplanningofCityapprovedbyMOC;(iii)WAL-MARTisgrantedtoopenitsSupercenterwithinthePremises(ifapplicable)duringacompletedhearingprocesswhichisheldbythecommercialauthorityofCityforexaminingWAL-MART'sopeningitsSupercenterwithinthePremise;(iv)theconditionsbeforeWAL-MART'sstartingconstructionsetforthinExhibitoftheLeaseAgreementaresatisfiedbyLANDLORD;and,(v)WAL-MARThasinspectedandacceptedtheconditionsbeforeWAL-MART'sstartingconstructionaccordingtoExhibitoftheLeaseAgreement.ParkingAreaLANDLORDshallprovideaminimumof()freecarparkingspaces,()freemotorcycleparkingspaces,and()freebicycleparking爾瑪進場施工條件驗收合格。停車區(qū)業(yè)主應在附件一所示位置向沃爾瑪提供最少()個免費汽車停車位,()個免費摩托車停車位,和()個免費自行車停車位(以上合稱“停車區(qū)”)。在租期內,業(yè)主不得就其提供的停車區(qū)向沃爾瑪,沃爾瑪員工及沃爾瑪?shù)墓淌杖∪魏钨M用。業(yè)主不得就其提供的摩托車和自行車停車位向沃爾瑪顧客收取任何費用;及,沃爾瑪顧客可以在沃爾瑪購物廣場的營業(yè)時間內免費汽車停車一百二十(120)分鐘。若停車時間超過一百二十(120)分鐘,或無有效小票停車,則業(yè)主有權按__市物價部門核準的收費標準向沃爾瑪顧客收取停車費用。分租或轉租業(yè)主同意,經書面通知業(yè)主,沃爾瑪有權隨時將部分或全部房屋分租或轉租給任何第三方。分租戶或受轉租人在遵守租賃協(xié)議約定的前提下可將房屋用于合法的經營用途。機密情報沃爾瑪無需向業(yè)主提供有關銷售或其它方面的機密情報或有關資產方面的信息。競爭信息業(yè)主承諾在房屋和大廈內無其它與沃爾瑪購spacesforWAL-MART(collectivelyasthe“ParkingLot”)intheplaceasspecifiedinExhibitI.DuringtheTerm,WAL-MART,WAL-MART'semployeesandWAL-MART'ssuppliersshallnotbeleviedanyfeebytheLANDLORDforusingoftheParkingArea.WAL-MART'scustomersshallnotbechargedforanyfeeforusingthemotorcycleandbicycleparkingspaceswithintheParkingLot;furthermore,WAL-MART'scustomersshallhavetherighttoparkcarforOneHundredandTwenty(120)minutesfreeofchargeduringbusinesshourofWAL-MART'ssupercenter.IftheparkingtimesurpassesOneHundredandTwenty(120)minutes,orthecustomercannotpresentvalidshoppingreceipt,LANDLORDshallhavetherighttochargethecustomersaccordingtothestandardapprovedbyofficepricestabilizationinCity.Sub-leasingorAssigningLANDLORDagreesthat,uponwrittennotificationtoLANDLORD,WAL-MARThastheabsoluterighttosub-leaseorassignanypartorupto100%ofthePremisestoanythirdparty.Thesub-lesseeorassigneecanusethePremisesforlawfulpurposeonthepreconditionofcomplyingwiththeLeaseAgreement.ConfidentialInformationThereisnorequirementforWAL-MARTtoprovidesalesinformationorotherconfidentialandproprietaryinformationtotheLANDLORD.CompetitionInformationLANDLORDshallwarrantthatthereshallbenootherstoresbeingidenticalorsimilarintheformattoWal-Martsupercenter,Sam'scluborWal-Martneighborhoodmarket,norbusinessoperatorsbeingdirectlyorindirectlyin物廣場、山姆會員商店或沃爾瑪社區(qū)店形式相同或相似的沃爾瑪?shù)闹苯踊蜷g接競爭者。①終止權自第_()個租約年起,沃爾瑪有權以任何理由提前___()個月以書面形式通知業(yè)主終止租賃協(xié)議,沃爾瑪無需為此承擔任何責任。如自租賃協(xié)議簽訂之日起十(10)個月內,若沃爾瑪或其合資方無法從__市工商行政管理局取得在該房屋內從事經營活動的營業(yè)執(zhí)照,沃爾瑪有權在書面通知業(yè)主后立即解除租賃協(xié)議而無需為此承擔任何責任。(k)無持續(xù)運營沃爾瑪購物廣場的義務雙方同意,在本意向書第(1)條(c)款所述租期內,在沃爾瑪根據(jù)與業(yè)主日后簽訂的房屋租賃協(xié)議的條件和條款履行其支付租金的義務的條件下,沃爾瑪沒有義務在房屋內持續(xù)不斷地運營沃爾瑪購物廣場。業(yè)主負責之工程項目沃爾瑪購物廣場的設計和建筑應遵循沃爾瑪向業(yè)主提供的附件二中所定義的規(guī)格與要求。附件二規(guī)格與要求將明確規(guī)定雙方在有關大廈建設工程中的職責。(m)沃爾瑪進場裝修條件competitionwiththebusinessofWAL-MARTwithinthePremisesandBuilding.RighttoTerminateFromLeaseYear__,WAL-MARTshallhavetherighttoterminatetheLeaseAgreementwithoutanyliabilitiesforanyreason(s)upongiving__()monthspriorwrittennoticetotheLANDLORD.IntheeventthatWAL-MARTand/oritsjointventurepartnerfailstoobtainthebusinesslicenseforitsoperationwithinthePremisesfromtheIndustrialandCommercialBureauofCitywithinTen(10)monthsfromthedateofexecutionoftheLeaseAgreement,WALMARTshallhavetherighttoterminatetheLeaseAgreementimmediatelywithoutanyliabilityupongivingawrittennoticetotheLANDLORD.NoobligationtocontinuouslyoperateWAL-MARTsupercenterThePartiesagreethatduringtheTermsetforthinSection(1)Subsection(c)underthisLetterofIntention,solongasWAL-MARTpaysitsRentinaccordancewiththetermsandconditionsoftheLeaseAgreementexecutedbythePartiesinthefuture,WAL-MARTshallnothavetheobligationtocontinuouslyoperateWAL-MARTsupercenterinthePremises.WorksbyLANDLORDTheDesignandConstructionofWAL-MART'ssupercentershallfollowtheRequirementsandSpecificationsasdefinedinExhibitIIprovidedtotheLANDLORDbyWAL-MART.TheRequirementsandSpecificationsinExhibitIIwillclearlyspecifytheresponsibilitiesofbothPartiesfortheconstructionoftheBuilding.業(yè)主應在租賃協(xié)議規(guī)定的房屋進場日或之前完成附件三中所列的沃爾瑪進場裝修條件。⑵條件本意向書第(1)條所定條款的完成必須具備以下的條件:(i)業(yè)主需在本意向書簽署之日或之前提供業(yè)主為房屋所涉用地的土地使用權人且房屋所涉用地可作商業(yè)用途的國有土地使用證;(ii)業(yè)主提供其有權出租房屋、大樓、用地及改進措施的證明;(iii)雙方已簽署有效完成本交易的全部必要的文件;(iv)沃爾瑪百貨有限公司房地產委員會已審核和批準本項交易;和(v)其它行政規(guī)章規(guī)定的和政府的許可。(3)其它條款及條件本意向書中列明的僅是本項交易的主要條款和條件,但未盡全部租賃協(xié)議條款。租賃協(xié)議將會對條款和條件做更詳細的規(guī)定。其余租賃協(xié)議的條款及條件將由雙方經進一步協(xié)商決定。⑷保密在本意向書有效期間以及本意向書期滿或終止后的五(5)年內,除非中國政府主管部門和/或有管轄權的法院要求,否則,沃爾瑪和業(yè)主在任何情況下均不得未經對方事先書HandoverStatusTheLANDLORDshallcompletealltheworksetforthinExhibitIIIassuitableforWALMARTtoconductrenovationonorbeforetheHandoverDayofthePremisessetintheLeaseAgreement.⑵ConditionsTheclosingofanycontemplatedtransactioninSection(1)underthisLetterofIntentwillbecontingentupon:(i)LANDLORDprovidingtheCertificateforState-ownedLandUseRightforWAL-MART'sintendedcommercialuseandLANDLORDisthelanduserightholderforthelandoccupiedbythePremisesonorbeforetheexecutiondateofthisLetterofIntent;(ii)LANDLORDprovidingevidenceofitslegalrighttoleasethePremises,Landandimprovements;(iii)executionbybothPartiesofallnecessarydocumentstoeffectivelyclosethetransaction;(iv)reviewandapprovaloftheproposedtransactionbytheRealEstateCommitteeofWal-MartStores,Inc.;and(v)anyotherregulatoryorothergovernmentalapprovals.(3)OtherTermsandConditionsTheabovetermsandconditionsofthisLetterofIntentarethemajortermsandconditionsofthistransactionandarenotexhaustive.TermsandconditionswillbesetforthingreaterdetailintheLeaseAgreement.TheremainingtermsandconditionsoftheLeaseAgreementshallbedeterminedthroughfurtherdiscussionsbetweentheParties.⑷ConfidentialityExceptpursuanttoanorderofagovernmentalagencyoracourt,inbothcasesofcompetentjurisdiction,duringthetermofthisLetterofIntentandforaperiodofFive(5)yearsfollowingtheterminationorexpirationofthis面同意而將與雙方本房屋租賃項目有關而直接或間接獲得的對方的保密信息(定義如下)泄漏或披露給任何第三方,亦不得未經對方事先書面同意而為本房屋租賃項目以外的目的使用該等保密信息,但雙方均有權向其因工作職責需要而需知悉保密信息的雇員、高級職員、董事、代理和/或顧問披露保密信息;雙方亦有權因與本意向書有關的司法程序或按法律顧問意見根據(jù)法律要求而披露相關保密信息;沃爾瑪有權向其關聯(lián)公司及其雇員、高級職員、董事、代理人和/或顧問(不問其所在地)披露任何及全部保密信息?!氨C苄畔ⅰ毕抵概斗揭蚺c本房屋租賃項目相關而向另一方直接或間接披露的與披露方的業(yè)務、業(yè)務計劃、業(yè)務戰(zhàn)略、銷售情況、營運情況、業(yè)務關系、財產、營運模式、現(xiàn)有產品或擬開發(fā)產品有關的信息,而不論此信息是否由披露方制作。但是,“保密信息”不包括:(i)另一方在披露方向其披露時已經知曉的信息;(ii)在披露方向另一方披露時,已經為公眾所知曉的信息;(iii)在披露方向另一方披露后,非因另一方的過失而為公眾所知曉的信息;(iv)另一方從其它第三方知曉的,且第三方無保密義LetterofIntent,WAL-MARTandLANDLORDshall,undernocircumstances,discloseordivulgetoanythirdparty,withoutthepriorwrittenconsentoftheotherparty,anyConfidentialInformation(asdefinedbelow)oftheotherpartyheretoobtained,directlyorindirectly,fromtheotherpartyinconnectionwiththispremisesleaseproject,andneitherpartyshalluseanysuchConfidentialInformation,withoutthepriorwrittenconsentoftheotherparty,forpurposesotherthanforthepurposesofthispremisesleaseproject;provided,however,thatthePartiesshallhavetherighttodiscloseanyConfidentialInformationtotheirrespectiveemployees,officers,directors,agentsand/oradvisorswhoneedtoknowsuchConfidentialInformationforperformanceoftheirworkandduties,thatthePartiesshallalsohavetherighttodisclosesuchinformationinconnectionwithlegalproceedingsrelatingtothisAgreementorifrequiredintheopinionofcounseltobedisclosedpursuanttothelawandthatWALMARTshallhavetherighttodiscloseanyandallConfidentialInformationtoanyofitsaffiliatesandtheiremployees,officers,directors,agents,and/oradvisorsregardlessoftheirlocality."ConfidentialInformation"shallrefertoallinformationrelatingtothebusiness,businessplan,businessstrategy,sales,operationandbusinessrelationshipofthedisclosingpartyand/orthedisclosingparty'sproperties,methodsofoperationand/orexistingorproposedproducts,whetherornotcreatedbythedisclosingparty,discloseddirectlyorindirectlybythedisclosingpartytotheotherpartyinconnectionwiththispremisesleaseprojectprovided,however,ConfidentialInformationshallnotincludeinformationasfollows:(i)whichisalreadyknowntotherecipientpartyatthetimeofitsdisclosuretotherecipientparty,(ii)whichisalreadyavailabletothepublicatthetimeofitsdisclosuretotherecipientparty,(iii)whichbecomesavailabletothepublicwithoutthefaultoftherecipientpartyafterits⑺⑺排它性(7)Exclusivity務的信息。雙方同意,與本房屋租賃項目相關的信息屬于保密信息的范圍。⑸沃爾瑪商標在任何情況下,非經沃爾瑪每一次書面授權,業(yè)主不得使用沃爾瑪百貨有限公司(“沃爾瑪百貨”)或任何以及所有沃爾瑪關聯(lián)公司包括但不限于沃爾瑪?shù)纳虡?、品牌名稱、標志和設計。業(yè)主和沃爾瑪雙方同意在任何情況下沃爾瑪授予業(yè)主使用沃爾瑪百貨商標、品牌名稱、標志和設計的每一次書面授權,均不應視為授予業(yè)主獨占的、可轉讓的再權限。無論沃爾瑪有多少次書面授權及授權內容如何,這些使用沃爾瑪百貨商標、品牌名稱、標志和設計的書面授權均將隨著本意向書的到期或終止而同時自動強行終止。⑹法律效力本意向書的各方理解并同意,本意向書的內容僅為反映雙方的初步意見,最終的協(xié)議將基于租賃協(xié)議的簽訂及上述列明之一切條件的實現(xiàn)。除本意向書項下第(4)、(5)、(7)及本條外,本意向書的內容無意對任何一方構成任何具法律約束力的義務。disclosuretotherecipientparty,or(iv)whichisobtainedbytherecipientpartyfromathirdpartywhoisundernoconfidentialityobligationregardingtheinformationitdisclosestotherecipientparty.ThePartiesagreethatinformationrelatingtothispremisesleaseprojectbelongstothescopeofConfidentialInformation.TradeMarkofWAL-MARTLANDLORDc
